Whereas by Order in Council P.C. 2008-895 of May 9, 2008, John K. Lynn was
appointed as Chief Executive Officer, Enterprise Cape Breton Corporation and by Order
in Council P.C. 2011-0024 of January 24, 2011 he was re-appointed as Chief Executive
Officer;
Whereas the Chief Executive Officer of the Enterprise Cape Breton Corporation has,
on behalf of the Board of Directors of the Enterprise Cape Breton Corporation, the
direction and control of the business of the Enterprise Cape Breton Corporation with
authority to act in the conduct of that business in all matters that are not specifically
reserved to be done by the Board of Directors of the Enterprise Cape Breton
Corporation;
Whereas on May 16, 2013, the Board of Directors of the Enterprise Cape Breton
Corporation, requested an independent investigation following concerns raised by
employees with respect to the conduct of John K. Lynn;
Whereas on March 28, 2014, the Minister of State (Atlantic Canada
Opportunities Agency) wrote to John K. Lynn enclosing a copy of the final investigation
report, indicating his concerns with its findings and that John K. Lynn’s actions
appeared fundamentally incompatible with his position as Chief Executive Officer, and
inviting him to make any comments that he wished the Minister to take into account
before deciding whether to recommend that John K. Lynn’s appointment be terminated
for cause;

Whereas the Governor in Council has carefully considered the March 28, 2014
correspondence sent by the Minister and the submissions made by John K. Lynn on
April 28, 2014, as well as related correspondence on April 17, 2014 and May 16, 2014
by the Minister and April 16, 2014 by John K. Lynn; and
Whereas the Governor in Council has concluded that John K. Lynn’s actions are
fundamentally incompatible with the employment relationship and that he no longer
enjoys the confidence of the Governor in Council to be the Chief Executive Officer of
the Enterprise Cape Breton Corporation;
Therefore, His Excellency the Governor General in Council, on the recommendation of
the Minister for the purposes of the Atlantic Canada Opportunities Agency Act,
pursuant to sections 28 and 31 of the Enterprise Cape Breton Corporation Act,
terminates for cause the appointment of John K. Lynn as Chief Executive Officer of the
Enterprise Cape Breton Corporation.
Attendu que, par le décret C.P. 2008-895 du 9 mai 2008, John K. Lynn a été nommé
premier dirigeant de la Société d’expansion du Cap-Breton et que son mandat à titre
de premier dirigeant a été reconduit par le décret C.P. 2011-0024 du 24 janvier 2011;
Attendu que le premier dirigeant de la Société d’expansion du Cap-Breton assure la
direction et le contrôle des activités de la Société d’expansion du Cap-Breton pour le
compte du conseil d’administration de la Société d’expansion du Cap-Breton et détient,
dans le cadre de ces fonctions, le pouvoir d’agir dans tout cas ne devant pas
expressément être traité par le conseil d’administration de la Société d’expansion du
Cap-Breton;
Attendu que le conseil d’administration de la Société d’expansion du Cap-Breton a
demandé, le 16 mai 2013, qu’une enquête indépendante soit menée pour donner suite
aux préoccupations soulevées par des employés à l’égard du comportement de John K.
Lynn;
Attendu que le ministre d’État (Agence de promotion économique du Canada
atlantique) a écrit une lettre à John K. Lynn le 28 mars 2014 dans laquelle il a transmis
une copie du rapport d’enquête final, il a fait part de ses inquiétudes relatives aux
conclusions de l’enquête et exprimé que les actions de John K. Lynn semblaient être
fondamentalement incompatibles avec les fonctions de premier dirigeant, et dans
laquelle il a invité John K. Lynn à formuler tout commentaire qu’il souhaitait que le
ministre prenne en considération avant de rendre sa décision quant à la
recommandation de mettre fin à sa nomination pour un motif valable;

Attendu que le gouverneur en conseil a soigneusement examiné la
correspondance du ministre du 28 mars 2014 et les observations présentées par John
K. Lynn le 28 avril 2014, ainsi que la correspondance connexe du ministre des 17 avril
2014 et 16 mai 2014, et celle de John K. Lynn du 16 avril 2014;
Attendu que le gouverneur en conseil a conclu que les actions de John K. Lynn
sont fondamentalement incompatibles avec la relation d’emploi et qu’il ne possède
plus la confiance du gouverneur en conseil pour agir à titre de premier dirigeant de la
Société d’expansion du Cap-Breton;
À ces causes, sur recommandation du ministre chargé de l’application de la Loi
sur l’Agence de promotion économique du Canada atlantique, Son Excellence le
gouverneur général en conseil, en vertu des articles 28 et 31 de la Loi sur la Société
d’expansion du Cap-Breton, met fin à la nomination de John K. Lynn à titre de premier
dirigeant de la Société d’expansion du Cap-Breton pour motif valable.
