The Federation of Canadian Demographers (FCD) is an organization created through the joint initiative of
the Association des démographes du Québec and the Canadian Population Society.
The objectives of the Federation are to promote research and the scientific study of demography
throughout Canada, to foster cooperation and international exchanges on questions of population and
development, and to enrich the knowledge of Canadians on population questions.
Constitution of the FCD1
Article 1. Name, Seal and Head Office
1.1
The Federation of Canadian Demographers (FCD) is an organization created through the joint
initiative of the Association des démographes du Québec (ADQ) and the Canadian Population
Society (CPS). In the French language it shall be known as La Fédération canadienne de
démographie.
1.2
The official seal of the Federation shall have the form prescribed by the Board of Directors of the
Federation and shall carry the words Fédération canadienne de démographie / Federation of
Canadian Demographers.
1.3
The FCD is a non-profit organization having its head office in the city of Ottawa at a place
determined by the Board of Directors.
Article 2. Objectives
2.1
The objectives of the Federation are to promote research and the scientific study of
demography throughout Canada, to foster cooperation and international exchanges on
questions of population and development and to enrich the knowledge of Canadians on
population questions.
2.2
The Federation will seek to coordinate and extend the activities undertaken by the ADQ and the
CPS in fulfillment of their respective objectives. To this end, the Federation may propose certain
activities to the two associations. Furthermore, it will have a particular mandate to strengthen
the natural links between these two associations that operate in Canada and Quebec.
Article 3. Membership, Organization and General Assembly
3.1
The following shall be members of the FCD:
• the ordinary members which are the ADQ and CPS;
• a maximum of ten individual members.
3.2

The Federation shall possess a General Assembly and a Board of Directors.
The terms used to refer to board members are to be considered masculine or feminine depending upon the person
occupying the position.

3.3
The General Assembly shall consist of twelve persons of which:
• the President of ADQ and the President of CPS who shall each represent the two
ordinary members. They shall have the right to vote and to participate in the General
Assembly of the Federation until such time as their mandate as president of their
respective associations shall expire;
• the ten individual members. Five of these ten individual members must be members of
the ADQ and the five other members must be members of the CPS. These individual
members will be identified by the Council of their association and will be elected for a
period of two years (renewable) in this quality by reason of the particular services they
are capable of rendering to the Federation in the accomplishment of its objectives. These
individual members must indicate their agreement to serve to the president of their
association.
3.4
The General Assembly will meet at least once per year. The Board of Directors shall determine the
time and place in Canada of the annual meeting of the General Assembly. This meeting will be
announced at least fourteen days in advance by the President of the Federation by written notice
sent to all members of the General Assembly. The notice shall provide sufficient information to
permit members to arrive at an enlightened decision on any extraordinary matters (that is,
matters other than those that shall normally be handled at the annual assembly, such as the
nomination of the auditors and the report of the auditors). An extraordinary assembly must be
called by the President of the Federation following a written demand signed by at least 10% of the
voting members.
3.5
The quorum for all meetings of the General Assembly shall be eight members and shall include at
least four members of the ADQ and four members of the CPS. Each of the twelve members of the
General Assembly shall have the right to one vote. A member may, by means of a written proxy,
appoint a proxy holder to attend and act at a specific meeting of members, in the manner and to
the extent authorized by the proxy. A proxy holder must be a member of the corporation. Notice
of each meeting of members must remind the member that he has the right to vote by proxy.
3.6
Except in situations where the statutes of the Federation or the Law indicate otherwise, all
questions that come before the Assembly at its meetings shall be decided by a simple majority.
3.7
The General Assembly shall elect the individual members of the Board of Directors, designate
the auditors, receive the financial and other reports, and exercise the powers defined
elsewhere in the constitution.
3.8
An individual member may resign before the end of his/her mandate by informing, in writing, the
President of the FCD. The vacancy shall be filled prior to the next General Assembly by another
member who shall complete the mandate and who shall be named by the President of the Council
of the Association that designated the resigning member.
Article 4. Board of Directors: Composition
4.1
The Federation shall be directed by a Board of Directors consisting of six members who shall also
serve as the Administrative Office of the organization. Each of the six persons who shall sit on the
Board of Directors shall also hold the title of administrator of the Federation in the legal sense of
the term.
• The Board of Directors shall comprise the President, the Vice-President and four
councillors.
• Among these four councillors shall be two members delegated by the CPS, of which at

least one shall be chosen from among the members of the Council of CPS, and two
members delegated by the ADQ, of which at least one shall be chosen from among the
members of the Council of the ADQ.
• The Board of Directors of the Federation shall name, from among the four councillors,
either a Secretary and a Treasurer, or a Secretary-Treasurer.
4.2
The President, whose mandate shall be three years (non-renewable in a consecutive fashion),
shall be named in the following manner:
• the Secretary of the FCD shall advise, four months before the end of the President’s
mandate, the Boards of Directors of the ADQ and CPS of the upcoming vacancy;
• each association shall suggest, in alternation, the President of the FCD. The method of
nomination is left to the discretion of the association in question;
• the person nominated by one of the Associations must receive the support of at least
half of the members of the General Assembly of the FCD.
4.3
The Vice-President, whose mandate shall be three years, shall be named in the following manner:
• the Secretary of the FCD shall notify, four months before the end of the Vice-President’s
mandate, the Councils of the ADQ and CPS of the upcoming vacancy;
• each association shall designate, in alternation, the Vice-President of the FCD. The
method of nomination is left to the discretion of the association in question;
• the person nominated by one of the Associations must receive the support of at least
half of the members of the General Assembly of the FCD.
4.4
The method of nomination of the four members delegated by the Associations is left to the
discretion of each of the member associations. However, at least one of the two councillors from
each association must be a member of the Council of the association by which they are delegated.
Their mandate shall be two years, renewable once; their mandate will end:
• once they cease to be members in good standing of the association that nominated them;
• once the General Assembly withdraws their mandate.
4.5
The President of each association may accept a mandate to sit on the Board of Directors of the
FCD but may not occupy the posts of President or Vice-President.
4.6
The General Assembly may, at the Annual Meeting or at a special meeting, remove one or more
members of the Board of Directors. In such a case, the procedures outlined in Section 4.1 for
replacing the member or members who have been removed must be followed.
4.7
Members of the Board of Directors shall receive no remuneration for carrying out their duties as
directors, but may be reimbursed for reasonable expenses incurred in the exercise of their
duties.
Article 5. Board of Directors: Functions
5.1
If the financial situation of the FCD permits, the Board of Directors shall meet at least two times
per year. The quorum shall be four members.
5.2
The President of the FCD shall call the members to meetings, prepare the agenda and direct all
meetings of the Board with a full right to vote and speak. He/She must report to an annual meeting
of the General Assembly on the activities of the previous year. He/She shall carry out other tasks

that are allocated to him/her by the Board of Directors and, in case of necessity, shall be replaced
by the Vice-President.
5.3
The Vice-President shall share the tasks of the President and replace him/her when necessary.
He/She shall normally be responsible for committees of the Board of Directors. He/She shall
fulfil the mandate of the President in case of the permanent inability of the latter until the
General Assembly can identify a person to replace the President until the end of the mandate.
5.4
The Treasurer or Secretary-Treasurer shall collect on behalf of the Federation dues or other sums
of money and deposit them in a financial institution designated by the Board of Directors. He/She
shall prepare a report on the finances of the Federation during its budget year to be presented to
the Board of Directors and the General Assembly at least once a year. The budget year shall be
that determined by the Board of Directors. With another member of the Board charged with that
responsibility by the Board of Directors, he/she shall sign cheques and other banking documents.
He/She shall prepare a budget for the upcoming budget year. He/She shall keep the archives and
the corporate seal of the Federation.
5.5
The other members of the Board of Directors shall be accorded various tasks, notably the
production of minutes of the meetings and the coordination of the work of various committees.
5.6
The working languages of the Board of Directors of FCD shall be English and French. The
minutes, written in one or the other language, shall be sent by the Secretary of FCD to each of
the members of the Board of Directors as well as to each member association.
5.7
Any motion put to a vote shall require a minimum of four positive votes to be adopted.
Article 6. Mandate
6.1
The FCD shall undertake, upon decision of the Board of Directors, any activity, temporary or
permanent, that it deems useful and in conformity with its objectives.
6.2
To this end, the Board of Directors of FCD may create specific committees, temporary or
permanent, so long as membership on the committees is open to members of the two member
associations, and that the committees shall report on their mandate to the Board of Directors.
The Board of Directors may dismiss a member of a committee following a motion in conformity
with Section 5.7. Members of committees shall receive no remuneration, but may be reimbursed
for reasonable expenses incurred in the exercise of their duties.
6.3
The Secretary of the FCD may circulate to all members of the General Assembly and to
members of the two member-associations any document that she deems useful.
6.4
The member-associations shall undertake to deliver to the Secretary of the FCD a copy of all
documents sent to their respective members, their annual financial reports, as well as their lists of
paid-up members as of March 31 of each year.
Article 7. Finances
7.1
To meet the financial needs of the FCD, each member-association undertakes to deposit with the
Treasury of the FCD a sum proportionate to its paid-up membership.
7.2
On the recommendation of the Board of Directors of the FCD, the per capita amount of the
contribution shall be determined by the General Assembly of each member-association, and the
lower amount voted shall prevail. However, the per capita contribution shall not be less than one
dollar.

7.3
Following decisions made by the Board of Directors, the FCD may, of its own accord, solicit funds
and transact any business relating to its activities.
7.4
Each member-association shall pay its contribution to the FCD within four months of the
beginning of its financial year, the contribution being based on the number of paid-up
members at the end of the preceding financial year.
7.5
The FCD will report annually on its activities and finances to the two member-associations, the
reports being sent to the associations during the four months following the end of the FCD’s
financial year.
7.6
Annually, at the meeting of the General Assembly, the members shall name an auditor to verify
the accounts of the Federation. The auditor shall produce a report and shall remain in office until
the following meeting of the General Assembly, on condition that the members of the Board of
Directors may fill any vacancy that occurs in the position of auditor. The remuneration of the
auditor shall be fixed by the Board of Directors.
7.7
An administrator or director of the Federation, or any other person charged with entering into
agreements on behalf of the Federation, as well as their heirs, executors and administrators,
and estate and effects, shall be indemnified and saved harmless out of the funds of the
Federation from and against:
• all costs, charges and expenses whatever that such director or administrator or other
person sustains or incurs in or about any action, suit or proceedings that is brought,
commenced or prosecuted against him or her, for or in respect of any act, deed, matter
or thing whatever, made, done or permitted by him/her, in or about the execution of
the duties of his or her office and,
• all other costs, charges and expenses that he/she sustains, or incurs, in or about or in
relation to the affairs thereof, except such costs, charges or expenses as are occasioned
by his/her own wilful neglect or default.
Article 8. Miscellaneous
8.1
If a member of one of the member-associations decides to join the other Association and is
accepted by the latter, such a member may deduct from his/her membership dues to the second
Association an amount equal to the per capita contribution paid to the FCD, provided that she
pays her/his full dues to the first association.
8.2
In the event of the dissolution of FCD, all the funds that remain after the payment of debts will be
distributed to one or more organizations that are directed towards objectives similar to those of
the Federation.
8.3
The repeal or modification of the statutes must be the subject of a motion approved by the
General Assembly. In the month following approval, the Secretary of the FCD shall deliver to the
Secretary of each member- association the revised text of the statutes in both French and English.
The French version of the document shall prevail if difficulties in interpretation arise.
8.4
Any repeal or modification of the statutes that shall be adopted by resolution of the General
Assembly shall not enter into effect until approved by the Minister.
Article 9. Transitional Considerations
9.1
The first General Assembly shall be composed of the President of the ADQ and the five members of
the Council of ADQ, and the President of the CPS and the five members of the Council of CPS.

9.2
The signatories of the request for incorporation that is addressed to the Minister of Industry in
1996 shall form the Board of Directors of the FCD until the meeting of the first General Assembly.
9.3
The clauses regarding the duration of the mandate of the members of the Board of Directors of
the FCD as well as the nomination of the President and Vice-President shall become effective on
July 1st, 1996. For the mandate 1996-1999, the President shall be nominated by the ADQ and the
Vice-President by the CPS.

La Fédération canadienne de démographie (FCD) constitue un organisme de concertation créé à l'initiative
de l'Association des démographes du Québec et la Canadian Population Society.
La Fédération a pour objectifs de promouvoir la recherche et les études scientifiques dans le domaine de la
démographie à travers le Canada, de favoriser la coopération et les échanges internationaux en matière de
population et de développement ainsi que de susciter l'intérêt et d'enrichir l'information des Canadiens et
des Canadiennes sur les questions de population.
Statuts de la FCD2
Article 1. Nom, sceau et siège social
1.1
La Fédération canadienne de démographie (FCD) constitue un organisme de concertation créé à
l’initiative de l’Association des démographes du Québec (ADQ) et la Canadian Population Society
(CPS). En langue anglaise, cet organisme portera le nom de Federation of Canadian Demographers
(FCD).
1.2
Le sceau officiel de la Fédération a la forme prescrite par le Conseil d’administration de la
Fédération et porte les mots Fédération canadienne de démographie / Federation of Canadian
Demographers.
1.3
La FCD est un organisme sans but lucratif et a son siège social en la ville d’Ottawa, à l’endroit
déterminé par son Bureau de direction.
Article 2. Objectifs
2.1
La FCD a pour objectifs de promouvoir la recherche et les études scientifiques dans le domaine
de la démographie à travers le Canada, de favoriser la coopération et les échanges
internationaux en matière de population et de développement ainsi que de susciter l’intérêt et
d’enrichir l’information des Canadiens et des Canadiennes sur les questions de population.
2.2
La FCD veillera à coordonner, voire à étendre, les activités issues de la mise en oeuvre des objectifs
de l’ADQ et de la CPS. En ce sens, il lui sera loisible de proposer certaines activités à ces deux
associations. Elle a en outre - et surtout - le mandat de resserrer les liens naturels entre ces deux
associations qui oeuvrent au Canada et au Québec.
Article 3. Qualité du membre, organisation et Assemblée générale
3.1
Font partie de la FCD :
• les membres ordinaires que sont l’Association des démographes du Québec (ADQ) et la
Canadian Population Society (CPS);

masculin ou au féminin selon le sexe de la personne qui occupe le poste.

• un maximum de 10 membres individuels.
3.2
La FCD est dotée d’une Assemblée générale et d’un Bureau de direction.
3.3
L’Assemblée générale se compose des douze personnes dont :
• Le Président de l’ADQ et le Président de la CPS qui représentent chacun l’un des deux
membres ordinaires. Ils ont droit de vote et peuvent participer aux Assemblées générales
de la Fédération jusqu’à la fin de leur mandat de Président de leur association respective;
• les dix membres individuels. Cinq des dix membres individuels doivent être membres de
l’ADQ et cinq autres membres individuels doivent pour leur part être membres de la
CPS. Ces membres individuels sont identifiés par le Bureau de leur association
respective et sont élus pour deux années (renouvelable) en cette qualité par
l’Assemblée générale en raison des services particuliers qu’ils sont susceptibles de
rendre à la Fédération dans l’accomplissement de ses objectifs. Les membres individuels
doivent signifier leur consentement auprès du Président de leur association respective.
3.4
L’Assemblée générale se réunit au moins une fois l’an. Le Bureau de direction détermine le
moment et le lieu au Canada où doit avoir lieu la réunion annuelle de l’Assemblée générale. Cette
session est convoquée au moins quatorze jours à l’avance par le Président de la Fédération par
avis écrit adressé à tous les membres de l’Assemblée générale. L’avis donnera assez de
renseignements pour permettre un jugement éclairé en ce qui a trait aux questions spéciales
(c’est-à-dire pour les affaires autres que celles qui doivent être traitées à la réunion annuelle,
telles la nomination des vérificateurs et le rapport des vérificateurs sur les états financiers). Une
assemblée extraordinaire doit être convoquée par le Président de la Fédération à la suite d’une
réquisition écrite des membres détenant au moins 10% des votes.
3.5
Le quorum de toute réunion de l’Assemblée générale est de huit personnes, dont au moins quatre
membres de l’ADQ et quatre membres de la CPS. Chacun des douze membres de l’Assemblée
générale a droit à un vote. Un membre peut, par procuration écrite, nommer un fondé de pouvoir
pour assister et le représenter à une réunion spécifique des membres, dans la manière et dans les
limites autorisées par la procuration. Un fondé de pouvoir doit être membre de la société. L’avis
pour chaque réunion des membres rappellera aux membres qu’ils ont le droit de nommer un
fondé de pouvoir.
3.6
Sauf disposition à l’effet contraire des statuts et règlements ou de la Loi, les membres doivent si
nécessaire, lors des réunions, trancher chaque question à la majorité des voix.
3.7
L’Assemblée générale élit les membres individuels du Bureau de direction, désigne les
vérificateurs, reçoit les états financiers et les rapports et exerce les pouvoirs définis ailleurs dans
le présent règlement.
3.8
Un membre individuel peut se retirer avant la fin de son mandat en informant par écrit le
Président en exercice de la FCD. Il doit alors être remplacé pour la durée restante de son mandat
par un autre membre qui peut être nommé par le Président du Bureau de l’association qui l’avait
désignée, et ce, avant la prochaine Assemblée générale.
Article 4. Bureau de direction: composition
4.1
La FCD est dirigée par un Bureau de direction de six membres qui fait également office de
Conseil d’administration. Chacune des six personnes qui siègent sur le Bureau de
direction a également le titre d’administrateur de la Fédération au sens légal.
• Le Bureau de direction est composé d’un Président, d’un Vice-président et de quatre
conseillers.

• Parmi ces quatre conseillers, on doit trouver deux membres en règle délégués par la CPS,
dont au moins l’un d’eux choisi parmi les membres du Bureau de direction de la CPS, et
de deux membres en règle délégués par l’ADQ, dont au moins l’un d’eux est choisi parmi
les membres du Bureau de direction de l’ADQ.
• Le Bureau de direction nomme, parmi les quatre conseillers, soit un Secrétaire-général
et un Trésorier, soit un Secrétaire-trésorier.
4.2
Le Président, dont le mandat de trois ans n’est pas renouvelable de façon consécutive, est
nommé de la manière suivante :
• le Secrétaire-général de la FCD avertit, quatre mois avant la fin du mandat du
Président, les bureaux de direction de l’ADQ et de la CPS de la vacance du poste;
• chaque association suggère, en alternance, le Président de la FCD. Le mode de la
nomination est laissé à la discrétion de l’association en question;
• la personne suggérée en alternance par l’une des deux associations doit recueillir l’appui
d’au moins la moitié des membres lors de l’Assemblée générale de la FCD.
4.3
Le Vice-président, dont le mandat est de trois ans, est nommé de la manière suivante :
• le Secrétaire-général de la FCD avertit, quatre mois avant la fin du mandat du Viceprésident, les bureaux de direction de l’ADQ et de la CPS de la vacance du poste;
• chaque association désigne, en alternance, le Vice-président de la FCD. Le mode de la
nomination est laissé à la discrétion de l’association en question;
• la personne suggérée en alternance par l’une des deux associations doit recueillir l’appui
d’au moins la moitié des membres lors de l’Assemblée générale de la FCD.
4.4
Le mode de désignation des quatre conseillers des associations est laissé à la discrétion de chacune
des associations-membres. Cependant, au moins l’un des deux conseillers de chaque association
doit être membre du Bureau de direction de l’association qui le délègue. Leur mandat de deux ans
n’est renouvelable qu’une seule fois; ce mandat prend fin :
• dès qu’ils cessent d’être membres en règle des associations qui les délèguent;
• dès que l’Assemblée générale lui retire son mandat.
4.5
Le Président de chaque association peut accepter un mandat au bureau de direction de la FCD,
mais il est exclu des postes de Président et de Vice-président.
4.6
L’Assemblée générale peut, lors de son assemblée annuelle ou lors d’une assemblée spéciale,
destituer un ou plusieurs des membres du Bureau de direction. Les procédures prévues à l’article
4.1 doivent alors être utilisées pour remplacer jusqu’à la fin de leur mandat le ou les conseillers
destitués.
4.7
Un membre du Bureau de direction ne doit recevoir aucune rémunération pourvu que lui
soient payées les dépenses raisonnables qu’il a fait dans l’exercice de ses fonctions.
Article 5. Bureau de direction : fonctionnement
5.1
Si la situation financière le permet, le Bureau de direction de la FCD se réunit au moins deux
fois l’an. Le quorum en est de quatre membres.
5.2
Le Président de la Fédération convoque les membres aux diverses assemblées, prépare les
ordres du jour et dirige toutes les réunions du Bureau de direction avec plein droit de vote et
de parole. Il doit faire rapport à l’Assemblée générale annuelle des activités de l’année

écoulée. Il s’acquitte des autres tâches qui lui sont confiées par le Bureau de direction et, en
cas d’empêchement, est remplacé par le Vice-président.
5.3
Le Vice-président partage les tâches du Président et le remplace au besoin. Il est normalement
responsable des comités du Bureau de direction. Il devra occuper le mandat du Président en cas
d’empêchement permanent de ce dernier, et ce, jusqu’à ce que l’Assemblée générale ait pu
identifier une personne pour remplacer le Président jusqu’à la fin de son mandat.
5.4
Le Trésorier, ou Secrétaire-trésorier, perçoit au nom de la Fédération les cotisations ou toute
autre somme d’argent et les dépose dans une institution bancaire désignée par le Bureau de
direction. Il doit produire un rapport de l’exercice financier au Bureau de direction et à
l’Assemblée générale au moins une fois par année.
Cet exercice financier est celui de l’année budgétaire définie par le Bureau de direction. Avec
l’autre membre du Bureau mandaté à cette fin, par résolution du Bureau de direction, il signe les
chèques, billets et autres effets bancaires. Il doit préparer le budget de fonctionnement de
l’exercice financier suivant. Il conserve les archives et a la garde des sceaux corporatifs de la
Fédération.
5.5
Les autres membres du Bureau de direction peuvent se faire attribuer diverses tâches,
notamment la rédaction des procès-verbaux des réunions et la coordination des travaux des
différents comités.
5.6
Les langues de travail du Bureau de direction de la FCD sont l’anglais et le français. Les procèsverbaux, rédigés dans l’une ou l’autre langue, seront envoyés par les soins du Secrétaire-général de
la FCD à chacun des membres du Bureau de direction de la FCD ainsi qu’à chaque associationmembre.
5.7
Toute proposition soumise au vote requiert un minimum de quatre voix positives pour être
adoptée.
Article 6. Mandat
6.1
La FCD pourra mettre en oeuvre - sur décision de son Bureau de direction - toute activité
temporaire ou permanente qu’elle estimera utile et conforme à ses objectifs.
6.2
À cette fin, le Bureau de direction de la FCD pourra créer des comités spécifiques, provisoires ou
permanents, pourvu que la composition de ces comités soit ouverte aux membres des deux
associations, et qu’ils aient à rendre compte de leur mandat au Bureau de direction. Le Bureau
de direction peut destituer un membre d’un comité à la suite d’une proposition, conformément
à l’article 5.7. Un membre d’un comité ne doit recevoir aucune rémunération pourvu que lui
soient payées les dépenses raisonnables qu’il a fait dans l’exercice de ses fonctions.
6.3
Le Secrétaire-général de la FCD pourra faire parvenir aux membres de l’Assemblée générale et
aux membres des deux associations toute documentation qu’il jugera utile.
6.4
Les associations-membres s’engagent à faire parvenir au Secrétaire-général de la FCD un
exemplaire de tout document envoyé à leurs membres respectifs, leurs rapports financiers
annuels, ainsi que la liste de leurs membres en règle au 31 mars de chaque année.
Article 7. Financement
7.1
Pour les besoins du fonctionnement de la FCD, les deux associations-membres s’engagent à verser
à la trésorerie de la FCD une somme proportionnelle au nombre de leurs membres en règle
respectifs (per capita).

7.2
Le montant de cette contribution (per capita) sera déterminé par l’Assemblée générale de chacune
des associations - le plus faible des deux prévalant - et ce, à la requête et sur proposition du
Bureau de direction de la FCD. Il ne pourra cependant être inférieur à 1,00 $.
7.3
Sur décision de son Bureau de direction, la FCD pourra également, sous sa propre responsabilité,
solliciter des fonds auprès de quelque organisme que ce soit et conclure toute transaction
qu’elle estimera utile.
7.4
Chaque association-membre, dans les quatre mois suivant le début de son année financière,
versera sa cotisation à la FCD, cotisation fondée sur le nombre de membres en règle à la fin de
l’année financière précédente.
7.5
La Fédération rendra compte annuellement de ses activités et de ses états financiers aux deux
associations- membres par la présentation d’un rapport annuel d’activités et d’un rapport
financier qui seront envoyés aux deux associations-membres dans les quatre mois suivant la
fin de l’année financière de la Fédération.
7.6
Annuellement, à l’occasion d’une assemblée générale, les membres nomment un vérificateur pour
la vérification des comptes de la Fédération. Le vérificateur doit faire un rapport et demeurera en
fonction jusqu’à l’assemblée annuelle suivante, à condition que les membres du Bureau de
direction puissent pourvoir à toute vacance qui se produit fortuitement au poste de vérificateur.
La rémunération du vérificateur est fixée par le Bureau de direction.
7.7
Un administrateur ou un dirigeant de la Fédération ou toute autre personne qui va prendre des
engagements au nom de la Fédération, de même que ses héritiers, exécuteurs, administrateurs,
et biens immeubles et meubles, dans cet ordre, sont au besoin et en tout temps tenu indemnes
et à couvert, à même les fonds de la FCD :
• de tous frais, charges et dépenses quelconques que cet administrateur, dirigeant ou
personne supporte ou subit au cours ou à l’occasion d’une action, poursuite ou
procédure intentée ou exercée contre lui en raison d’actes faits ou choses accomplies
ou permises par lui dans l’exercice et pour l’exécution de ses fonctions ou touchants
audits engagements; et
• de tous autres frais, charges et dépenses qu’il supporte ou subit au cours ou à
l’occasion des affaires de la Fédération, ou relativement à ces affaires, excepté ceux
qui résultent de sa propre négligence ou de son omission volontaire.
Article 8. Clauses particulières
8.1
Dans le cas où le membre de l’une des deux associations-membres décide d’adhérer à la
seconde, sous réserve d’être admis au sein de cette seconde association, il pourra déduire de sa
cotisation à cette association un montant égal au per capita (7.2) et ce tant qu’il versera à celle-ci
une cotisation régulière, comprenant le per capita.
8.2
En cas de dissolution de la FCD, tous les biens et les actifs qui restent après les paiements des
dettes seront distribués à un ou plusieurs organismes qui poursuivent des objectifs similaires
à ceux de la Fédération.
8.3
L’abrogation ou la modification des règlements doit faire l’objet d’une résolution d’approbation
de la part de l’Assemblée générale. Dans le mois qui suit cette approbation, le Secrétaire-général
de la FCD fait parvenir au Secrétaire de chaque association-membre le texte français et anglais
refondu de l’entente. En cas de difficulté d’interprétation la version française a prédominance
sur le texte anglais.
8.4
L’abrogation ou la modification des règlements qui aura été adoptée par résolution par

l’Assemblée générale n’entre pas en vigueur avant l’approbation par le Ministre.
Article 9. Disposition transitoire
9.1
La première Assemblée générale sera composée du Président de l’ADQ et de cinq des membres
de son Bureau de direction et du Président de la CPS et de cinq des membres de son Bureau de
direction.
9.2
Les signataires de la Demande de constitutions d’une société adressée au Ministre de
l’Industrie en 1996 formeront le Bureau de direction de la FCD et ce, jusqu’à la tenue de la
première Assemblée générale des membres.
9.3
Cependant, les clauses touchant la durée du mandat des membres du Bureau de direction de la
FCD ainsi que la nomination du Président et du Vice-président seront effectives à partir du 1er
juillet 1996. Pour le mandat de 1996-1999, le Président sera suggéré par l’ADQ et le Viceprésident par la CPS.

Canadian Population Society Constitution
Article 1. Name
1.1
The name of the Association shall be the Canadian Population Society, abbreviated to CPS.
Article 2. Objectives
2.1
The objectives of the Society shall be: to work toward the improvement of knowledge and
understanding about the quantitative and qualitative characteristics of human population; to
promote the study and development of the science of demography in both its empirical and
theoretical aspects; and to foster interest in, and the interchange of ideas on population, among
professional and other interested persons working in the field of population studies.
2.2
For the realization of its objectives the Society may:
• publish periodicals, pamphlets, books, information circulars, etc., independently or in
collaboration with other organizations;
• organize meetings, seminars, conferences, research and training programs and theoretical
or practical investigations independently or in collaboration with other organizations;
• set up working groups to offer professional comments and to counsel outside bodies;
• collaborate with international, national, regional, and other organizations and institutions
having objectives similar to those of the Society;
• make business transactions, undertake or participate in cooperative activities and take all
necessary action for the promotion and advancement of the objectives of the Society
either independently, or in collaboration with other agencies;
• become a member of a federation which unites member groups of demographers in
Canada;
• set up local or regional chapters to provide members in a given area a basis for
professional interaction.
The Society shall be carried on without purpose of gain for its members and any profits or other
accretions to the Society shall be used in promoting its objectives.
Article 3. Membership
3.1
The membership of CPS shall be of two types without any restriction on number, so long as the
general condition of membership have been met, as follows:
individual members; any individual may join the Society provided he/she meets at least one of
the four following conditions:

has completed or is completing formal university training in population studies;
spends a substantial portion of his/her working hours in the field of population studies;
has made a contribution in the field of population studies;
has willingness or considerable interest in the promotion of scientific studies of human
populations;
institutional members such as educational and scientific institutions, government and non-profit
organizations, business enterprises, etc., each of which shall be represented by its nominee who
shall have the same rights as an individual member, except that he/she may not hold office.

3.2
Membership in CPS will be subject to the decision of a selection committee for the admission of
members, except for charter members who joined at the invitation of the Steering Committee.
3.3
Membership in CPS will be terminated either by resignation of the member or for non-payment
of dues or for other reasons as may be prescribed by the By-laws.
3.4
The Council as defined in Article 6.7 may, for good and clearly stated reasons, and with majority
support, suspend or revoke membership. Such a measure must be brought to the attention of
the General Assembly, and the member who has been suspended or revoked may appeal directly
to that Assembly. The decision rendered by the General Assembly shall be final.
Article 4. General Assembly
4.1
The members in good standing of CPS assembled at a meeting convened in the manner set forth
in Article 5.1 to 5.4 or casting their votes by mail on questions referred to them shall constitute
the General Assembly and shall be the highest authority of the Society.
4.2
The business transactions of the General Assembly shall include:
• consideration and adoption with or without modification of reports of the Council on the
activities and finances of the Society;
• Announcing the election of Officers and members of the Council;
• consideration of reports of committees appointed by the General Assembly, if any; and
proposals regarding policy and programs of the Society;
• amendments to the Constitution, if any, and approval or rejection of proposed new Bylaws and changes in By-laws;
• all other business necessary for the promotion of the objectives of the Society.
4.3
The decisions of the General Assembly shall be made by a majority of votes cast at a meeting or
by mail except for amendments of the Constitution which shall be carried out in accordance with
Article 11.
4.4
Each member including institutional members, shall have one vote.
4.5
If it is considered necessary by the Council to ascertain the views of the members of the Society
by mail, the questions under reference shall be sent to all members of the Society not less than
six weeks before the date by which the replies from members shall have to reach the SecretaryTreasurer.
Article 5. Meetings of the Society
5.1
The General Assembly meetings of the Society shall be held at such times and places as the
Council may direct.
5.2
A notice specifying the place, date, time and the agenda of a General Assembly meeting shall be
sent to all members of the Society not less than six weeks before the date of the General
Assembly meeting.
5.3
A quorum shall consist of 25 per cent of the registered membership or 25 members, which ever
is the smaller number.
5.4
The Vice-President shall chair the Program Committee for the Annual meeting. The Program
Committee will be appointed by the Council. The CPS shall hold this Annual meeting to promote
scientific discussion among the members and other interested persons. In regard to active
participation in the program of this conference, preference normally will be given to members of
the association.

Article 6. Officers and the Council
6.1
The Officers of the Society shall be elected from members in good standing and shall consist of a
President, a Vice-President, and a Secretary-Treasurer.
6.2
The term of office of all officers shall be two years. The President on retirement shall not be
eligible for re- election to the offices of Vice-President or President. The Secretary-Treasurer shall
be eligible for re-election to the same office for one further consecutive term of two years and
on retirement shall be eligible for re-election after a break of not less than two years.
6.3
The President shall represent the Society on all official occasions and shall preside over the
meetings of the General Assembly and the Council and shall have general responsibility for the
execution of the policies and decisions of the General Assembly and Council. The President shall
have authority, subject to ratification of Council, to appoint committees, sub-committees,
working groups, etc. for assigned tasks when Council is not in session. If the Presidency is vacant
or for any reason the President is unable to fulfill his/her responsibilities, the Vice-President will
function in his/her stead for the necessary period of time, but not longer than the expiration of
the balance of the term of the Presidency.
6.4
The Vice-President's main duty shall be the Chair of the Program Committee of the annual
scientific meeting of CPS. If the Vice-Presidency is vacant, or for any reason the Vice-President is
unable to fulfill his/her responsibilities, the Council shall elect one of its members to act as
Acting Vice-President. This Acting Vice- President shall serve the unexpired term for which the
former Vice-President was elected.
6.5
The Secretary-Treasurer shall be responsible for the maintenance of the accounts of the Society,
and shall arrange for an audit of those accounts, in accordance with Canadian law, at least once a
year by a certified auditor or by two members of CPS appointed by Council. Proper books of
accounts shall be kept which shall be open to inspection of the Council members upon request.
The Secretary-Treasurer shall record minutes of the General Assembly and of meetings of Council, shall
issue all notices of such meetings and shall circulate to members of the Society and Council all
required materials as prescribed by the Constitution and By-laws. The Council shall elect one of
its members as Acting Secretary- Treasurer if this position is vacant or for any reason the
Secretary-Treasurer is unable to fulfill his/her responsibilities, for up to the unexpired term of
the former Secretary-Treasurer.
6.6
Vacancies in the office of the President, Vice-President and Secretary-Treasurer shall be filled as
in 6.3, 6.4, and 6.5. In all other cases, when these positions are vacant, the Council shall elect the
President, Vice-President and Secretary-Treasurer from among its members for terms, up to the
unexpired terms of the former President, Vice- President and Secretary-Treasurer. If the Council
resigned or is expelled by the General Assembly, the last three Past Presidents shall constitute a
Nominating Committee for new elections.
6.7
The Council of the Society shall consist of:
• three officers; and
• six additional members who shall hold two-year terms – with three members elected
every year -- and who on completion of a full two-year term shall be eligible for re-election
after a break of not less than two years. One of the six Councillors shall serve as a delegate
to the Federation of Canadian Demographers;
• one graduate student for a two-year term, and who on completion of that two-year term
will not be eligible for re-election as a graduate student.
6.8
The Council shall administer the affairs of the Society and for this purpose shall have power in
accordance with the Constitution and By-laws and according to the guidance of the General
Assembly:

• to appoint necessary staff and incur necessary expenditure for the work of the Society;
• to appoint committees, sub-committees, working groups, etc., for assigned tasks and to
delegate its power to such committees and sub-committees or to one or more officers or
members of the Council for assigned purposes; and to ratify such appointment made by
the President;
• to extend the term of the Officers and other members of the Council for a period not
exceeding eight months pending a meeting of the General Assembly;
• to conduct its own business at meetings or by mail as and when necessary;
• to create regional or local chapters with the necessary authority to conduct professional
business related to the Society in a given area. Each chapter shall be free to conduct its
business as long as it does not contravene the CPS Statutes.
6.9
In the event of a vacancy in the Council through death, resignation or suspension from the
Society, the Council may appoint a member in good standing to serve up to the remaining
portion of that Councillor.
Article 7. Representation in the Federation of Canadian Demographers (FCD)
7.1
In accord with Articles 4.2 and 4.3 of the constitution of the Federation of Canadian
Demographers (FCD), CPS shall alternate with the Association des démographes du Québec
(ADQ) in the nomination of the President and Vice-President of FCD. The nominations by CPS
shall be made by the President of CPS after consultation with Council.
7.2
In accord with Article 4.1 of the FCD constitution, CPS shall appoint two members in good
standing as delegates to the FCD Board of Directors for terms not to exceed three years, subject
to renewal for an additional term not to exceed three years. Of these two delegates to FCD:
• one shall be an officer of CPS, the choice to be made by the President of CPS in
consultation with Council;
• the other shall be elected by the membership specifically as a delegate to FCD, and shall
become a member of CPS Council.
Article 8. Election of Officers and Councillors
8.1
The term of office shall be from July 1 to June 30 of the second year, depending upon the time
span for which the Officer or Councillor is elected, as specified by 6.2 and 6.7.
8.2
Members of the Council, including the officers, shall be elected by secret vote either on mail
ballot papers or on secure electronic ballots that assure voters' anonymity. The ballots are to be
sent to all members of the General Assembly before March 31 of each election year, and to be
returned to the Chairperson of the Nominating Committee within a period of 30 days.
8.3
The Council shall appoint, not less than four months before the date of issue of ballot papers, a
nominating committee consisting of three members with the outgoing President as the
chairperson of the committee. The committee shall circulate to the membership its initial slate
of nominations, before 15 February of each election year, with a call for further nominations. All
further nominations that are supported by two members shall be added to the final slate of
nominations. Nominations shall close on 25 March of each election year. The final list of
nominations shall be sent by the nominating committee to the General Assembly by 31 March of
each election year.

Article 9. Finance
9.1
Financial resources of the Society shall consist of membership fees, donations, contributions and
income, if any, from other sources.
9.2
The membership fees to be paid by members, which may be different for individual and
institutional members, shall be voted by the General Assembly.
9.3
The funds of the Society may be used to meet the normal operating expenses of the Society and
the expenses of conferences, meetings, publications, and other activities of the Society.
9.4
Council may authorize the provision of grants of financial assistance, or may attempt to secure
such grants or financial assistance from other organizations, in connection with research or
development projects or other suitable purposes in line with the objectives of the Society.
Article 10. Management, Regulations
10.1 The Council shall make suitable arrangements for signing contracts, agreements and other
relevant documents, for maintenance of bank accounts, etc., and for all procedural matters
relating to business transactions, meetings, publications and other activities of the Society.
Article 11. Amendments to Constitution
11.1 Proposals to amend the Constitution may be made in writing to the President by any five
members of the Council or by ten members of the Society. The President shall arrange through
the Secretary-Treasurer for all such proposals along with relevant documentation to be sent to
all members.
The vote may be taken either by mail or at the General Assembly meeting. If the amendment is
approved by a simple majority of members of the Council, then its ratification by the
membership will require a simple majority of all those voting. If an amendment is not approved
by the majority of the Council, then its passage by membership will require two thirds of all
votes cast.
11.2 The dissolution of the Society or the alteration of its name, or the affiliation of the Society with
any other body or under terms other than those provided by 2.2 (e) shall be treated as an
amendment to the Constitution.
Article 12. Language
12.1 The working language of the Society shall be English, but mechanisms to accept written or verbal
communications in French to the General Assembly, the Executive or any sub-committee or
working group of the Society will be established when necessary to meet the needs of members
or to facilitate goals of the Society.
Article 13. By-Laws
13.1 Matters of procedure that require administrative flexibility, such as the method of conducting
mail ballots, shall be governed by By-laws, provided that these are not in conflict with the
Constitution.

Article 14. Dissolution of the Society
14.1 In the event of the dissolution or winding up of the Society all remaining assets, after payment of
just debts and obligations, shall be distributed to one or more recognized charitable
organizations in Canada.

Fondée en 1971, l’Association des démographes du Québec (ADQ) a pour buts de :
• resserrer les liens entre démographes ;
• faire connaître la démographie sur le marché du travail ;
• diffuser les connaissances d’ordre démographique. La langue de l’Association est le français.
L’aire de recrutement de l’Association ne se limite pas au Québec, mais s’étend à toutes les régions où
résident les démographes qu’intéresse l’Association.
Peut devenir membre toute personne qui remplit au moins l’une des conditions suivantes :

posséder une formation universitaire en démographie ;
consacrer la majeure partie de son temps à la démographie ;
avoir apporté une contribution appréciable à la démographie ;
être étudiant en démographie.
La cotisation annuelle des membres est fixée par l’Assemblée générale. Les personnes désireuses d’inscrire à
l’Association doivent adresser leur demande d’adhésion et leur cotisation au Trésorier. Les membres de
l’ADQ reçoivent automatiquement les Cahiers québécois de démographie.
Statuts de l’ADQ
Article I
Le nom officiel de l’Association est : « Association des démographes du Québec » et le sigle en
est « ADQ ».
Article II
Le siège social de l’Association est déterminé par le Bureau de direction et se situe à l’intérieur
du Québec.
Article III
L’Association a pour buts de :
• resserrer les liens entre les démographes ;
• faire connaître la démographie sur le marché du travail ;
• diffuser les connaissances d’ordre démographique. Article IV L’Association n’a aucun
but lucratif.
Article V
La langue de l’Association est le français.
Article VI
L’aire de recrutement de l’Association ne se limite pas au Québec, mais s’étend à toutes les
régions où résident les démographes qu’intéresse l’Association.
Article VII
Peut devenir membre toute personne qui remplit au moins l’une des conditions suivantes :

Tout membre est en règle lorsqu’il a payé sa quote-part pour l’année de cotisation (du 1er
juillet au 30 juin) en cours.
Article VIII
Le montant de la cotisation annuelle est établi par les membres de l’Association lors de
l’assemblée générale annuelle. On peut fixer des montants différents pour diverses catégories
de membres.
Article IX
Le Bureau de direction peut, à son initiative ou à la demande d’au moins 25 membres en règle
ou 25% des membres, des deux nombres le moindre, proposer le renvoi d’un membre pour
des raisons valables et après enquête au cours de laquelle il doit donner à l’intéressé(e)
l’occasion de se faire entendre. Cette proposition doit être examinée par l’Assemblée générale
suivante, qui se prononce à la majorité des deux tiers des membres présents. Cette décision
est finale. La réadmission éventuelle d’un membre exclu doit être approuvée par l’Assemblée
générale à la majorité des deux tiers.
Article X
Le Bureau de direction est composé de sept membres : le Président, le Vice-président, le
Secrétaire, le Trésorier et trois conseillers.
Article XI
Les mots utilisés au masculin pour désigner les postes des membres du Bureau de direction
doivent être écrits dans toutes les lettres, déclarations ou rapports, au masculin ou au féminin
selon le sexe de la personne qui l’occupe.
Article XII
Le mandat du Président, du Trésorier et du conseiller no 1 se termine les années impaires. Le
mandat du Vice-président, du Secrétaire et des conseillers nos 2 et 3 se termine les années
paires. Chacun de ces membres est élu pour deux ans par l’Assemblée générale.
Article XIII
Le mandat du Bureau de direction commence le 1er juillet suivant l’Assemblée générale
annuelle et se termine le 30 juin de l’année suivante.

peut se prévaloir en toute circonstance de son vote prépondérant ;

est remplacé au besoin par le Vice-président ;
est le gardien de la constitution. Article XV

expédie la correspondance courante ;
convoque les membres aux diverses assemblées ;
rédige les ordres du jour et les procès-verbaux ;
conserve les archives ;
assiste au besoin le Trésorier.
Le Trésorier :
• perçoit au nom de l’Association les cotisations ou toute autre somme d’argent et les
dépose dans une institution bancaire désignée par le Bureau de direction ;
• fait rapport de l’exercice financier au Bureau de direction et à l’assemblée générale
annuelle ; cet exercice financier est celui de l’année budgétaire définie par le Bureau
de direction ;
• avec l’autre membre du Bureau de direction mandaté à cette fin par résolution du
Bureau de direction, il signe les chèques, billets et autres effets bancaires ;
• prépare le budget de fonctionnement de l’exercice financier suivant ;
• assiste au besoin le secrétaire.

Les conseillers :

dirigent les publications de l’Association ;
organisent la participation aux congrès de l’ACFAS ;
expédient et diffusent les publications démographiques ;
dirigent un ou plusieurs comités sur décision du Bureau de direction.
Article XIX
Les membres du Bureau de direction peuvent se faire attribuer diverses autres tâches.
Article XX
Le Bureau de direction peut édicter, modifier ou abolir des règlements sur toute matière
découlant de la présente constitution. Ces règlements entrent en vigueur dix jours après leur
publication. Ces règlements sont révocables ou modifiables en tout temps par l’Assemblée
générale, à la majorité simple.
Article XXI
Le Bureau de direction est responsable devant l’Assemblée de l’administration de l’Association,
y compris l’administration financière.
Article XXII
Toute vacance en cours de mandat se produisant à un poste du Bureau de direction, sauf à la
présidence, peut être comblée en faisant appel à un membre en règle de l’Association.
Article XXIII
Le Bureau de direction doit se réunir au moins 4 fois l’an et il ne doit pas s’écouler plus de 4
mois entre deux réunions.
Article XXIV
Le quorum à toute assemblée du Bureau de direction est de 4 membres.
Article XXV
Tout membre du Bureau de direction qui s’absente de deux réunions consécutives sans motif
jugé valable par le Bureau de direction est considéré comme démissionnaire. Le Bureau de
direction peut alors nommer un remplaçant.

Article XXVI
Un membre du Bureau de direction ne peut appartenir au Bureau de direction plus de six
années consécutives.
Article XXVII Une assemblée générale a lieu annuellement à la date fixée par le Bureau de direction.
Article XXVIII Toute assemblée générale est convoquée à un mois d’avis par le Secrétaire à la date, au lieu et
à l’heure fixés par le Bureau de direction.
Article XXIX
Le quorum est de 25% des membres en règle ou 25 membres, des deux nombres le moindre.
Tous les membres présents en règle ont le droit de vote.
Article XXX
Le Bureau de direction peut convoquer des assemblées spéciales pour toute raison jugée
valable. Si 25 membres en règle ou 25% des membres en règle (le moindre des deux)
demandent par écrit la tenue d’une assemblée spéciale, le secrétaire est tenu de la convoquer
dans un délai maximum de 15 jours ouvrables après réception de cette demande.
Article XXXI
Toute modification à la constitution doit être spécifiée dans l’avis de convocation et adoptée
par l’Assemblée générale avec l’appui d’au moins les deux tiers des membres présents en
règle. Toute demande de modification à la constitution doit parvenir au secrétariat par écrit
avant l’envoi de la convocation pour l’assemblée générale et doit obligatoirement figurer dans
l’ordre du jour.
Article XXXII La demande de dissolution de l’Association doit être spécifiée dans la lettre de convocation. La
dissolution doit être acceptée par les deux tiers des membres en règle présents. Après deux
assemblées générales sans quorum, le Bureau de direction peut dissoudre l’Association.
L’Assemblée générale ou le Bureau de direction décideront alors du mode de liquidation des
biens de l’Association.
Article XXXIII Cette constitution entre en vigueur à la clôture de l’assemblée générale durant laquelle elle a
été adoptée.
Article XXXIV En matière de procédures, le code Morin fait autorité.
