MULTIPLICATION PAR TROIS DU NOMBRE DE TITRES
ALTRAN va procéder à la multiplication par trois du nombre de titres composant son capital
à compter du 2 janvier 2001.
L’opération a pour objet de rendre plus accessible le titre aux actionnaires individuels.
En terme patrimonial, cette opération est neutre pour le porteur de titres qui verra
son nombre d’actions multiplié par trois et la valeur boursière du titre divisée par trois.
Techniquement, cette opération prendra la forme d’une division du nominal de l’action par
deux, le nominal passant ainsi de 1 F à 0,5 F suivie d’une augmentation de capital de 15 MF
par prélèvement sur le report à nouveau.
A l’issue de cette opération, le capital d’ALTRAN TECHNOLOGIES sera donc composé de
90 045 846 actions de 0,5 F de nominal soit un capital de 45 022 923 F.
Aucune formalité n’est à accomplir par l’actionnaire qui se verra attribuer automatiquement
les actions supplémentaires correspondant aux actions détenues.
Enfin, à partir du 2 janvier 2001 les porteurs d’obligations convertibles pourront demander la
conversion et/ou l’échange des obligations en actions à raison de trois actions pour une
obligation.

MULTIPLICATION BY THREE OF THE NUMBER OF SHARES
ALTRAN is going to multiply by three the number of shares composing its capital as of the
2n
The purpose of this is to make the shares more accessible to individual shareholders.
In terms of value, this transaction is neutral for the shareholder who will see the
number of his shares multiplied by three and the stock market value of each share divided by
three.
Technically, this will be accomplished by dividing the nominal value of each share by two, the
nominal value thus changing from 1 F to 0,5 F, followed by an increase of capital of 15 MF
taken out of retained earnings.
At the completion of this transaction, the capital of ALTRAN TECHNOLOGIES will be composed
of 90 045 846 shares having each a nominal value of 0,5 F, thus a total capital of 45 022 923 F.
This will be done automatically and no formalities are necessary by the shareholder.

convertible bond.
