These photographs, published in a book of the same name published by Editions de La Martinière in 1993, allow us to put forward the company’s will for proximity, by highlighting the efforts made for the extension of its network throughout the UK. The word « live », made out of natural environmental elements and represented and fully integrated to these, illustrates CNIA SAADA Assurance’s philosophy. In 2010, the IPO of CNIA SAADA Assurance on the Casablanca stock exchange was the natural next step; which met a clear success. With the arrival of new shareholders, both individual and institutional, CNIA SAADA Assurance took a major step and achieved a significant milestone in its corporate life. Our desire to lay the foundations of a sustainable development, based on transparency and market confidence, dictated this proximity positioning. We are pleased to state that we have the strong support of the majority of our employees. This confirms to us once again that our human capital feel totally involved in their institution. Supported by the commercial dynamism of its network, combined with a highly innovative product offering, business growth for CNIA SAADA Assurance was very strong, as evidenced by the increase in turnover to 2.974 million dirhams in 2010, or 5.1% more than 2009. This growth in activity resulted in 7.7% increase of net income to 303 million dirhams and a 9.4% strengthening of the Company’s equity to 2.473 million dirhams. This performance was also the result of an in-depth restructuring of our business processes. As such, I would like to point out that compliance with the 2008-2010 three-year plan was a source of pride for us that confirmed the Company among the industry leaders. An agent of change, this strategic plan allowed for a significant improvement in our operational efficiency and for the alignment of our various solvency metrics and sound governance with the regulatory developments. As part of our strategy of product innovation and in order to improve our competitiveness by responding to market needs, CNIA SAADA Assurance created a new offering in line with each driver’s specific requirements. In this regard, we are very grateful to our agents and brokerage partners, who are our true ambassadors in the field, for their participation in this innovation. With this new product, we reaffirm our number one position in car insurance. Additionally, our sustained efforts for regional development were fruitful. CNIA SAADA Assurance’s network, which expanded in 2010 to over 300 points of sale, is the first network In the country. Our teams did a remarkable job and the involvement of all members of staff greatly contributed to this success. Every employee’s motivation to be the best in his (or her) job and efficient collaboration across all departments enabled this continuous improvement in quality of service and performance. Our aim is to strengthen our position and to further improve all our metrics. To achieve this, we recommend a new evolution of our work processes by simplifying the approach to our work processes. The organization of our business, focused on customer satisfaction, will be enhanced.The gradual implementation of our key projects will strengthen the foundations of our strategy by framing it in a logic of healthy, structured and sustainable growth. Finally, I am convinced that a strong adherence to our core values, of service, respect, fairness and ethics, will help us in the pursuit of our goals. Moulay Hafid Elalamy CEO CNIA SAADA ASSURANCE AND ITS GOVERNANCE 05 CNIA SAADA ASSURANCE AND ITS GOVERNANCE MEMBERSHIP IN THE SAHAM GROUP With the acquisition of CNIA Assurance in 2005 and Es Saada in 2006, then with the merger of these two entities in 2009, the Saham Group has become one of the most important and dynamic networks of agencies in the Kingdom. Shareholder of reference for CNIA SAADA Assurance, the Saham Group holds 59% of the shares and contributes strongly to the strategic, business and technical initiatives implemented by the Company. Nationally, the Saham Group is positioned as a key operator in several sectors of activity, especially in the service fields where it is developing synergies around two complementary additional Core Businesses: Offshoring and Finance. Equipped with a flexible structure and a strong team dedicated to serving organization and development, the Saham Group provides support and operational assistance to its subsidiaries in terms of strategic management and budgeting, cash management and optimization of financing models in audit and internal control. The group also assists them in legal matters and in the management of human resources. Finally, the Group subsidiaries benefit from a competitive intelligence and commercial support for project identification, development of sector analysis and research for business opportunities. As part of its development strategy, favouring a more affirmed coherence and an expanded integration of its businesses, the Group is currently in a creation phase in its healthcare division and in its primary structures for the development of Business Process Outsourcing in insurance. INSURANCE * CONSUMER CREDIT CALL CENTRES In Co-ownership with Bertelsmann, major shareholder and Saham, manager BPO INSURANCE HEALTH SUSTAINABLE DEVELOPMENT 09 This year, the Saham Group also took control of the Colina Group, a leading and very dynamic insurance operation in the Côte d’Ivoire, Cameroon, Gabon, Senegal, Mali, Burkina Faso, Togo, Benin and Madagascar markets.These countries, members of the Fédération des Sociétés d’Assurances de Droit National Africaines (FANAF) together account for 85% of all premiums issued.With the exception of Madagascar, these countries also belong to the Inter-African Conference for the Insurance Markets (CIMA), which regulates the market and operates a centralized supervision. This major international external growth operation enables the Saham Group to access a growing panAfrican market where the rate of insurance penetration remains very low. 011 CNIA SAADA ASSURANCE AND ITS GOVERNANCE SYSTEM OF GOVERNANCE Currently, the Board of Directors for CNIA SAADA has seven Directors including two Executive Directors: Procedural Committees Board of Directors Its mission is primarily to determine the strategic direction for the Company and to ensure its implementation. In addition, under its rules of procedure, certain significant decisions are subject to its approval. Thus, this last point discussed by the Board of Directors enabled the strengthening of CNIA SAADA Assurance governance with the appointment of Mr. Mehdi Tazi as Chief Operating Officer. The Board of Directors also proposed the appointment of three new directors: • Mr. Mohamed Berrada, currently Professor at the Faculty of Law, Economics and Social Sciences in Casablanca and President of the Center for Research Links; • Mr. Alberto Rossetti, currently Vice President of BANCA UBAE spa; • Mr. Mohamed Elalamy, formerly Director of Risk Management and Brokerage in the Al Wataniya insurance company and currently Managing Director in charge of Insurance Operations for CNIA SAADA Assurance. In 2010, the average attendance at meetings of the Board of Directors was 100%. Most of these committees were created following the merger of CNIA Assurance and les Assurances Es Saada and from the need for good governance that resulted from this process. GOVERNANCE COMMITTEES 1. Strategic Committee Its mission consists of defining the company strategy and its implementation through governance, policy and decision making. The Strategy Committee is the guarantor of the proper implementation of the governance and its modification. It is responsible for past levels of trade-offs and improvement of the Company performance, but also for annual approval of the underwriting policy, the investment strategy and the monitoring of its implementation, and finally the policy management of counterparty risk related to intermediaries and to policyholders. 2. Audit Committee Its main mission is to assist the Board in its role of overseeing the financial reporting process and the internal control system, particularly in the audit process and the process intended to ensure compliance with laws, regulations and the code of conduct. The Audit Committee performs several functions: • reviewing the financial statements • studying the methods of estimation and evaluation of assets and liabilities • analysing the findings from internal and external audits • estimating the performance of external auditors and issuing notices concerning their appointment or their dismissal • making assessments of the quality of internal control • ensuring the independence of the internal audit • reviewing and approving the annual internal audit plan • ensuring compliance with laws, regulations and the code of conduct • initiating and overseeing special investigations, where applicable • providing regular reports to the Board of Directors on committee activities, key issues and significant risks identified and the corresponding recommendations. OPERATIONAL COMMITTEES 1. Executive Committee The role of the Executive Committee is, in general, to lead all of the activities of CNIA SAADA Assurance. It is responsible for implementation, adaptations or shifts in strategy, operational decision-making as well as the monitoring of Company activities (financial control). It is composed of nine permanent members. GHITA LAHLOU, Chief Executive Officer A graduate of the Ecole Centrale de Paris, El Yacoubi Ghita Lahlou began his career as a consultant at Arthur Andersen in Paris. Returning to Morocco in 1993, El Yacoubi Ghita Lahlou held the position of Chief Financial Officer within Altair Technologies. In 1994, she joined the ONA group as a special assistant to the president and in 1996 and took the head of the Human Resources and Communications Directorate. In 1998, she was appointed to the Human Resources, Purchasing and Marketing Directorate of Marjane, a subsidiary of ONA specializing in retail distribution. In 2001, El Yacoubi Ghita Lahlou joined Saham as Director General of Phone Assistance. Today she holds the position of Director General of Saham and Chief Executive Officer of CNIA SAADA Assurance. In addition, El Yacoubi Ghita Lahlou is Honorary President of the Moroccan Association of Customer Relationship Centres. CNIA SAADA ASSURANCE AND ITS GOVERNANCE 15 MOHAMED ELALAMY Assistant CEO MEHDI TAZI Chief Operating Officer After completing veterinary studies at the University of Brussels in 1972, Mohamed Elalamy began his career in the Al Watanyia insurance company as head of the live office in Marrakech and then Head of the Casualty and Brokerage Department in Casablanca. In 1978, Mohamed joined Elalamy Sidarsa, insurance brokerage firm, as Director. He became head of the Agma brokerage in 1989 and piloted its initial public offering on the stock market in 1998. In 2001 he headed the real estate division of SAHAM and the African Depots. After having managed the CNIA SAADA Assurance operations, Mohamed Elalamy is now Assistant CEO. Mohamed Elalamy has also been President of FNACAM and a Member of CCA. A graduate of Télécom Paris South and holder of an MBA from INSEAD, Mehdi Tazi began his professional career in 1999 at KPMG Consulting France. In 2005, he joined the Saham Group as Development Director and has contributed in particular in the management of acquisition operations and disposals of subsidiaries, the restructuring of the distribution network and the implementation of structural projects for support functions (HR, communications, treasury and legal) at the Group level. In 2008 he was appointed Managing Director of Isaaf Mondial Assistance after having fulfilled the function of Assistant Managing Director for 14 months. On January 1st, 2011, Mehdi Tazi joined CNIA SAADA Assurance as Chief Operating Officer. CNIA SAADA ASSURANCE AND ITS GOVERNANCE YOUSSEF BENABDELLAH Deputy Managing Director Management Center After earning an engineering degree in 1998 issued by the Ecole des Hautes Etudes Industrielles de Lille, Youssef Benabdellah graduated as an Engineer in Management and Industrial Organization from ICAI Madrid. In 1997 he began his professional career by joining Heymo Ingeneria in Madrid where he was responsible for designing and supervising the construction of cogeneration power plants. He returned to Morocco in 2000 and joined Arthur Andersen as Business Consultant the same year. As such he oversaw many strategic and corporate restructuring projects in Morocco, mainly in the financial sector. Youssef Benabdellah joined CNIA SAADA Assurance in 2006 and now holds the post of Deputy Managing Director of the Management Department DRISS BENCHAFFAI Deputy Managing Director Finance and Support Department Driss Benchaffaï is a Public Works Engineer and graduate of ESTP in Paris in 2000. The same year, he joined, in 2000, the Accenture consulting firm in Paris, where he remained until 2010 as a consultant. As such, he participated in several consulting assignments in the financial sector, particularly merger transactions such as the merger of Groupama and Gan Insurance in France, the merger of BCM and Wafabank as well as the merger of CNIA Assurance and les assurances Es Saada. In 2010, Driss Benchaffai joined CNIA SAADA Assurance as Deputy Managing Director in charge of the Program Directorate before heading the Support and Finance Department. FOUAD BENCHEKROUN Deputy Managing Director Individual and Professionals Market Development department After graduating in 1986 with a Masters in Mathematics from the Paul Sabatier University in Toulouse, Fouad Benchekroun successively earned, between 1987 and 1989, a Master’s Degree in engineering of industrial processes from ENSIGC in Toulouse, a Graduate Diploma in computer models and mathematics from Paul Sabatier University in Toulouse and a specialized Master’s degree in automated information systems management at Sup de Co Toulouse. He joined Es Saada in 1994 and today, within CNIA SAADA, holds the position of Deputy Managing Director in charge of the Individual and Professional Market Development Department. 17 ABDELWAHAB ELAISSAOUI Deputy Managing Director Risk and Portfolio Monitoring Abdelwahab Elaissaoui holds a Master’s Degree in Statistics from the University Paris IV in 1985.Then in 1989, he obtained a Diploma in Actuarial Statistics from the same university. Abdelwahab Elaissaoui held, between 1991 and 2007, the position of Director of Research and Technical Support at AXA Insurance Morocco. In 2007, he joined CNIA SAADA Assurance and today holds the position of Deputy Managing Director responsible for Risk and Portfolio Monitoring. SOUAD NACIRI Deputy Managing Director Portfolio Monitoring Souad Naciri is a laureate of the Ecole Nationale Superieure de Physique de Strasbourg, and graduated in 1989 as a State Engineer. She is also a graduate of the Executive Education and Strategic Management Program that she followed at IMD in Lausanne in 1999. Souad Naciri began her career in 1990 with Al Amane, where she held the position of Business Risk Underwriter, then that of Head of the Business Risk Department. In 1998, Souad Naciri joined the Zurich insurance company where she officiated as Technical Director Life and Non-life and Deputy Director of Large Companies for a year before moving to the functions of Head of Broker Animation, Underwriting and Life and Non-life Production Portfolio Broker. Souad Naciri joined CNIA SAADA Assurance in 2005 and held until 2010 the position of Assistant General Manager, Company Market Development Sector. Today, she is responsible for Portfolio Monitoring. CNIA SAADA ASSURANCE AND ITS GOVERNANCE 19 2. Management Committee Its role consists of implementing strategy and providing information on all decisions relating to the Company. The Management Committee explains the strategy and policy choices and manages their implementation. It provides financial reporting and exchanges on operational issues. It is also at this committee that actions to be put into place are defined and monitored. Steering Committee The mission of the Steering Committee is in general to lead all projects placed under the responsibility of Program Management. It is responsible for the project progress, trade-offs and project decision-making. 4. Underwriting Committee SAÏD BOUDARF Collection Deputy Director Its mission consists of defining the underwriting policy for the company and monitoring its implementation, particularly through the reporting of Compensation and Monitoring, Marketing and Renewal Committees. The Underwriting Committee sets out the exclusions and ensures their formal communication to subscribers and the network. It validates the concentration limits (zone, aggregate per capita) and sets the broad underwriting outlines by branch, their approval and their annual review. It also validates the design of new products and it is also this committee that is responsible to receive and review findings of the Compensation and Monitoring, Marketing and Renewal Committees and the implementation of necessary trade-offs. Renewal Committee ATIF SAHRAOUI Deputy Director of Subscriptions and Brokers services AMINA TOUHAMI Deputy Director Architecture and Organization The Renewal Committee defines the renewal goals approved by the underwriting committee and performs the monitoring of related achievements. Its function is the formal communication of exclusions to subscribers and the network. It is also responsible for the unification of the Company approach by coordinating the responses to be given to a consultation or to a tender. It monitors market behaviour (aggression, agreement) to be very reactive. It exchanges information about customers, the business environment, the market and intermediaries. It is also the Renewal Committee that defines responsibilities, actions, the list of prospective customers and intermediaries. It provides reporting on the flow of consultations, cancellations, renewals and achievements in accordance with the objectives set by General Management. 6. Supervisory Committee Its mission is to synergize all decisions related to portfolio monitoring and good risk management and the valuation rules. The Supervisory Committee feeds and updates the list of bad risks. It is also entrusted with the review of risk indicators by branch, product, and intermediary and by region, as well as the identification of emerging risks related to new claims through the information provided by the compensation managers. Marketing and Product Development Committee 9. Investment Committee Its mission is to monitor the development and life cycle of products and decide on their launch, their overhaul or their placement into run-off. This committee is also responsible for offering new products and providing information on the progress of products in progress. It follows sales achievements and new product profitability compared to the targets set. It ensures the coordination between the entities involved in their implementation and carries out market intelligence by collecting information about competitors, products and prices. Its mission is to define the investment strategy for the Company and to perform the operational monitoring of its implementation. It provides arbitration on the investment strategy and presents the market trends. It manages the validation of authorities and the limits in terms of investments (allocation of risk) and possible overruns (exceptional items). It oversees the implementation of investment policy by carrying out a monthly analysis of portfolio structure, performance, sector exposure and concentration by issuer. 8. Organization and Information Systems Committee 10. Reinsurance Committee Its mission is to review performance and quality indicators for Information Systems (IS). The Organization and IS Committee makes all decisions on IS investments. It presents the status of the various projects or major projects. It provides the definition and ensures the monitoring of the maintenance portfolio for each entity as well as the establishment of performance indicators in terms of service level commitments (SLA - Service Level Agreement). It ensures visibility of the portfolio of IS projects, the review of this portfolio and the IS indicators. It provides the overall management of the organization process. The Reinsurance Committee defines and implements the reinsurance plan for the Company. It approves the reinsurance program and the selection criteria for reinsurers and ensures monitoring of the counterparty risk related to the reinsurers. It performs the validation of quotations, documents the cost of reinsurance and evaluates the performance of the reinsurance plan for the semester or the year gone by. 10. Recovery Committee Its mission consists of defining the management policy for the counterparty risk associated with intermediaries and policyholders and to monitor its implementation.The Committee approves the timeframes for recovery (intermediaries and policyholders) and monitors the exposure to counterparty risk. Finally, it decides on placement into litigation. CNIA SAADA ASSURANCE AND ITS GOVERNANCE 25 ORGANISATION INTO TWO BRANCHES CNIA SAADA Assurance is organized into two Branches with complementary activities: the Business Development Branch and the Support and Business Line Branch.This classification supports the proximity policy adopted by the company and allows it to customize the services it offers to its customers and partners while maintaining a high level of performance. Business Development Branch This entity responds to the Company’s business development imperatives. The main tasks of the entities attached to it are the development of markets for individuals and professionals, and those for companies as well as innovation in terms of product offers and communication. The Business Development Branch also manages the animation of the distribution network and the underwriting processes. Support and Business Line Branch This Support and Business Line Branch regroups four major areas or poles in which coordination aims at optimal efficiency: the Management Pole, the Actuarial and Reinsurance Pole the Portfolio Monitoring Pole and the Support and Finance Pole. This Support and Business Line Branch is also involved in the production of added value in the settlement of claims to policyholders in all branches overall. Human Resources and Logistics, Finance, Organization and Information Systems, Communications, Management Control and Quality, participate actively in application and compliance with the current standards and regulations. To these two branches, an Asset Management department is added which manages the daily financial investment products and property of the Company. The National Infrastructure Plan in its entirety, the Green Morocco Plan in its specificity, the results of the tourism sector and the progress made in the area of transportation were all factors that enabled this positive outcome. In 2010, the insurance industry raised savings of more than 6 billion dirhams, or a stock of over 100 billion in the national economy at the end of the year.The insurance industry thus has a role as an institutional investor that places it as a first underwriter of State loans and first investor on the Casablanca Stock Exchange. Thus, despite the slight slowdown in growth that the national economy has shown since 2008, there was a good agricultural crop and a recovery in non-agricultural activities, particularly in mining and energy activities and in the service sectors. According to the High Planning Commission, the growth of the gross domestic product (GDP) in 2010 increased by approximately 3.2%. Steady inflation at 2.2% was also observed, a coverage rate of 74.3% of the deficit in the trade balance (goods and services) as well as an increase in revenue from Moroccans Residing Abroad and a travel account surplus (7.7% and 5% respectively). 2010 also registered a performance of 21.2% on the stock market, after having seen a decline of 5% in 2009 and 13% in 2008. The transaction flow meanwhile amounted to 163 billion dirhams, an increase of 47.6% over 2009. The restructuring of the ONA, the country’s largest conglomerate, contributed largely to this dynamic. Note also the acquisition announced in September of 40% of Meditel by France Telecom for the amount of $640 million, after Telefonica and Portugal Telecom sold their shares (32%) in 2009. The sector also ended the year up 4.5% with a turnover going from 20.9 to 21.9 billion dirhams. The slowdown in this trend, compared to the 2004-2009 period which saw an average annual growth rate of 11.44%, is explained by contrasting trends between the life branch (+7% in 2010) and the non-life branch (-0.9%). The structure of revenues from the non-life sector changed very little between 2009 and 2010. The main generators of insurance premiums remain vehicle insurance (47%), personal injury (18%) and workplace accidents (12%) and represents 77% of the total premiums issued in 2010. 1. Premiums issued by insurance company The following table shows the change in revenues for insurance companies over the period 2008-2010.This year, the first six insurers account for close to 79% of the market share. CHANGE On March 23, 2010, the international agency Standard & Poor’s upgraded Morocco’s sovereign credit rating for long-term debt in foreign currency from “BB +” to “BBB” and debt in local currency long-term from “BBB” to “BBB +” with a stable outlook. Standard & Poor’s also raised Morocco’s rating in short-term foreign currency from “B” to “A 3” and the short-term rating in local currency from “A3” to “A2”. The Kingdom thus becomes the 15th country that has access to the investment grade in the Standard & Poor’s rating scale; a decision already taken in 2007 and confirmed in October 2009 by Fitch Ratings. MARKET SHARE WAFA Assurance Assurance The government expects stronger growth in 2011 of approximately 5%.The other macroeconomic indicators are good news. This reorganization concerned the profession’s business lines and was engaged both on the legal side as on the side of regulation and training, and even structurally. 1. Insurance Sector Contract Program The implementation of the Contract Programme in the insurance industry which began in 2009 acceded to the syndication phase on September 1st, 2010, then to the finalization phase after negotiation of the various measures with the ministries concerned. This Agreement Program is a set of objectives, including the promotion of the profession, increasing the rate of penetration of insurance in the economic and social fabric, encouraging long-term savings, and strengthening the sector as a lever for the economic, social and financial support of our country. 2. Market Regulation On the regulatory front, 2010 was marked by the review and adoption of a number of laws governing insurance activities Note also in this respect the order completing and amending the Order of the Minister of Economy and Finance of October 10, 2005 concerning insurance and reinsurance companies. The developments introduced concern the rules for the establishment of technical provisions and thresholds for assets acceptable as coverage for the said provisions. Thus, the provision for fluctuations in claims (PFS) went down from 50% to 35% for occupational accident insurance and Civil Liability Automobile whereas the threshold for removal or sale of the assets covered went from 130% to 120%. These measures are accompanied by the admission of equity investments in insurance companies and foreign reinsurance at up to 5% of the technical provisions. Also note the proposed decree setting out the general standard conditions for Professional Civil Liability Insurance Intermediaries insurance contracts. This decree essentially defines the obligations of the intermediary and sets up the responsibility under the plan. It guarantees the intermediary against the financial consequences of tort and/or contractual civil liability that he/she may incur by reason of damage caused to third parties because of their professional activity, such as it is defined by the law, regulations and practices and within the limits of the authorization that is granted to them by the Ministry of Finance. In addition, the decree on the tariff to be applied to the constitution of pensions allocated for compensation for industrial accidents and occupational diseases, published in December 2010, repeals a decree of 1959 changing as such the rating criteria applicable to reconcile them with those used the calculation of mathematical reserves as defined in Article 16 of the Decree of October 10, 2005. Finally, the draft law on compensation for workplace accidents and on those related to the coverage of risks related to catastrophic events were considered by the Council of Government. These two proposed laws are of major importance for the insurance sector. 33 4. Finance Bill The 2011 Finance Bill is intended to introduce four new products for the insurance industry, which are: • the elimination of the tax of 3.5% on Capitalization contracts; • the establishment of a new compulsory insurance to cover the professional civil liability of public accountants; • the reduction of customs tariffs on vehicle imports; • the introduction of tax benefits for share (PEA), education and housing savings plans. 5. New Highway Code October 1st, 2010 saw the entry into force of the new Highway Code.The latter was part of the government’s strategy for road safety to fight against traffic accidents. Resolutely oriented towards future, it includes news features and developments related to mobility and traffic in terms of technology, education and enforcement. Legal framework of reference, its objective is to clarify the rights and duties of road users and the promotion of a culture that promotes the safe and responsible use of road space. A major reform project, it was also a true national initiative whose final aim is to entrench the values of civility, citizenship, coexistence and social peace, and this in a modern legislative framework guaranteeing the right of individuals and the community to life and security of travel. According to the FMSAR Directorate General, positive impacts of the new Highway Code are expected with respect to claims and thus on a lowering of the number of traffic accidents and their severity. However, it adds that it is still too early to be able to observe trends given that the code only came into effect in October 2010 and that all of the provisions are not yet in effect to date. HIGHLIGHTS 35 6. The Moroccan Federation of Insurance and Reinsurance Companies 7. Initial public offering and international equity acquisition The Moroccan Federation of Insurance and Reinsurance Companies (FMSAR) has launched a new Internet site to support the changes facing the insurance industry and to promote the profession (www.fmsar.org. ma). A space for exchange and information, this site is dedicated to the public as well as to members of the Federation. In 2010, the CNIA SAADA Assurance company completed an initial public offering of 15% of its capital stock, or 617.531 shares. With this offering, CNIA SAADA Assurance is the third insurance company to enter the first compartment of the Casablanca Stock Exchange. In addition, the SAHAM Group, reference shareholder of CNIA SAADA Assurance, acquired the COLINA Group, of the pan-African leaders in insurance. This acquisition is intended to support the development of the Group To support the entry into force of the new Highway Code, in October 2010 FMSAR launched a communications campaign intended to promote the new provisions of the code and to support the government in their information and awareness activities. A section dedicated to the Highway Code has thus been posted on the FMSAR website in order to offer site visitors more information In addition, as part of the opening of the sector towards its environment and its active participation in discussion of topics related to insurance, FMSAR participated, organized and sponsored numerous general and professional events including in particular: • the African Reinsurance Forum; • a workshop discussion on the co-insurance charter; • the seminar on the program contract with FNACAM; • the seminar on money laundering with UTRF; • and the round table on improving SME access to insurance. The FMSAR also participated in the organization of an examination for the benefit of intermediaries in collaboration with the Department of Insurance and Social Welfare. This professional examination session was scheduled to meet the demand of insurance companies and the growing interest in the business from insurance intermediaries. This session was marked by strong participation and a success rate of 65% for agents and 26% for brokers. 8. Reduction of customs tariffs on vehicle imports On March 1st, 2010, the customs tariffs on new vehicles from the European Union fell from 11.8% to 7.7%, while awaiting a complete removal of the customs barriers in 2012. Tariffs on imported vehicles from the United States and Turkey are also lower, although less so, by 4%. Importers are relying on this tariff restructuring to increase the number of imported vehicles. 9. Proposed natural disaster insurance bill Since 2003, the Moroccan government, with support from the World Bank and the Swiss Cooperation, has decided to carry out an integrated national strategy for the prevention, management and hedging of the financial risks related to natural disasters. The objective is to provide the country with a compulsory scheme for insurance companies that will necessarily provide safeguards for their insurers against damage resulting from natural disasters with the exception of some buildings considered to be too fragile. The floods that occurred in November 2010 and that have been responsible for considerable loss of life, extensive damage and significant deficits economically and environmentally have had the effect of activating the adoption of the proposed bill relating thereto. HIGHLIGHTS 37 HIGHLIGHTS OF THE 2010 TAX YEAR A SUCCESSFUL INITIAL PUBLIC OFFERING CNIA SAADA ASSURANCE POSITIONING Since the merger of CNIA Assurance and les assurances Es Saada, CNIA SAADA Assurance has persevered in the growth of its business and the development of a sound financial footing. In 2010, CNIA SAADA Assurance occupied 4th place in the insurance market and 2nd place in nonlife operations. CNIA SAADA Assurance is present in all insurance categories. However, a clear strategic direction matched with significant marketing efforts have been put in place to consolidate its position as leader in automobile and transportation insurance. Today the company occupies 2nd second place in the category of bodily injury. Motivated by a qualitative objective of proximity, CNIA SAADA Assurance is constantly innovating by being responsive to its partners and anticipating their needs. It is as such that the company was the first insurance group in Morocco to launch a commercial website and to create an express automobile compensation centre. The transaction for the initial public offering for the Company is also part of the continuing process of development and modernization undertaken by the company since its acquisition by the Saham Group. Strengthened by the support of its majority shareholder, and because of this initial public offering, CNIA SAADA Assurance has moved towards a greater proximity to the general public and institutional investors. HIGHLIGHTS 39 1. Framework for the transaction 4. Structure of the offer On July 8, 2010, the CNIA SAADA Board of Directors proposed to proceed with the introduction of the Company in the first compartment of the Casablanca Stock Exchange by selling 15% of its capital stock to the public, or 617.531 shares. The total amount of the transaction for the public offering by assignment of shares was 644 702 364 dirhams, on the basis of a Fixed Price Offer of 1044 dirhams per share. The subscription period was set from November 2 - 5, 2010 with the possibility of early closure after November 3, 2010. In the interest of transparency, the offer was divided into six types of orders with differentiated allocation rules. Given the size of the company and its development prospects, the market conditions considered to be favourable, and the possibility of offering liquidity in the shares held by the current shareholder, the company PAIP OCAP Sub-3, this proposal was approved unanimously by the Board of Directors. The latter decided to set all of the terms for the public offering by way of assignment of shares of the company and in particular, to determine the structure of the offer by investor category. On September 16, 2010, the sale price for the shares was set at 1.044 dirhams. On October 25, 2010, CNIA SAADA Assurance officially announced its introduction to the Casablanca Stock Exchange and on November 22, the bell rang to celebrate the first listing of the CNIA SAADA Assurance shares. 2. Objectives of the transaction The CNIA SAADA Assurance public offering is the culmination of a long process of growth that had several intended objectives and results: •to continue and to strengthen the commitment to transparency and performance of which the company is part by submitting to the judgments of the market; •to provide liquidity in the shares held by PCAIP PCAB-3 Sub, shareholder assignee of all of its holdings in the company as part of the transaction; •to motivate and loyalize CNIA SAADA Assurance employees and insurance intermediaries by associating them with company capital stock; •to consolidate the institutionalization of the company and its capital stock by opening the shareholding to the public, institutional investors as well as employees and partners of the company; •to develop the company’s reputation with the financial community and the general public; •to facilitate the use of external financing through direct access to financial markets. 3. Assignment of capital This initial public offering by the assignment of capital stock of 617.531 shares was made possible because of three assigning shareholders: •PCAIP - PAIP up to 479.569 shares, representing 11.65% of the capital; •SAHAM Finances up to 96.793 shares, representing 2.35% of the capital; •SANAM Holding up to 41.169 shares, representing 1.00% of the capital. The other shareholders holding 5% or more of the capital of the company had no plans to take part in this initial public offering. The CNIA SAADA Assurance officers, themselves, planned to participate in the transaction. The first type of order was reserved for permanent employees of CNIA SAADA Assurance, irrespective of seniority. Thus, 60.729 shares, representing 9.8% of the total number of shares offered and 1.5% of the capital stock, was allocated to them. The latter, in addition to the discount of 10% of the share price, enjoyed a flexibility never before seen in Morocco: no time restriction for the purchase and sale of their shares was imposed on them. They also received credit offers at preferential rates to help to finance this purchase. For employees not at the rank of Director or higher, the maximum subscription was set at six months of gross salary. The second type of order was reserved for all of the intermediaries (agents and brokers) working commercially exclusively or not with CNIA SAADA Assurance. This was 40.259 shares, representing 10.2% of the total number of shares offered and 1.5% of the capital stock, which was allocated to subscribers of this type of order. The third type order was intended for the general public, Moroccan and foreign individual persons resident or non-resident in Morocco, wishing to acquire CNIA SAADA Assurance shares. Representing 31% of the transaction, this type of order was the largest operation in terms of numbers. Thus, 214.089 shares, representing 31.0% of the total number of shares offered and 4.7% of the capital stock, were allocated to policyholders. A ceiling of subscriptions of 100 shares, or 104.400 dirhams, was set for them. The fourth type of order concerned Moroccan and foreign legal entities not belonging to the class of investors authorized to subscribe to order types V and VI. These were 81.418 shares, representing 13.2% of the total number of shares offered and 2% of the capital stock, which were offered for this type of order. A ceiling of 8.142 shares, or 8.500.248 dirhams, was set for these. The fifth type of order was reserved for Collective Investment Schemes governed by the Dahir bearing No. 1-93-213 of 4 Rabii II, 1414 (September 21, 1993), shares and diversities under Moroccan law. Thus, 143.678 shares, representing 23.3% of the total number of shares offered and 3.5% of the capital stock, were allocated for this type of order. The sixth and final type of order was intended to be for qualified investors by nature under Article 12-3 of the Dahir bearing No. 1-93-212 under Moroccan law. Thus, 77.358 shares, representing 12.5% of the total number of shares offered and 1.9% of the capital stock, were reserved for insurance and reassurance companies as governed by Law 17-99 of the Insurance Code; for benefit and pension agencies; and for the Caisse de Depot et de Gestion. A ceiling of 30.876 shares, or 31.124.544 dirhams, was set for these. HIGHLIGHTS 5. Indeed, the weight of the insurance sector in the capitalization market increased from 2.6% to 3.5%. Communication on the initial public offering Recognizing the vital role of an advertising campaign announcing an initial public offering, CNIA SAADA Assurance paid particular attention before, during and after this transaction. The campaign was thus distributed over three phases. The main challenge of the first phase of this communication was to remind the financial community, the economic press, the public authorities but also the general public that CNIA SAADA Assurance is a high performing, innovative insurer, and constantly moving forward. By putting indisputable factual arguments in the forefront, such as the 1st network of agencies in Morocco, the No. 1 in auto insurance, the No. 1 in supplementary private health insurance and the 1st first commercial insurance merchant in Morocco, CNIA SAADA Assurance highlighted the Company efforts Company for more accessibility and proximity with its public. The second phase of this campaign consisted of informing the public and potential investors of the impending CNIA SAADA Assurance initial public offering. The event was officially announced by CNIA SAADA Assurance executives at a news conference. An exhaustive briefing note was also made available to the public through all members of the investment syndicate. A brochure summarizing the details of this transaction was available in the banks and brokerage firms participating in this initial public offering. The early closing, effective Wednesday, November 3 at 18h, was announced in the press this same morning. Finally, during the third phase of this communications campaign, CNIA SAADA Assurance thanked all of its new shareholders for participating in the initial public offering of its capital stock. The three phases of the campaign were relayed by all the traditional media (newspapers, billboards, radio, brochures, POS, etc.) in order to give maximum visibility to the event. HIGHLIGHTS A NEW AUTOMOBILE INSURANCE PRODUCT 1. Custom made car insurance 2010 was also marked by a second major fact concerning product innovation. Thus, in November 2010, CNIA SAADA Assurance launched CNIA SAADA AUTO, a product built to meet the specific requirements of each motorist and to offer customized pricing for each. 47 2. Communications around the launch of this new product The launch of CNIA SAADA AUTO was subject of a communication campaign in the traditional media (television, press, radio and display) according to the humorous tone selected by the Company for over a year.The objective of this campaign was to create the event on the market and to seduce the consumer with this new product and generate traffic in the CNIA SAADA Assurance agencies. Born from a combination of leading Addamane Auto and Essalama Auto products, this new product is designed to perpetuate the positioning of CNIA SAADA Assurance as No. 1 in the automobile insurance market. By establishing this policy of customized insurance, CNIA SAADA Assurance has met a dual proximity objective: with the subscribers to whom it provides better service quality at the right price and with the intermediaries and employees that it enables to better meet the needs of their customers. The creation of this innovative CNIA SAADA AUTO offering is part of the “Live your life” platform which liberates the insured by offering a product that meets their needs and requirements. Thus, by subscribing to Civil Liability, the insured can choose between different services according to their needs, their vehicle and their budget. They also benefits from extensive and free assistance options with up to 32 assistance services in case of accident or breakdown. In addition, CNIA SAADA AUTO offers several extended coverages exclusive on the market such as: • “first event fire and theft” coverage that allows the driver to be covered for two types of coverage at the price of one; • “extended collision” coverage that reimburses the CNIA SAADA AUTO insured party for up to 100% of the value of their vehicle, whether they are responsible or not. This campaign was supported by a street marketing operation in Casablanca, Rabat, Marrakech, Tangier, Agadir, Oujda and Meknes in order to create a buzz, to arouse the curiosity of motorists and to invite them to visit the CNIA SAADA Assurance agencies. This was then followed up by a major digital campaign starting in January 2011.Then, through an educational and fun Facebook page updated daily, CNIA SAADA Assurance took a new step towards its customers and prospects. This policy of proximity will continue to be reinforced by the broadcasting of several videos revealing behind the scenes footage of the three commercials on a set of Moroccan blogs and influential sites with player expand, a new and unique technology in Morocco. 2010 ACTIVITY 47 2010 ACTIVITY 51 IMPLEMENTATION OF PROCESSES 2. Internal Control Several projects unleashed during the process of merging the CNIA Assurance and les assurances Es Saada companies were successfully completed during 2010. Thus, CNIA SAADA Assurance continued to innovate both in terms of products, distribution as well as management to perpetuate its productivity. The main achievements related to Steering and Internal Control, the Individual, Professional and Company Market Development Poles as well as the Support and Business Line Pole. Establishment of a system of Asset-Liability Management (ALM) CNIA SAADA Assurance is the first company in the market to have adopted an in-house management Asset-Liability Management (ALM) device consistent with DAPS recommendations and to best practices from the qualitative pillar of Solvency II. This device allows the modelling of assets, liabilities and the interaction between the two, projecting respectively the return on assets and the flow of services by branch. With the introduction of this tool for strategic management, the Company no longer needs to outsource this activity. With a direct impact at the level of investment policies, underwriting or pricing, this device also allows better management of crises. Stress tests conducted twice a year enable assessment of the repercussions of various scenarios and the ability of the Company to absorb shocks. STEERING AND INTERNAL CONTROL In preparation for the CNIA SAADA Assurance initial public offering and in order to make a number of management actions independent, several adjustments were made at the level of internal control for the Company. To successfully accomplish this redesign project, a unit dedicated to internal control and another to risk management were created. The audit procedures, in addition to the first and second level layers of control were also strengthened. 1. Steering 2010 was marked by the establishment of a Business Intelligence tool (COGNOS) whereby the Company could measure, understand and anticipate its financial and operational performance. This tool allows performance to be driven through fast access and an in-depth analysis of information in order to anticipate outcomes and to improve achievement. Risk mapping update In 2010, CNIA SAADA Assurance opted for complete autonomy by carrying out the development of tools for portfolio monitoring and the updating of risk mapping. This update will help to instil a notion of risk management at all levels of operational management and to ensure better control of this activity. Design and implementation of a computerized recovery plan In order to protect its data and better maintain its archives, CNIA SAADA Assurance implemented a Computer Recovery Plan. Thus, a back-up site dedicated to the data replication of all of the 70 production servers of the head office was created. It ensures continuity of the Information Systems in case of disaster. In addition, a new equipment room and monitoring system for the computer platform completes the equipment for the Organization and Information Systems Directorate. Design and implementation of an evacuation and emergency fire plan The safety project deployed in 2010, including an evacuation and emergency fire plan, will allow the Company to deal with critical situations and serious emergencies. Thus, emergency exits were clearly identified and extinguishers and large-scale maps on which evacuation routes and lines of service are marked were put in place on all floors. 2010 ACTIVITY 53 Individual, Professional and Company Market Development Pole To support these changes, the Company opted for normalization of its agency network and encouraged each one of them to adopt a unique charter containing the same visual identity. 2010 was particularly oriented towards the individual market, both with the launch of a new automobile product and by extending the Company network. Cap 2013 was the main project started this year. On September 24, 2010, the first annual convention of the CNIA SAADA Assurance network was held. Bringing together nearly 300 agents, the objective of this event was to take stock of the achievements and measures taken by the Company to facilitate their mission. On this occasion, the results of the audit on the welcome and quality of service received by the firm LMS, with 272 agencies who each received a visit from two mystery shoppers, were presented. Executives from Amicale also presented the review of their tour of the regions, a remarkable initiative that allowed agents to listen to, identify malfunctions and especially to find solutions to address them. This agreement also provided a brief review of the Challenges Automobile program, a joint program carried out with the brokers and where prizes were awarded to the most high performing among them. 1. Cap 2013: a network oriented towards sales CNIA SAADA Assurance aims to become a reference network, a leader in the market for the distribution of insurance. Launched in March 2010, Cap 2013 is an integrated project that has three major objectives: • to improve the commercial performance of the agent network; • to structure, professionalize and industrialize the commercial animation function; • to adapt the commercial animation to the different segments of agents. Cap 2013 includes many actions that will allow these objectives to be achieved and that will help the agents to increase their business performance. Thus, six operational levers were identified: • the establishment of a new agency organization, including models appropriate to each segment and to the size of the agency and sales missions for all employees; • the definition of new sales methods and a prospecting plan per agency, including a catalogue of local initiatives; • the introduction of new methods of commercial management specifying the sales targets for all employees and focusing on the deployment of best practices in Human Resources and Management; • the multiplication of the training provided to both agents and to their employees (sales methods, prospecting methods; organization, management and steering of the agency); • the reorganization and strengthening of commercial animation by a distribution of the portfolios tailored to each segment and a redefinition of the role of the commercial facilitator • the geolocation by GPS coordinates of the CNIA SAADA Assurance points of sale, as well as the definition of the catchment areas for each agent and localization of the potential areas. In order to bring together the teams around this new challenge and to mark the launch of the Cap 2013 project internally, team building sessions and alternating field exercises were held at the Terres d’Amanar in Marrakech. 2010 ACTIVITY In 2010, CNIA SAADA Assurance took a big step forward in its ambition to become the leader in the insurance distribution market with the opening of 25 new agencies and 35 points of sale, bringing the number of operational agencies at December 31, 2010 to 311. In addition, the internal success rate for the professional examination organized by the Directorate of Insurance and Social Welfare allows for the prediction each year of the qualification of many people for the profession of insurance intermediary. In 2010, of the 25 CNIA SAADA Assurance candidates who participated in the examination, 21 candidates were successful. 55 SUPPORT AND BUSINESS LINE POLE In 2010, the Support and Business Line Pole had a review of several of its processes. Listening to its intermediaries and agents, the Company identified some shortcomings, mainly about the quality of service, which it intends to address quickly. 1. Review of the Recovery Process In addition, 10 technical visit centres affiliated with the Company were opened in the latter part of this year and a second Check Auto Express was launched in Marrakech. Finally, the sales for the Individual and Professional Market pole increased by 7.25% between December 2009 and December 2010 to reach 2.09 billion dirhams. (comma or not?) The recovery department carried out a review of its process. In order to clean the accounts and to process the stock outstanding, a dedicated team of 11 people lent a hand to the 15 permanent account managers. This operation also included a review of all processes and an analysis of the failures. Now, the intermediaries carry out direct processing of unpaid bills over the Internet in the Company system. This process eliminates redundancy and duplication and improves the processing and traceability of receipts. 2. Delegation Platform 2. Connection of Multirisk Household Product and Multirisk Professional Products (HRM/MRP) In the interest of continuous improvement of its processes, CNIA SAADA Assurance set up a telephone platform dedicated exclusively to its network. It allows the optimization of response times and improvement in the quality of service through restructuring and a thinning of the underwriting and management process. As part of its decentralization policy, CNIA SAADA Assurance opened the capture of management documents relative to the standard products to managers in its network. As a result, agents can prepare the documents requested by their customers relating to HRM/MRP directly into the support system. This process review considerably shortens timeframes and increases manager responsiveness. Previously, agents were subject to regulatory constraints for the prohibition of the establishment of insurance certificates and the delegation of insurance by Insurance intermediaries.With this new platform, intermediaries and agents are now able to establish their own estimates and to produce contracts if necessary in the presence of their clients. The results, one year after the implementation of this delegation platform, are very convincing, with nearly 6000 new subscriptions and net premiums of a total of 16 million dirhams. An imminent extension of the platform perimeter plans to include the integration of RC school, RC Sport, Workplace Accident relative to the packaged products and Multirisk Pleasure. 2010 ACTIVITY 57 3. Review of the compensation process for equipment automobile incidents 5. Improvement of the quality of service 2010 also saw a significant improvement in the resolution time for a majority of equipment automobile incidents managed outside of the rapid compensation centres. The Quality Department conducted a satisfaction survey with 190 intermediaries in order to better understand the strengths and weaknesses and expectations. The results of the survey showed an overall satisfaction rate that was largely positive with changes according to the themes discussed. The survey also took account of the many expectations of the intermediaries primarily in terms of responsiveness, competitiveness and claims processing. While the progress made is conclusive, perceived weaknesses in the system remain. This survey underlines the importance of very quickly developing and generalizing a culture of service, both internally and externally. Initially, the Company chose to prioritize the improvement of the management processes to resolve claims with our policyholders as part of the CID agreement (direct compensation) or as part of a contractual guarantee (collision, third parties, etc.).. The Company then established an application to identify in a single click what was blocking the pending claims files. The agents, experts and back-office managers were then relaunched proactively. This new application allowed reduction of the compensation time for this type of file by close to 35%. Building on this success, CNIA SAADA Assurance decided to expand this proactive application to other types of property damage: outstanding claims to our policyholders following common-law procedures issued against the opposing Company; and outstanding claims to be settled with third parties insured with opposing companies. Improvements were also made at the customer service level to manage and process customer complaints more quickly and to increase the rate of reachability of the intermediaries and agents. At the level of service quality, support, training and assistance for the intermediaries has been reviewed in order to meet the needs of the intermediaries. In addition, a welcome audit was used to assess organization in the agencies, the quality of the welcome and the service and the quality of conduct of the business interview. These various activities helped to formalize commitments and to set targets. Review of the compensation process for health care Having become one of the insurance companies that offers the shortest possible timeframes for compensation for medical disaster claims, in 2010 CNIA SAADA Assurance set up new measures to control the rate of claims for contracts, with the objective of sustaining partnership relationships with its customers. The Company thus implemented a new procedure to detect suspicious illness files upon their entry into the information system and to establish appropriate processing for them. This action enabled more than forty irregular files to be detected per week and also acts as a deterrent for the filing of non-compliant requests by members. CNIA SAADA Assurance also raised awareness and empowered its intermediaries on the past loss experience for their contracts by presenting them regularly with a statistical review of the contracts in general and the irregular files deposited by their policyholders in particular. This action produced premium surcharges of close to 20 million dirhams and the implementation of management measures to reduce the frequency and irregularity of the deficient contracts involved. Several measures to improve the quality of service for better competitiveness were also implemented. The main one being the platform for the declaration of automobile claims, the “Auto-express declaration”, a new channel for declaration that is aimed at reducing the repayment timeframe by improving the processing time. This tool, operational in 2011, will be entrusted to professionals in customer relations on the Phone Support platform and will enable a real optimization of the management of material automobile claims. Also providing a part of the back-office production, this platform will also be responsible for relaunching intermediaries or experts in order to process claims more quickly. ACTIVITÉ 2010 59 HUMAN RESOURCES CORPORATE CITIZENSHIP Conscious of the importance of human capital, the Human Resources Department of CNIA SAADA Assurance made arrangements in order to mobilize and to develop its human capital for higher performance for the Company. True to its commitment and its social responsibility, CNIA SAADA Assurance actively supports entrepreneurship and culture. A training plan aligned with the strategic orientations The Company Human Resources Department in this respect focused its management based on a policy of intensive and diversified training, supported by an ever-improving cross-communication. In 2010, the training given was grouped into three areas. Strategic training for the insurance business, management and quality of service; cross-training for professional efficiency, office procedures and languages; and specific training. Thus, 1229 training days were provided to 426 employees. Continuous improvement of working conditions 2010 also saw the completion of a physical site with the redevelopment of the ground floor of the CNIA SAADA Assurance headquarters which allowed for the provision of a cafeteria and an infirmary with the best standards for employees. In addition, an access and clocking system was set up at the entrance to the building to enhance security and to restrict access to people wearing a badge. An extended social policy The CNIA SAADA Assurance social policy allows employees to benefit from a wide range of benefits. It includes medical coverage, the pension system, loan agreements (housing and consumption), gifts or premiums in connection with some events (marriage, Ashura, Eid Al Fitr, Eid Al Adha) and stays in accommodations (El Jadida, Marrakech, Ifrane and Restinga). In addition, the COS allows CNIA SAADA Assurance personnel to be offered social benefits (loans and grants), as well as benefits in the areas of tourism, cultural and leisure activities. For the school holidays, CNIA SAADA Assurance organizes summer camps and outings in outdoor camps in collaboration with specialized clubs. In 2010, employees of CNIA SAADA Assurance and their children took part in several cultural and recreational activities including numerous excursions, a football tournament, and a volleyball tournament. CNIA SAADA Assurance also signed agreements with gyms and swimming pools during the summer period to facilitate access for its employees and their families. SUPPORT FOR ENTREPRENEURSHIP The choice of this first line of support meets the strategic ambition of the Company that has oriented its engagement at the national level towards the promotion of economic initiatives and the development of entrepreneurship following the example of Saham, its majority shareholder. The Company supports a number of associations that pursue this objective. It also participates in the creation of activities promoting the development of rural areas through training and professional insertion and provides young people with career opportunities suited to their abilities and ambitions. Created in May 2008 by the Saham Group, Sherpa Finance Club’s mission is to promote entrepreneurship throughout Morocco. It encourages young people with projects and supports them in the establishment of permanent, competitive and job creation structures in Morocco. Since its inception, Sherpa Finance Club has hosted 158 projects of which 35 were supported and 22 presented to its committee. The projects selected have a high growth potential and mainly have the particularity of investing in new markets both nationally and internationally. Sherpa Finance Club provides them with personalized coaching and guides them in in-depth strategic thinking. Several of these projects have also received an active share in the capital of their business through the financial support of Dayam Capital Risque (venture capital). ACTIVITÉ 2010 2. Founded in 2007, carried and supported by a large number of corporate citizens, Injaz Al-Maghrib aims to stimulate the entrepreneurial spirit of youth and to contribute as such to the emergence of a new generation of entrepreneurs. 61 www.sifemorocco.org Since 2007, CNIA SAADA Assurance has been invested in a partnership with Students In Free Enterprise (SIFE). This citizenship commitment reflects the Company’s desire to promote entrepreneurship among university students. Founded in 1975, SIFE is a global non-profit organization whose goal is to develop broad partnerships between the business world and higher education. Located in 48 countries, it brings together more than 1,900 universities and colleges. Thus, it aims to offer the best opportunities for university students to develop their leadership qualities as well as their skills in communication and teamwork. Each year, student teams design and carry out community training projects based on the principle of entrepreneurship. A jury, composed entirely of business leaders, selects the best team during the National Competition. Then, the team declared champion represents its country at the International Competition, which includes all of the winning teams from around the world. On this occasion, panel discussions involving executives from multinational companies are also organized. In partnership with the Academies of Casablanca and Rabat, in 2009-2010 Injaz Al-Maghrib trained more than 3000 students in Casablanca, Mohammedia, Rabat, Salé and Temara and aims to train more than 6.500 in 2010-2011 to reach 100.000 cumulative students by the year 2014-2015. Since its inception in 1919, the global “Junior Achievement” organization has, for its part, provided training to nearly 90 million young people around the world with 300.000 agents seconded from 9000 member companies. Studies conducted at the international level show that on average, 30% of students who underwent this training created their business at the age of 25 years. CNIA SAADA Assurance has as such participated in the realization of numerous affiliated projects including among others schools and public works, business and management, tourism institutes, etc. 4. Each centre thus offers various training adapted to the regional environment and national demand, and recognized in the labour market. The Foundation is also committed to placing high performing young apprentices on the labour market through numerous agreements with partner companies in the fields of tourism, audiovisual, services and ICT. SUPPORT FOR CULTURE The deep interest of the Company for art in all of its forms has naturally led to support for culture. 1. Private Collection Founded in 2000, Mjid is a nonprofit foundation whose mission is to contribute to national development through mobilizing actions of an economic, social, cultural and sports nature. Besides humanitarian assistance, the Foundation has embarked on a process of professional qualification among underprivileged youth, training them in trades such as electricity, plumbing or paramedics. It is also developing plans to create side lines of income-generating activities such as beekeeping, aromatic and medicinal plant distilling and the cactus industry. CNIA SAADA Assurance has thus acquired many artists’ paintings since 1978 and its private collection now includes 232 works on display at the Company headquarters. These are mostly geometric abstraction paintings by constructivist and matter painters. Of the 51 artists on display, in particular are found Chaibia, Abdallah Sadouk, Mohamed Nabil, Mohamed Hamidi and Mehdi Qotbi. In 2010, the Company acquired paintings by contemporary Moroccan artists: Khalid El Bekkay, Tibari Kantour, Tawfiq Chichani and Salima Raoui. Paintings from the Iranian Ghass ROUZKHOSH and Spanish Diego Moya also completed the acquisitions for the year. 6. It also approves the transactions reflected in these accounts or summarized in these reports. Accordingly, the Assembly gives full discharge without reserve to the directors for carrying out their mandate for the fiscal year ended 31/12/2010. This dividend of 22 dirhams per share will be paid in accordance with regulations in force as of July 2011 at the company’s wickets. Third resolution The General Assembly, having considered the special report of the statutory auditors on the agreements referred to in Article 56 of Law No. 17-95 on public limited companies, as amended by Law No. 20-05, notes the conclusions of this report and approves individually each of the agreements that are referred to therein. In accordance with the law, those involved in these said agreements do not take part in the vote. FINANCIAL REPORT 2010 GENERAL REPORT OF THE STATUTORY AUDITORS FOR THE FISCAL YEAR FROM JANUARY 1st TO DECEMBER 31st 2010 In accordance with the terms of our appointment at the Annual General Meeting on June 10, 2010, we have audited the attached summary statements for the company CNIA SAADA Assurance, including the balance sheet, income and expenses, the statement of management balances, the cash flow statement and the statement of additional information (ETIC) for the fiscal year ended December 31, 2010. These financial statements show an amount of equity and similar of MAD 2.563.250.226,90 including net income of MAD 302.778.910,70. Management Responsibility Management is responsible for the preparation and accurate presentation of these financial statements, in accordance with acceptable accounting standards in Morocco. Specific verifications and information We have also conducted specific verifications required by law and we have verified the consistency of such information provided in the Board of Director’s management report to the shareholders with the summary statements for the company. Casablanca, March 18, 2011 Auditor’s Responsibility The Statutory Auditors Our responsibility is to express an opinion on these financial statements based on our audit. We have conducted our audit in accordance with the Professional Standards in Morocco. These standards require us for our part to comply with ethical requirements, to plan and perform the audit to obtain reasonable assurance that the summary statements are free from material misstatement. An audit involves implementing procedures in order to obtain audit evidence about the amounts and information provided in the summary statements. The procedures selected depend on the decision of the auditor, as well as the assessment of the risk that the summary statements contain material misstatements. In making these risk assessments, the auditor considers the internal control in effect in the entity relative to the compilation and the presentation of the summary statements in order to define audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness thereof. An audit also includes an evaluation of the appropriateness of the accounting methods used and the reasonableness of the accounting estimates made by management, as well as an evaluation of the overall presentation of the summary statements. We believe that the evidence obtained was a sufficient and appropriate basis for our opinion. Opinion on the summary statements The company is the subject of a tax audit in respect of the Corporation Tax (IS), the Value Added Tax (VAT) and Income Tax (TI) for the fiscal years 2006 to 2009. This control, which deals with the les assurances Es Saada company accounts, follows the absorption of the latter by the company CNIA SAADA Assurance on January 1st, 2009. Only the notification for fiscal year 2006 has been received by the company during 2010 fiscal year. The 2011-2013 strategic plan was born out of the teamwork of many CNIA SAADA Assurance employees involved in this planning process. Intending to support sector development while improving the Company profitability, it is structured around four strategic areas: Business development, service quality, economic performance and financial profitability. It also includes regional African development projects. This strategic plan has also served as a support for the initial public offering and gave rise to a business plan structured and in line with shareholder expectations. 2. Improvement of the quality of service 1. Business development CNIA SAADA Assurance plans to establish an approach aimed at economic performance through better control of costs and profitability ratios. To do this, CNIA SAADA Assurance must: In order to better position themselves in the Moroccan market and to continue its position in the Mass Market, CNIA SAADA Assurance must further develop its business based on a set of pillars. Thus, CNIA SAADA Assurance intends to improve its non-life sales with an average annual growth rate of 10% between 2010 and 2013. In addition, the Company expects to maintain profitable growth of the branches, to continue at a steady pace to expand its direct network and to maintain its leading position in the automotive branch. CNIA SAADA Assurance also aims to increase its business efficiency by implementing better customer segmentation and by developing tailored packages. The quality commitment undertaken in recent years by CNIA SAADA Assurance is expected to reach a more sustained pace by significantly improving processing times for files and by uniting employees around a real business culture. Training, skills development and communication on these commitments to quality will play a major role in achieving these objectives and thus allow a better market penetration. 3. Reflection and planning for three of them are already well advanced: Review of the code of ethics, reorganization of the internet site and the Company commitment to a smoke-free professional environment. CODE OF ETHICS (2011) The draft code of conduct introduced in 2009 is the roadmap for the entire staff of CNIA SAADA Assurance with respect to the values, principles, obligations, individual rules of conduct and Compnay responsibility in the workplace. This code has also enabled conveying a credible and professional image to its various audiences while giving the tone of its requirements to agents, customers, suppliers and partners. Following the Company’s initial public offering, the code of conduct will be updated in accordance with the regulations in force. This new code of ethics will then be enriched with new provisions that will strengthen compliance with the transparency of financial reporting, internal controls, significant information channelling as well as the prevention of insider trading. A SINGLE WEBSITE Currently, CNIA SAADA Assurance has two interrelated websites, www.cniasaada.ma being the corporate website and www.cniasaadadirect.ma the merchant site. To provide better service quality and to facilitate navigation for Internet users, the company will be regrouping these sites into one.
