im Umgang mit Naturtextilien, freuen wir uns Ihnen
unser neues Lagersortiment für die Saison 2010/2011
vorstellen zu dürfen. Neben einer noch größeren Auswahl an Produkten, liegt es uns am Herzen Ihnen mit
genaueren Informationen zu Verfügbarkeiten und
Lieferterminen eine bessere Übersicht zu den einzelnen
Produkten anzubieten.
Selbstverständlich ist unser gesamtes Sortiment neben
dem Global Organic Textile Standard (GOTS), auch bei
vielen Produkten nach den strengeren Richtlinien von
NATURLAND zertifiziert. Diese garantieren Ihnen giftfreie
Anbau- und Verarbeitungsmethoden und einen fairen
Umgang mit unseren Baumwollbauern und Produzenten.

Having gleaned from the competence gained in the past 25 years in dealing
with natural textiles, we are very pleased indeed to present to you our new
range for the 2010/2011 season. In addition to offering you a wider product range,
we have had it in our hearts to provide you with more details about availability
and delivery dates so that you can have a better idea about each product.
Naturally, our entire range, including our new products, is GOTS-certified (Global
Organic Textile Standard). Many of our products meet the even stricter NATURLAND certification as well. This is your guaranty that our cotton is organically
grown and processed without the use of toxins and that we deal fairly with our
farmers and producers.

saison 2010/2011, basé sur l’expérience acquise en 25 années d’activités au sein du
textile naturel. En plus d’un choix de produits encore plus vaste, cela nous tient

Allgemeine Geschäftsbedingungen der Living Crafts GmbH & Co. KG für den Verkauf an Unternehmer
1. Geltungssbereich
(1) Diese allgemeinen Geschäftsbedingungen gelten für alle Geschäftsbeziehungen zwischen
der Living Crafts GmbH & Co. KG (im folgenden Living Crafts) und Unternehmern als Kunden.
Das Bestreben von Living Crafts ist es, ihre Kunden mit einwandfreien Produkten preiswürdig
und serviceorientiert zu bedienen.
(2) Die allgemeinen Geschäftsbedingungen von Living Crafts gelten ausschließlich. Entgegenstehende oder von den Geschäftsbedingungen von Living Crafts abweichende Bedingungen des
Kunden werden nicht anerkannt, es sei denn, Living Crafts hat diesen im Einzelfall ausdrücklich
schriftlich zugestimmt.
(3) Nebenabreden, Änderungen und Ergänzungen bedürfen der schriftlichen Bestätigung von
Living Crafts.
2. Angebot und Preise für den gewerblichen Facheinzelhandel
Es gilt die jeweils gültige Preisliste von Living Crafts. Aufgrund der Datenmenge sind Irrtümer
möglich. Preisänderungen und Zwischenverkauf behält Living Crafts sich vor. Aufschläge und
Nachlässe bzw. Rabatte werden gesondert geregelt und bedürfen der Schriftform. Die Preise
sind netto und zuzüglich der jeweils gesetzlich gültigen Mehrwertsteuer. Bei Neukunden ist die
Vorlage der Gewerbeanmeldung erforderlich.
3. Mindestbestellwert
Bei Lieferungen von Living Crafts nach Deutschland oder ins EU- Ausland wird bei einem
Bestellwert unter 50,00 € pro Bestellung ein Kleinmengenzuschlag von 5,00 € berechnet. Für
Lieferungen ins Nicht EU-Ausland gilt ein Mindestbestellwert von 250,00 € pro Bestellung.
4. Auftragsbestätigung
Aufträge gelten als angenommen, wenn sie durch Living Crafts entweder schriftlich bestätigt
oder unverzüglich nach Auftragseingang bzw. termingemäß ausgeführt werden. In diesem Fall
gilt die Rechnung als Auftragsbestätigung.
5. Lieferung
(1) Die Lieferung erfolgt zu den Einheitsbedingungen der deutschen Textilwirtschaft und ab
Lager Living Crafts. Die Versandkosten trägt der Kunde. Ab einem Auftragswert ab 500,00 €
pro Bestellung liefert Living Crafts nach Deutschland und in das EU- Ausland versandkostenfrei.
Dies gilt nicht, wenn der Versand nicht über einen Paketdienst, sondern durch eine Spedition
notwendig ist.
(2) Living Crafts versendet die Waren standardmäßig durch einen Paketdienst. Ist ein Versand
durch einen Paketdienst nicht möglich und die Beauftragung einer Spedition erforderlich, wird
jede Palette pauschal mit 12,50 €, unabhängig vom Auftragswert, berechnet. Die Auswahl des
Transportunternehmens trifft Living Crafts.
(3) Die Lieferung ins Nicht EU-Ausland erfolgt grundsätzlich frei deutsche Grenze. Bei Wareneinfuhren in Länder außerhalb Deutschlands können Einfuhrabgaben anfallen, die der Kunde zu
tragen hat. Diese variieren in verschiedenen Zollgebieten. Der Kunde ist für die ordnungsgemäße Abfuhr der notwendigen Zölle und Gebühren verantwortlich.
(4) Living Crafts wird die bestellte Ware an die vom Kunden in der Bestellung angegebene Adresse schnellstmöglich ausliefern. Living Crafts ist zu Teillieferungen und Teilleistungen jederzeit
berechtigt, sofern diese dem Kunden zumutbar sind. Sofern Teillieferungen von Living Crafts
durchgeführt werden, übernimmt Living Crafts die zusätzlichen Kosten.
(5) Angaben über die voraussichtliche Lieferfrist sind unverbindlich, sollte Living Crafts dem
Kunden nicht im Einzelfall schriftlich eine verbindliche Zusage erteilt haben. Die Lieferfrist liegt
in der Regel innerhalb von 3 bis 5 Werktagen nach Auftragseingang, nicht jedoch bei Auftragseingang an Sonn- und Feiertagen.
(6) Bei höherer Gewalt, Arbeitskampfmaßnahmen und sonstigen unverschuldeten Betriebsstörungen, die länger als eine Woche gedauert haben oder voraussichtlich dauern, wird die voraussichtliche Lieferfrist oder die verbindliche zugesagte Lieferfrist um die Dauer der Behinderung,
längstens jedoch um 5 Wochen zuzüglich Nachlieferungsfrist verlängert. Die Verlängerung tritt
nur ein, wenn dem Kunden unverzüglich Kenntnis von dem Grund der Behinderung angegeben
wird, sobald zu übersehen ist, dass die zugesagte Frist nicht eingehalten werden kann.
(7) Ist die verbindlich zugesagte Lieferung nicht rechtzeitig erfolgt und liegen die Voraussetzungen einer verlängerten Lieferfrist von § 5 (6) nicht vor, so kann der Kunde vom Vertrag
zurücktreten. Der Kunde muss dies jedoch mindestens zwei Wochen vor Ausübung des
Rücktrittsrechts schriftlich ankündigen und Living Crafts eine angemessene Nachlieferungsfrist setzen. Hat Living Crafts dem Kunden auf Anfrage nicht unverzüglich mitgeteilt, dass
nicht rechtzeitig geliefert bzw. abgenommen werde und hat die Behinderung länger als
5 Wochen gedauert, kann der Kunde sofort vom Vertrag zurücktreten. Schadenersatzansprüche
des Kunden sind ausgeschlossen. Der Rücktritt vom Vertrag tritt nicht ein, wenn der Kunde während der Nachlieferungsfrist gegenüber Living Crafts erklärt, dass er auf Erfüllung des Vertrages
besteht. Living Crafts wird jedoch von der Lieferverpflichtung frei, wenn der Kunde sich auf
Anfrage von Living Crafts nicht dazu äußert, ob er auf Vertragserfüllung besteht. Fixgeschäfte
werden nicht getätigt.
(8) Vereinbart Living Crafts mit dem Kunden ausdrücklich, dass die Ware für eine bestimmte
Aktion vorgesehen ist, kann ein fester Liefertermin ohne Nachlieferungsfrist vereinbart werden.
Bei Überschreiten dieses Liefertermins kann der Kunde den Ersatz besonderer Aufwendungen
für die georderte Ware verlangen, höchstens jedoch in Höhe des Einkaufspreises der georderten
Ware. Weitergehende Ansprüche sind ausgeschlossen.
6. Zahlung
(1) Inlandskunden und Kunden aus Österreich
Der Rechnungsbetrag wird von der Bank im Abbuchungsverfahren innerhalb des zwischen
Living Crafts und dem Kunden vereinbarten Zeitraums je nach Laufzeit mit oder ohne Skonto
eingezogen.

innerhalb von 10 Tagen ab Rechnungsdatum 4,00 % Skonto
innerhalb von 60 Tagen ab Rechnungsdatum rein netto

(3) Im Fall des Zahlungsverzugs (ab dem 61. Tag gem. § 286 Abs. 2 Nr. 1 BGB) berechnet Living
Crafts Verzugszinsen in Höhe von 8 % über dem jeweiligen Diskontsatz. Bei Barzahlung entfallen jegliche Rabatte. Bankgebühren gehen zu Lasten des Kunden.
(4) Werden Living Crafts nach Vertragsschluss Tatsachen, insbesondere Zahlungsverzug hinsichtlich früherer Lieferungen bekannt, die nach pflichtgemäßen kaufmännischen Ermessen auf
eine wesentliche Vermögensverschlechterung schließen lassen, ist Living Crafts berechtigt, Vorkasse oder entsprechende Sicherheiten zu verlangen und im Weigerungsfall vom Vertrag ohne
weitere Fristsetzung zurückzutreten, wobei bereits erfolgte Teillieferungen sofort fällig gestellt
werden. Für Mahnungen berechnet Living Crafts eine Gebühr von 5,00 € pro Mahnung. Bei
Rücklastschriften berechnet Living Crafts eine Gebühr von 10,00 €. Kosten für Überweisungen
und Scheckeinreichungsgebühren werden dem Kunden nach Ablauf des Kalenderjahres weiterbelastet. Bei Zahlung per Vorauskasse erfolgt eine automatische Stornierung des Auftrages,
wenn innerhalb von 4 Wochen keine Zahlung erfolgt.
(5) Erstaufträge für ausländische Kunden werden nur gegen Vorauszahlung geliefert.
(6) Der Kunde ist zur Aufrechnung nur berechtigt, sofern und soweit seine Gegenansprüche
rechtskräftig festgestellt, unbestritten oder von Living Crafts anerkannt sind. Zur Ausübung eines
Zurückbehaltungsrechts ist der Kunde nur befugt, wenn sein Gegenanspruch auf demselben
Kaufvertrag beruht.
7. Untersuchungs- und Rügepflicht
(1) Die gelieferte Ware ist vom Kunden unverzüglich nach der Ablieferung zu prüfen. Mängel hat
der Kunde Living Crafts unverzüglich schriftlich anzuzeigen. Unterläßt der Kunde die schirftliche
Anzeige, so gilt die Warte als genehmigt, es sei denn, dass es sich um einen Mangel handelt, der
bei der Untersuchung nicht erkennbar war. Zeigt sich später ein solcher Mangel, muss der Kunde
Living Crafts unverzüglich nach der Entdeckung den Mangel schriftlich anzeigen; andernfalls gilt
die Ware auch in Ansehung dieses Mangels als genehmigt.
(2) Nach der unverzüglichen schriftlichen Anzeige ist die Ware innerhalb von 12 Tagen an Living
Crafts zurückzusenden. Ansonsten gilt die Ware ebenfalls – trotz unverzüglicher Rüge – als
genehmigt.
(3) Die Rücksendung hat in ordentlichem Zustand zu erfolgen. Für Um- oder Neuverpackungen
auf Grund von nicht ordnungsgemäßen Rücksendung zieht Living Crafts vom Gutschriftsbetrag
eine Handlingspauschale von 10 % des Rechnungsbetrages ab. Bei der Rücksendung ist Rechnungsnummer und Rechnungsdatum anzugeben sowie die Frachtquittung mitsenden. Frachtkosten gehen zu Lasten des Kunden. Unfreie Rücksendungen werden von Living Crafts nicht
angenommen. Die Frachtkosten werden bei berechtigter Reklamation rückvergütet.
(4) Die Rücksendung gilt nicht als Anerkennung einer Gutschrift, auch wenn der Warenempfang
quittiert wurde. Bei berechtigter Rüge hat Living Crafts das Recht auf Nachbesserung oder Lieferung mangelfreier Ersatzware innerhalb von 12 Tagen nach Rückempfang der Ware.
8. Mangel
(1) Geringe, technisch nicht vermeidbare Abweichungen der Qualität, der Farbe, des Gewichts
oder des Designs sind kein Mangel und berechtigen nicht zur Gewährleistung. Dies gilt auch für
handelsübliche Abweichungen.
(2) Der Kunde kann wegen der Mangelhaftigkeit von Sonderangeboten/Aktionsware nur den
Kaufpreis mindern oder vom Vertrag zurücktreten.
9. Haftung
(1) Living Crafts haftet unbeschränkt für vorsätzlich oder grob fahrlässig verursachte Schäden,
bei arglistigem Verschweigen von Mängeln, bei Übernahme einer Beschaffenheitsgarantie
sowie für Körperschäden. Die Bestimmungen des Produkthaftungsgesetzes bleiben unberührt.
(2) Für sonstige Schäden, die durch einfache Fahrlässigkeit verursacht werden, haftet Living
Crafts nur, sofern eine Pflicht verletzt wird, deren Einhaltung für die Erreichung des Vertragszwecks von besonderer Bedeutung ist (Kardinalpflicht) und sofern die Schäden aufgrund der
vertraglichen Verwendung der Ware typisch und vorhersehbar sind. Eine darüber hinausgehende Haftung auf Schadensersatz insbesondere für Schäden, die nicht am Liefergegenstand selbst
entstanden sind, für entgangenen Gewinn oder sonstige Vermögensschäden ist ausgeschlossen.
Soweit die Haftung von Living Crafts ausgeschlossen oder beschränkt ist, gilt dies auch für die
persönliche Haftung der Arbeitnehmer, Vertreter und Erfüllungsgehilfen.
10. Eigentumsvorbehalt
(1) Living Crafts behält sich das Eigentum an der Ware bis zum Eingang aller Zahlungen aus dem
Kaufvertrag vor. Bei laufender Rechnung gilt das vorbehaltene Eigentum auch als Sicherung für
Saldoforderung von Living Crafts. Der Kunde darf die gelieferte Ware nur im gewöhnlichen Geschäftsverkehr veräußern und mit seinen Abnehmern kein Abtretungsverbot vereinbaren. Er ist
ferner verpflichtet, seinen Abnehmern den Eigentumsvorbehalt von Living Crafts aufzuerlegen.
(2) Mit Wirksamwerden dieser Allgemeinen Geschäftsbedingungen tritt der Kunde Living
Crafts sämtliche Ansprüche mit allen Nebenrechten und Sicherheiten bis zur vollständigen
Tilgung aller Forderungen von Living Crafts, die dem Kunden aus künftigen Veräußerungen
von Living Crafts gelieferter Ware gegen seine Abnehmer entstehen, ab und zwar in Höhe
des Rechnungsbetrages der von Living Crafts gelieferten und vom Kunden veräußerten Ware
zuzüglich 10 %. Übersteigt der Wert der Living Crafts gegebenen Abtretung und Sicherheiten
die Forderung von Living Crafts insgesamt um mehr als 10 %, so verpflichtet Living Crafts sich,
auf Verlangen des Kunden insoweit nach Wahl von Living Crafts entsprechende Sicherheiten
freizugeben. Auf Verlangen von Living Crafts ist der Kunde verpflichtet, die Abtretung seinen
Abnehmern bekannt zu geben und Living Crafts zur Geltendmachung der Rechte gegen die
Abnehmer erforderlichen Auskünfte zu geben und Unterlagen auszuhändigen. Auch ist Living
Crafts berechtigt, die Abnehmer des Kunden von der Abtretung zu benachrichtigen. Dies gilt als
Widerruf der nachstehenden Einzugsermächtigung. Der Kunde ist ermächtigt, die abgetretene
Forderung für Living Crafts einzuziehen, jedoch nur so lange, als er seiner Zahlungspflicht gegenüber Living Crafts vertragsgemäß nachkommt. Die Ermächtigung des Kunden zum Einzug
der Forderung kann durch Living Crafts widerrufen werden. Die eingezogenen Beträge hat der
Kunde gesondert aufzubewahren und unverzüglich an Living Crafts abzuführen. Schecks und
Wechsel werden nur erfüllungshalber angenommen.
(3) Der Kunde hat Living Crafts von allen Zugriffen Dritter, insbesondere von Zwangsvollstreckungsmaßnahmen sowie sonstigen Beeinträchtigungen seines Eigentums unverzüglich
schriftlich zu unterrichten. Der Kunde hat Living Crafts alle Schäden und Kosten zu ersetzen, die
durch einen Verstoß gegen diese Verpflichtung und durch erforderliche Interventionsmaßnahmen gegen Zugriffe Dritter entstehen.
(4) Verhält sich der Kunde vertragswidrig, insbesondere wenn der Kunde seiner Zahlungsverpflichtung trotz einer Mahnung von Living Crafts nicht nachkommt, kann Living Crafts nach
einer vorherigen angemessenen Fristsetzung vom Vertrag zurücktreten und die Herausgabe der
noch in seinem Eigentum stehenden Ware verlangen. In der Zurücknahme der Ware oder Pfändung durch Living Crafts liegt ein Rücktritt vom Vertrag. Die dabei anfallenden Versandkosten
trägt der Kunde. Living Crafts ist nach Rückerhalt der Ware zu deren Verwertung befugt. Der
Verwertungserlös ist auf Verbindlichkeiten des Kunden -abzüglich angemessener Verwertungskosten- anzurechnen.
11. Datenschutz
Erhebung, Verarbeitung und Nutzung personen- und betriebsbezogener Daten.
Living Crafts verpflichtet sich, die Privatsphäre aller Personen zu schützen, die bei Living Crafts
einkaufen und personen- und betriebsbezogenen Daten vertraulich zu behandeln. Grundlage
hierzu sind die jeweils geltenden gesetzlichen Bestimmungen. Die vom Kunden erhaltenen
Daten werden zur Vertragsabwicklung erhoben, verarbeitet und genutzt. Einzelheiten sind
den Datenschutzinformationen zu entnehmen. Living Crafts nutzt die Daten nicht für Zwecke
der Markt- oder Meinungsforschung und gibt sie dafür nicht an Dritte weiter. Der Kunde kann
jedoch Informationen und Newsletter zugesandt bekommen. Er hat jedoch jederzeit das Recht,
einer derartigen Nutzung zu widersprechen. Der Widerruf ist zu richten an:

12. Schlussbestimmungen
(1) Für die Rechtsbeziehungen der Kunden und Living Crafts gilt deutsches Recht ohne die
Verweisungsnormen des Internationalen Privatrechts und unter Ausschluss des UN-Kaufrechts
(CISG).
(2) Hof/Saale ist ausschließlicher Gerichtsstand für alle Ansprüche im Zusammenhang mit der
Geschäftsbeziehung. Erfüllungsort ist Selbitz.
(3) Sollten ein oder mehrere Bestimmungen dieser allgemeinen Geschäftsbedingungen ganz
oder teilweise unwirksam sein oder ihre Rechtswirksamkeit später verlieren, so wird hierdurch
die Wirksamkeit der Geschäftsbedingungen im Übrigen nicht berührt.

General Terms and Conditions of Living Crafts GmbH & Co. KG for Selling to Entrepreneurs
1. Scope
(1) The present General Terms and Conditions shall apply to all business relations between Living
Crafts GmbH & Co. KG (here in after referred to as Living Crafts) and entrepreneurs as customers.
Living Crafts are anxious to serve their clientele with flawless products at reasonable prices, focussing on excellent services.
(2) The General Terms and conditions of Living Crafts shall apply exclusively. Any terms to the
contrary or any conditions on the part of the Customer which diverge from the General Terms
and Conditions of Living Crafts will not be recognised unless Living Crafts have given their express
consent to them in writing in individual cases.
(3) Any subsidiary agreements, modifications or supplements shall require the written consent
by Living Crafts.
2. Offer and prices for specialised dealers
engaged in the retail trade
The respective current price list of Living Crafts shall be applicable. As a result of the considerable
data volume, errors cannot be excluded. Living Crafts reserve the right that prices shall be subject
to alterations and subject to prior sale. Any price mark-ups and price reductions, discounts or rebates shall be arranged separately and must be made in writing. Prices shall be net, to which the
respective applicable value added tax (VAT) shall be added. In the case of new customers, it is necessary for the application for the registration of a Gewerbe, i.e. trade or business, to be presented.

3. Minimum order value
If goods are delivered by Living Crafts to Germany or any other EU countries, an additional amount
for small quantities of 5.00 euros shall be charged in case of an order value of less than 50.00
euros. For deliveries to non-EU countries, a minimum order value amounting to 250.00 euros per
order shall be applicable.
4. Confirmation of order
Orders shall be deemed to have been accepted if they are either confirmed in writing by Living
Crafts or executed immediately after receiving the order or carried out by Living Crafts on schedule,
in which case the invoice shall be valid as confirmation of order.
5. Delivery
(1) Delivery shall be effected in accordance with the Standard Conditions of the German textile industry and ex works Living Crafts. Forwarding charges shall be borne by the Customer. For
order values of at least 500.00 euros per order, Living Crafts shall deliver goods to Germany and
to any other EU country without charging any shipping costs. This shall not apply, however, in
the event that shipping should be required to be effected by forwarding agents, and not by a
parcel delivery service.
(2) Living Crafts shall send the goods, as a standard procedure, by parcel delivery service. If, however, the goods cannot be sent by parcel delivery service and if it should be necessary to enlist the
services of forwarding agents, then a flat rate of 12.50 euros shall be charged for each pallet, irrespective of the value of the order. A selection of transport companies shall be made by Living Crafts.
(3) As a rule, deliveries to non-EU countries shall be effected free German border. In case of importation of goods into countries other than Germany, there may be import charges to be borne
by the Customer. These vary according to the respective customs territories. The Customer shall be
responsible for seeing to it that the required customs duties and charges are duly paid.
(4) Living Crafts shall deliver the goods ordered to the address indicated by the Customer as quickly
as possible. Living Crafts shall be entitled to part deliveries and part performances at any time,
provided that the Customer can be reasonably expected to accept them. In the event that Living
Crafts should effect any part deliveries, then the corresponding additional costs shall be borne
by Living Crafts.
(5) Any statements concerning the expected delivery period shall be subject to confirmation, unless, in individual cases, Living Crafts have made a promise to this effect in writing. As a rule, the
delivery period shall be 3 to 5 working days after receipt of order, which, however, shall not apply
in case of receipt of order on Sundays and public holidays.
(6) In cases of force majeure, industrial action and any other interruptions of operations which are
not due to anyone’s fault and which have lasted, or will probably last, for more than one week, the
expected delivery period or the delivery period promised with binding force shall be extended by
the duration of such interruption, but at most, by 5 weeks plus additional time of delivery. Such
extension shall only apply if the Customer is informed immediately about the reason of such interrupttion as soon as it can be seen that the promised delivery period cannot possibly be observed.
(7) In the event that the delivery promised with binding effect has not been effected punctually
and if the preconditions of an extended delivery period pursuant to Section 5 (6) do not exist,
then the Customer shall have the right to withdraw from the contract. However, the Customer
shall be required to give notice in writing of such withdrawal from the contract at least two weeks
before exercising his right of withdrawal from the contract, and shall be required to fix a reasonable deadline for subsequent delivery by Living Crafts. In the event that Living Crafts have not
notified the Customer immediately, following the latter’s enquiry to this effect, that the goods
cannot possibly be delivered or accepted within the prescribed period, and if such interruption has
lasted for more than 5 weeks, then the Customer shall have the right to withdraw from the contract
immediately. Any claims for indemnification on the part of the Customer shall be excluded. Such
withdrawal from the contract shall not arise if the Customer should declare to Living Crafts, within
the period of subsequent delivery, that he insists on the performance of contract. Living Crafts,
shall, however, be released from the obligation to effect delivery if the Customer does not reply to
an inquiry by Living Crafts as to whether or not he insists on performance of contract. There shall
be no Fixgeschäfte (contracts where time is of the essence, i.e. performance at an exact time or
within a strictly defined period).
(8) In the even that Living Crafts and the Customer should stipulate explicitly that the goods are
intended for a specific action, then a fixed date of delivery without additional time for subsequent
delivery can be arranged. If such delivery time is exceeded, then the Customer shall have the right
to claim compensation for special expenses incurred for the goods ordered, but at most, to the
amount of the purchase price of the goods ordered. More extensive claims shall be excluded.
6. Payment
(1) Customers from this country and customers from Austria
The invoice amount shall be collected by the bank by means of the preauthorised payment
method within the period stipulated between Living Crafts and the Customer, with or without
discount according to the respective term.

(3) In case of default of payment (as from the 61st day, in accordance with Section (§) 286 Paragraph 2 No 1 of the BGB, the German Civil Code), Living Crafts shall charge interest on arrears
amounting to 8 per cent above the respective bank rate. In case of cash payment, there shall be no
discounts. Bank charges shall be borne by the Customer.
(4) In the event that any facts should become known to Living Crafts after conclusion of contract,
in particular, any default of payment concerning previous deliveries, which, after due assessment of a prudent businessman, should lead to the conclusion that a substantial deterioration
of the financial situation has occurred, then Living Crafts shall have the right to insist on cash
in advance or corresponding security and, in case of refusal, to withdraw from the contract without fixing a further deadline, in which case the respective amounts in settlement of any part
deliveries shall be payable at once. As far as requests for payment are concerned, Living Crafts
shall require a dunning charge of 5.00 euros in each case. In case of reverse debit entries, Living
Crafts shall require a charge of 10.00 euros. Any expenses incurred for remittances and charges for
the presentation of cheques will be charged to the Customer’s account upon completion of the
calendar year. In case of cash payment in advance, the order shall be cancelled automatically if no
payment is effected within four weeks.
(5) First orders for customers from abroad will only be delivered against cash in advance.
(6) The Customer shall only be entitled to set-offs if and to the extent that his counterclaims have
been established by final court decision, if they are undisputed or if they have been recognised by
Living Crafts. The Customer shall only be authorised to exercise his right of retention if his counterclaim is based upon the same contract of sale.
7. Duty to examine and requirement
to make a complaint
(1) The goods delivered shall be examined by the Customer immediately after delivery. The Customer shall be obliged to inform Living Crafts in writing about any defects immediately. In the
event that the Customer should fail to give notice in writing to this effect, then the goods shall be
deemed to be approved, unless it is a defect which could not be identified upon examination. In
the event that such a defect should become apparent subsequently, then the Customer shall notify
Living Crafts in writing immediately after discovering such defect; otherwise the goods shall be
deemed to be approved, despite the fact that such defect has become apparent.
(2) After immediate written notification, the goods shall be returned to Living Crafts within 12 days.
Failing this action, the goods shall also be deemed to be approved – even though a complaint has
been made immediately.
(3) The goods shall be returned in a proper condition. For repacking or new packing which becomes necessary as a result of the fact that the goods were not properly returned, Living Crafts shall
deduct a standard handling fee of 10 percent of the invoice amount from the amount credited. If
the goods are returned, the number and the date of the invoice shall be mentioned and the freight
receipt shall be included. Freight charges shall be borne by the Customer. Any goods returned
postage not prepaid shall not be accepted by Living Crafts. In case of a justified complaint, freight
charges shall be refunded.
(4) Returns shall not be regarded as recognition of amounts credited, even if the acceptance of
the goods has been receipted. In case of a justified complaint, Living Crafts shall have the right
to remedy the defect complained of or deliver flawless replacements within 12 days after receipt
of the goods returned.
8. Defect
(1) Minor deviations from quality, colour, weight or design which are technically unavoidable do
not constitute a defect and do not constitute a justified claim based on warranty. The same shall
apply to deviations which are customary in the trade.
(2) On account of the defectiveness of special offers/special bargains, the Customer may only
reduce the purchase price or withdraw from the contract.
9. Liability
(1) Living Crafts shall have unlimited liability for any damage caused intentionally or by gross negligence, in case of fraudulent non-disclosure of defects, in case of guaranteed quality as well as
personal injury. The provisions of the Product Liability Law shall remain unaffected.
(2) In case of other damage caused by simple negligence, Living Crafts shall only be liable if a
duty is neglected the observation of which is of particular importance for attaining the purpose of
the contract (cardinal duty) and if, as a result of the contractual use of the goods, such damage is
typical and foreseeable. Any further liability for damages, in particular, for any damage which has
not been caused to the object of delivery itself, for loss of profit or any other pecuniary damage
or damage to property shall be excluded. Inasmuch as the liability of Living Crafts is excluded or
limited, this shall also apply to the personal liability of employees, representatives or Erfüllungsgehilfen, (i.e. persons employed by debtors in the performance of their obligations).
10. Reservation of ownership
(1) Living Crafts shall reserve ownership of the goods to the moment when they have received all
payments arising from the contract of sale. In case of current account, reservation of ownership
shall also be valid as security for Living Crafts’ claim for balance of accounts. The Customer shall
only be allowed to sell the goods within the framework of customary business transactions and
shall not be allowed to arrange any prohibition of assignment with his own customers. Moreover,
he shall be obliged to impose Living Crafts’ reservation of ownership on his own customers.
(2) With these General Terms and Conditions becoming effective, the Customer shall assign to
Living Crafts all claims with all ancillary rights and all security up to the moment of complete satisfaction of Living Crafts’claims which accrue to the Customer from future sales of goods delivered by
Living Crafts to his own customers, i.e. to the extent of the invoice amount for the goods delivered
by Living Crafts and sold by the Customer, plus 10 per cent. If the value of the assignment to Living
Crafts and of the security exceeds Living Crafts’ claims all together by more than 10 per cent, Living
Crafts shall undertake to release, at Living Crafts’ option, corresponding security at the Customer’s
request. At the request of Living Crafts, the Customer shall be obliged to disclose the assignment to
his own customers and to provide Living Crafts with the information necessary for asserting their
rights against the customers and release corresponding documents to Living Crafts. Living Crafts
shall also have the right to inform the Customer’s own customers about the assignment. This shall
be valid as revocation of the direct debit authorisation shown below. The Customer shall have the
right to collect the assigned debt for Living Crafts, but only as long as he fulfils his obligation to pay
towards Living Crafts in accordance with the contract. The Customer’s authorisation for collection
of the debt may be revoked by Living Crafts. The Customer shall keep the collected amounts separately and transfer them to Living Crafts immediately. Cheques and bills of exchange shall only be
accepted on account of performance.
(3) The Customer shall notify Living Crafts immediately in writing about all attachments by third
parties, in particular, with regard to any measures of judicial execution or any other detriment to
his ownership. The Customer shall indemnify Living Crafts for any damage and costs caused or
incurred as a result of any violation of this obligation and necessary intervention measures against
any attachments by third parties.
(4) In the event that the Customer should behave in breach of contract, especially if the Customer,
in spite of a reminder from Living Crafts, does not meet his obligation to pay, then Living Crafts,
after having fixed a reasonable deadline, shall have the right to withdraw from the contract and
demand that the goods still owned by Living Crafts be returned to them. Taking back the goods or
seizure of property by Living Crafts shall constitute a withdrawal from the contract. The forwarding
costs incurred in this connection shall be borne by the Customer. Living Crafts shall be authorised
to exploit the goods once these have been returned to them. The proceeds of exploitation shall be
deducted from the Customer’s liabilities, reduced by reasonable costs of exploitation.
11. Data protection
Collection, processing and use of personal data and operating data Living Crafts shall undertake
to protect the privacy of all persons who buy goods from Living Crafts and to treat personal data
and operating data in confidence. This shall be based upon the legal provisions applicable in each
case. The data received from the Customer shall be collected, processed and used for the purposes
of implementing the contract. Details can be gathered from the information with regard to data
protection. Living Crafts shall not use the data for the purposes of market research or public opinion
polls and shall not pass the data on to any third parties. However, information and newsletters can
be sent to the Customer. The latter shall, however, have the right to contradict such use at any time.

12. Final clauses
(1) The legal relations between the Customer and Living Crafts shall be governed by German Law
without the Verweisungsnormen (i.e. rules of incorporation of some of the provisions of foreign
law as terms of the contract) of the International Private Law and to the exclusion of the United
Nations Convention on Contracts for the International Sale of Goods (CISG).
(2) Exclusive venue for all claims in connection with the business relationship shall be Hof/Saale.
The place of performance shall be Selbitz.
(3) In the even that any one or several provisions of these General Terms and Conditions should be
totally or partly ineffective or lose their legal effectiveness subsequently, then the effectiveness of
the other Terms and Conditions shall remain unaffected.

(3) Les restrictions accessoires, modifications et additions sont soumises à la confirmation écrite
de Living Crafts.
2. Offre et prix pour le commerce de détail spécialisé
Seule la liste des prix valable de Living Crafts est valable. En raison de la quantité de données,
les erreurs sont possibles. Les modifications de prix et ventes intermédiaires restent réservées à
Living Crafts. Les suppléments ou réductions de prix seront réglées séparément et sont soumises
à la forme écrite. Les prix sont nets plus la TVA légalement en vigueur. Pour les nouveaux clients,
la présentation d’une déclaration d’activité professionnelle („Gewerbeanmeldung“) est requise.
3. Montant minimum de commande
Lors des livraisons de Living Crafts en Allemagne ou à l’étranger, au sein de l’Union européenne
avec un montant de commande de 50,00 € par commande, un supplément de petites quantités
de 5,00 € sera facturé. Lors des livraisons en dehors de l’Union européenne, seule un montant
minimum de commande de 250,00 € est valable.
4. Confirmation de la commande
Les commandes sont considérées comme acceptées lorsqu’elles seront confirmées en forme
écrite par Living Crafts ou immédiatement ou plutôt effectuées après l’entrée des commandes
dans le délai convenu. Dans ce cas la facture est considérée comme confirmation de la commande.
5. Livraison
(1) La livraison sera effectuée conformément aux conditions d’unité de l’économie textile
d’Allemagne et départ entrepôt de Living Crafts. Les frais d’expédition seront portés par le client.
A partir d’un montant de commande de 500,00 € par commande, la livraison en Allemagne et
ou à l’étranger, au sein de l’Union européenne, sera gratuite. Ce n’est pas le cas quand il sera
nécessaire d’effectuer la livraison par l’intermédiaire d’une entreprise de transport au lieu d’un
coursier.
(2) Normalement Living Crafts expédie les marchandises par coursier. Si la livraison par coursier
n’est pas possible et il est nécessaire de charger une entreprise de transport, pour chaque palette
il sera facturé un forfait de 12,50 €, nonobstant le montant de la commande. Living Crafts choisi
l’entreprise de transport.
(3) La livraison au pays non membre de l’Union européenne sera effectuée franco frontière
allemande. Lors des importations de marchandises destinées au pays hors de l’Allemagne, des
impositions à l’importation peuvent être imputées. Celles-ci peuvent varier dans les différents
territoires douaniers. Le client est responsable pour le paiement des droits de douane et redevances nécessaires conformément aux règles.
(4) Living Crafts livrera la marchandise commandée le plus vite possible à l’adresse indiquée
dans la commande du client. Living Crafts est toujours autorisé d’effectuer des livraisons ou prestations partielles dans la mesure où celles-ci sont raisonnables pour le client. Dans le cas où des
livraisons partielles seront effectuées par Living Crafts, celle-ci porte les frais supplémentaires.
(5) Les indications concernant le délai prévisionnel de livraison sont obligatoires dans la mesure
où Living Crafts n’a pas préalablement donné un accord écrit au client. Le délai de livraison est
en général de 3 à 5 jours ouvrables après réception de la commande, sauf si la commande a été
passée les dimanches et les jours de fêtes.
(6) En cas de force majeure, conflits de travail et autres perturbations de la production
n’engageant pas la responsabilité durant ou ayant duré plus d’une semaine, le délai prévisionnel de livraison ou le délai contractuel de livraison convenus se prolongent de la durée de
la perturbation, toutefois au maximum de 5 semaines plus le délai de livraison ultérieure. La
prolongation aura seulement lieu dans la mesure où le client est mis immédiatement au courant
de la perturbation dès qu’il est à prévoir que le délai convenu ne peut pas être respecté.
(7) Si la livraison convenue n’a pas été effectuée dans les délais et les conditions d’un délai de
livraison prolongé du § 5 (6) ne sont pas remplies, le client peut résilier du contrat. Le client doit
annoncer cela en forme écrite au moins deux semaines avant l’exercice du droit à la résiliation
et doit fixer un délai de livraison complémentaire raisonnable à Living Crafts. Dans le cas où
Living Crafts n’a pas immédiatement communiqué sur demande du client que la livraison ne
peut pas être effectuée dans les délais ou bien ne peut pas être acceptée et que la perturbation
a duré plus que 5 semaines, le client peut immédiatement résilier du contrat. Les revendications de dommages et intérêts du client sont exclues. La résiliation du contrat n’aura pas lieu
quand le client déclare pendant le délai de livraison ultérieure à Living Crafts qu’il insiste sur
l’exécution du contrat. Living Crafts est pourtant affranchi de l’obligation de livraison dans le
cas où le client ne s’exprime pas qu’il insiste sur l’exécution de celui-ci. Les opérations à terme
ne seront pas exécutées.
(8) Si Living Crafts a explicitement convenu avec le client que la marchandise est prévue pour une
action spéciale, une date de livraison fixée sans délai de livraison ultérieure peut être convenue.
Lors de dépassement de la date de livraison, le client peut demander l’indemnisation des dépenses
particulières pour les marchandises commandées, au maximum le montant du prix d’achat des
marchandises commandées. 6. Paiement
(1) Clients d’Allemagne ou d’Autriche
Le montant de la facture sera encaissé par prélèvement bancaire durant la période de temps
convenue entre Living Crafts et le client au fur et à mesure de la durée avec ou sans escompte.

(2) Seulement pour les clients de l’étranger

(3) En cas de retard de paiement (à partir du 61ème jour conformément au § 286 al.2 no. 2
du Code Civil Allemand), des intérêts moratoires à concurrence de 8 % du taux d’escompte sont
facturés. En cas de paiement comptant, il ne sera pas fait de remises. Frais bancaires sont à la
charge du client.
(4) Dans le cas où Living Crafts prend acte des faits après la conclusion du contrat, en particulier
d’un retard de paiement concernant des livraisons précédentes qui dénotent une détérioration
de la situation financière selon l’appréciation commerciale, Living Crafts est autorisé à demander
le paiement d’avance ou des sûretés adéquates ou peut résilier du contrat sans fixation de délai
ultérieur en cas de refus, au cours duquel des livraisons partielles déjà effectuées seront immédiatement payables. Des frais de rappel de 5,00 € par rappel seront facturés par Living Crafts. En
cas de non-écriture au débit, la somme de
10,00 € sera facturée par Living Crafts. Les frais des virements et chèques seront portés au débit
du client après l’expiration de l’année civile. En cas de paiement d’avance, l’annulation automatique de la commande s’effectue quand la réception du paiement n’a pas eu lieu durant 4
semaines.
(5) Commandes initiales pour clients de l’étranger seront seulement livrées contre paiement
d’avance.
(6) Le client à seulement un droit de compensation si ses contre-prétentions ont été jugées
exécutoires et ont été reconnues par Living Crafts. Le client est seulement autorisé à l’exercice
du droit de rétention dans la mesure où sa contre-prétention est basée sur le même contrat
de vente.
7. L’obligation d’examiner la marchandise et
d’exécuter un avis de défauts
(1) La marchandise livrée doit être examinée immédiatement après sa livraison. Les réclamations concernant des défauts de la marchandise doivent être faites sous forme écrite. Si le client
s’abstient de faire ceci, la marchandise est considérée comme acceptée, sauf s’il
s’agit d’un défaut qui n’a pas été découvrable lors de l’examen de celle-ci. Si le défaut apparaît
plus tard, le client doit informer Living Crafts immédiatement par écrit, autrement la marchandise est considérée comme acceptée.
(2) Après l’indication immédiate sous forme écrite la marchandise doit être retournée dans les
12 jours à Living Crafts, autrement la marchandise est de même considérée comme acceptée
en dépit d’avis de défauts.
(3) Le retour doit être effectué de manière convenable. En cas de réemballage et d’emballage
secondaire, Living Crafts déduit un forfait de 10 % de la facture. En cas de retour, il faut indiquer
la date de la facture ainsi que la quittance du fret. Les frais d’envoi sont à charge du client. Les
renvois en port dû ne seront pas acceptés par Living Crafts. Les frais d’envoi seront remboursés
en cas de réclamation justifiée.
(4) Le renvoi n’est pas considéré comme reconnaissance d’avis de crédit, même si la réception
de la marchandise à été confirmée. Dans le cas de réclamation justifiée, Living Crafts a le droit
d’améliorer la qualité ou de livrer la marchandise sans défauts dans les 12 jours à partir de sa
réception.
8. Défaut
(1) La garantie sur les vices cachés ne s’applique pas en cas des écarts de qualité, couleur, poids
et de design insignifiants qui sont techniquement inévitables et ne sont pas des défauts. Ceci et
de même le cas pour les dérogations commerciales.
(2) En cas de défectuosité des offres spéciales/d’articles promotionnels, le client peut seulement
réduire le prix ou résilier du contrat.
9. Responsabilité
(1) Living Crafts est intégralement responsable pour les dommages causés intentionnelle-ment
ou par négligence grossière, en cas de dissimulation dolosive des défauts, d’assurance d’une
qualité et de dommages corporels. Les dispositions de la loi allemande sur la responsabilité des
produits ne sont pas remises en cause.
(2) Living Crafts est seulement responsable pour les autres dommages causés par faute légère en
cas de manquement à une obligation dont l’observation est de grande importance (obligation
cardinale) pour atteindre l’objectif du contrat et dans la mesure où les dommages sont typiques
et prévisibles à cause de l’utilisation de la marchandise conformément au contrat. Toute autre
responsabilité quant aux dommages intérêts en particulier pour les dommages qui ne concerne
pas l’objet de livraison, pour le manque à gagner ou autres préjudices patrimoniaux est exclue.
Dans la mesure où la responsabilité de Living Crafts est exclue ou limitée, ceci s’applique également à la responsabilité personnelle de l’employé, du représentant et de l’auxiliaire.
10. Réserve de propriété
(1) La marchandise reste la propriété de Living Crafts jusqu’au paiement complet. En cas de
facture en cours, la réserve de propriété est considérée comme garantie des créances de solde
de Living Crafts. Le client ne peut vendre la marchandise livrée dans le commerce ordinaire et ne
peut pas conclure une interdiction de cession avec ses clients. Il est également obligé d’infliger
la réserve de propriété de Living Crafts à ses clients.
(2) Avec l’entrée en vigueur de ces conditions générales de vente, le client cède à Living Crafts
toutes les créances avec tous les droits accessoires et garanties jusqu’au rem-boursement intégral des créances de Living Crafts qui résultent de futures ventes des marchandises livrées par
Living Crafts à ses clients, à savoir le montant de la facture des marchandises livrées par Living
Crafts et vendu par le client plus 10 %. Si la valeur de la cession et des garanties données de
Living Crafts dépasse les créances de Living Crafts de 10 %, Living Crafts s’engage sur demande
du client à l’affranchir des garanties correspondantes d’après son choix. Le client s’engage sur
demande de Living Crafts à communiquer la cession à ses clients et à fournir à Living Crafts les
renseignements requis pour l’exercice des droits et à délivrer des documents. Living Crafts est
également autorisé à informer les acheteurs du client de la cession. Ceci est considéré comme révocation du prélèvement qui suit. Le client est autorisé à recouvrer la créance cédée pour Living
Crafts, toutefois aussi longtemps qu’il respecte l’obligation de paiement à l’égard de Living Crafts
conformément au contrat. L’autorisation du client à recouvrer la créance peut être révoquée par
Living Crafts. Les montants recouvrés doivent être gardés séparément et versés sans délai. Des
chèques et lettres de change seront seulement acceptés en vue du paiement.
(3) Le client doit immédiatement informer Living Crafts par écrit des accès de tiers, en particulier
des mesures d’exécution forcée ainsi que des autres atteintes à sa propriété. Le client doit réparer tous les dommages et frais qui résultent d’une violation de cette obligation et des mesures
d’intervention requises contre l’accès de tiers.
(4) Lorsque le client se comporte contrairement au contrat, en particulier quand le client
n’observe pas son obligation de paiement malgré un rappel, Living Crafts peut résilier le contrat
après la fixation préalable d’un délai raisonnable et demander la remise de la marchandise qui
lui appartient encore. La reprise de la marchandise ou la saisie par Living Crafts sont considérées
comme résiliation du contrat. Le client doit supporter ces frais résultants des livraisons. Après la
réception de la marchandise, Living Crafts est autorisé à sa mise en valeur. Le produit de la réalisation doit être imputé aux dettes du client sous déduction des frais de réalisation raisonnable.
11. Protection des données
Collecte, traitement et utilisation des données personnelles et d’exploitationLiving Crafts
s’engage à la protection de la vie privée de toutes les personnes qui achètent chez Living Crafts
et de traiter les données personnelles et d’exploitation de façon confidentielle. Ceci est fondé
sur les dispositions légales respectivement en vigueur. Les données reçues du client seront col
lectées, traitées et utilisées pour l’exécution du contrat. Vous pouvez trouver des détails dans
les informations de protection des données. Living Crafts n’utilise pas les données aux fins des
analyses de marché ou sondages et ne les transmet pas à des tiers. Toutefois, les informations
et le newsletter peuvent être envoyés vers le client. Le client peut s’opposer à tout moment à
une telle utilisation.

12. Dispositions finales
(1) Concernant les rapports juridiques entre le client et Living Crafts, la loi allemande sans les
règles de renvoi du droit international privé est seule applicable, excluant le droit commercial de
la Convention des Nations Unies (CISG).
(2) La compétence judiciaire exclusive pour tous les droits résultant de la relation commerciale
est Hof/Saale. Lieu d’exécution est Selbitz.
(3) Si l’une ou plusieurs dispositions de ces conditions générales de vente devaient être considérées comme non valides ou perdent leur validité juridique, cela n’affectera pas au demeurant
la validité des conditions de vente.
