I - DEFINITIONS
Pour l’interprétation et l’exécution des présentes CONDITIONS
GENERALES DE VENTE et de tout autre document faisant partie
intégrante d’une CONVENTION DE LOCATION, Viparis Nord
Villepinte et le PRENEUR sont convenus des définitions suivantes :
For the interpretation and performance of these GENERAL TERMS
OF SALE and any other document which is an integral part of the
LEASE AGREEMENT, Viparis Nord Villepinte and the LESSEE
have agreed on the following definitions:
AMENAGEMENTS :
IMPROVEMENTS:
Travaux et installations de toutes natures que le PRENEUR ou un
EXPOSANT désirerait réaliser pour les besoins de la
MANIFESTATION.
Work and installations of any kind which the LESSEE or an
EXHIBITOR wishes to carry out for the purposes of the EVENT.
AUTHORIZED IMPROVEMENTS:
AMENAGEMENTS AUTORISES :
Tout AMENAGEMENT autre qu’un AMENAGEMENT SOUMIS A
AUTORISATION PREALABLE.
Any IMPROVEMENT other than an IMPROVEMENT SUBJECT TO
PRIOR AUTHORIZATION.
IMPROVEMENTS SUBJECT TO PRIOR AUTHORIZATION:
AMENAGEMENTS SOUMIS A AUTORISATION PREALABLE :
- Tous agencements ou installations autres que ceux devant être
réalisés de plain-pied sur un STAND ainsi que, d’une manière
générale, tous ceux mettant en œuvre d’autres matériaux ou
techniques que ceux habituellement mis en œuvre pour
l’installation d’un STAND même de plain-pied.
- Les CUISINES et RESTAURANTS PROVISOIRES
- Toutes installations, en étage ou en terrasse, de bassin, piscine
ou autres réservoirs d’eau ou autres liquides d’une capacité
supérieure à 50 litres.
- Les suspensions, fixations ou toute autre intervention sur un MATERIEL
et EQUIPEMENT, ou sur les biens immobiliers du SITE (et notamment
sur les SURFACES EXTERIEURES D’EXPOSITION ou sur les sols,
murs, poteaux, charpente, plafond des BATIMENTS), à l’exception :
• des suspensions permettant l’installation des signalisations
légères habituelles des services généraux et des allées propres à
la MANIFESTATION dont le dispositif a une masse totale inférieure
à 3 kgs,
- Any fixtures or installations other than those which must be
completed at floor level on a STAND and, in general, all those
involving materials or techniques other than those customarily used
for a STAND installation, even at floor level.
- TEMPORARY KITCHENS and RESTAURANTS
- Any installation, inside or outside the building, of a tank, pool or
other reservoir for water or other liquids with a capacity of more
than 50 litres.
- Hanging, mounting or any other operation carried out on MACHINERY
AND EQUIPMENT or on the SITE’s property (and especially the
OUTDOOR EXHIBITION AREAS or on the floors, walls, pillars,
framework or ceilings of the BUILDINGS), except for:
• hanging of the customary lightweight signage for public amenities
and aisles specific to the EVENT, provided that the total weight is
less than 3 kg,
• and mounting on wooden cladding located within the inner
perimeter of the HALLS.

Any building in which the HALLS are located.

GOOD STATE OF REPAIR OF THE SITE:
BON ETAT D’USAGE DU SITE :
Un SITE est en BON ETAT D’USAGE s’il est libre de toute
occupation et entièrement libéré de toute installation ou outillage
quelconque (à l’exception des MATERIELS ET EQUIPEMENTS) et
si, malgré les DETERIORATIONS, il reste propre à sa destination
même si l’ensemble des normes d’hygiène et de sécurité devant
être respecté respectivement pendant les périodes de montage ou
de démontage ou pendant la PERIODE D’OUVERTURE DE LA
MANIFESTATION, n’est pas atteint au début de chacune des dites
périodes, à condition que Viparis Nord Villepinte ait alors obtenu
des autorités compétentes un accord écrit pour dérogation à
ces mêmes normes d’hygiène et de sécurité.
A SITE is in a GOOD STATE OF REPAIR if it is completely
unoccupied and free of any installation or equipment of any kind
(except for the MACHINERY AND EQUIPMENT) and if, despite
WEAR AND TEAR, it remains fit for its intended purpose even if all
health and safety standards which must be observed during the
set-up or dismantling periods or during the EVENT OPENING
PERIOD are not met at the start of each of said periods, on
condition that Viparis Nord Villepinte has obtained written
dispensation from the relevant authorities with regard to said health
and safety standards.

SAFETY REGULATIONS:
Cahier des Charges Sécurité du PARC dont le PRENEUR déclare
expressément avoir pris connaissance préalablement à la
signature de la CONVENTION DE LOCATION dont il fait partie
intégrante, et en accepter l’intégralité des dispositions, sans
réserves ni restrictions.
The CENTRE’s Safety Regulations, which the LESSEE expressly
declares having read and understood prior to signing the LEASE
AGREEMENT of which they are an integral part, and declares
having accepted all the provisions thereof, unconditionally and
without limitation.
COMMANDE :
ORDER:
Commande écrite, acceptée par Viparis Nord Villepinte, définissant
la nature, l’étendue, le prix et les modalités de paiement du ou des
PRESTATIONS OPTIONNELLES en cause.
A written order accepted by Viparis Nord Villepinte defining the
nature, scope, price and payment terms of the OPTIONAL
SERVICE or SERVICES in question.

CONVENTION DE LOCATION :
LEASE AGREEMENT:
Contrat conclu de manière ferme et définitive entre Viparis Nord
Villepinte et le PRENEUR relativement à la MANIFESTATION.
Firm and definitive contract made between Viparis Nord Villepinte
and the LESSEE in connection with the EVENT.
CUISINE :
KITCHEN:
Tout AMENAGEMENT grâce auquel un EXPOSANT prépare ou
fait préparer, sur son STAND, des dégustations, collations,
consommations, repas, cocktails et/ou nettoie les ustensiles utilisés
pour les réaliser et/ou les servir.
Any FIXTURE which enables an EXHIBITOR to prepare or have
others prepare, at its STAND, tastings, snacks, beverages, meals
or cocktails and/or to clean the utensils used to prepare and/or
serve same.
DATES D’ENTREE DANS LES LIEUX :
DATE OF HANDOVER OF THE PREMISES:
Dates et heures figurant dans les bordereaux d’état des lieux joints
au procès-verbal d’entrée dans les lieux établis conformément à
l’Article 9.5 ci-après.
Date and time indicated in the inventories attached to the handover
report in accordance with Article 9.5 below.
- Pour l’application des Articles 5 et 10.1 des CONDITIONS
GENERALES DE VENTE, la DATE D’ENTREE DANS LES LIEUX
est celle à laquelle le premier des bordereaux d’état des lieux est
établi lors de la réunion d’entrée dans les lieux.
- Pour l’application des Articles 7, 9 et 11.5 des CONDITIONS
GENERALES DE VENTE, la DATE D’ENTREE DANS LES LIEUX
est, pour chaque SURFACE INTERIEURE ou EXTERIEURE
D’EXPOSITION, celle à laquelle le bordereau d’état des lieux
considéré est établi.
- For the purposes of Articles 5 and 10.1 of the GENERAL TERMS
OF SALE, the DATE OF HANDOVER OF THE PREMISES is the
date on which the first inventory is drawn up at the time of the
handover meeting.
- For the purposes of Articles 7, 9 and 11.5 of the GENERAL
TERMS OF SALE, the DATE OF HANDOVER OF THE
PREMISES is, for each INDOOR or OUTDOOR EXHIBITION
AREA, the date on which the inventory in question is drawn up.

GENERALES DE VENTE, la DATE DE SORTIE DES LIEUX est

lors de la réunion de sortie des lieux.
- For the purposes of Articles 5, 10 and 14 of the GENERAL TERMS
OF SALE, the DATE OF HAND-BACK OF THE PREMISES is the
date on which the last inventory is drawn up at the time of the handback meeting.

OF SALE, the DATE OF HAND-BACK OF THE PREMISES is, for
each INDOOR or OUTDOOR EXHIBITION AREA, the date on

Celles définies, pour chacune des SURFACES INTERIEURES ou
EXTERIEURES D’EXPOSITION, dans le tableau figurant dans la
CONVENTION DE LOCATION.
- Pour l’application des Articles 4, 6.2.1, 6.3.1, 8, 9.3 et 14 des
CONDITIONS GENERALES DE VENTE, la DATE PREVUE
D’ENTREE DANS LES LIEUX est la première date calendaire
définie dans ce même tableau.
- Pour l’application des Articles 6.2.5, 6.2.7, 6.3.6, 9.1 et 9.2 des
CONDITIONS GENERALES DE VENTE, la DATE PREVUE
D’ENTREE DANS LES LIEUX est, pour chaque SURFACE
INTERIEURE ou EXTERIEURE D’EXPOSITION, celle définie dans
le tableau figurant dans la CONVENTION DE LOCATION.
DATES PREVUES DE SORTIE DES LIEUX :
The dates defined, for each INDOOR or OUTDOOR EXHIBITION
AREA, in the table contained in the LEASE AGREEMENT.
- For the purposes of Articles 4, 6.2.1, 6.3.1, 8, 9.3 and 14 of the
GENERAL TERMS OF SALE, the EXPECTED DATE OF
HANDOVER OF THE PREMISES is the first calendar date
indicated in said table.
- For the purposes of Articles 6.2.5, 6.2.7, 6.3.6, 9.1 and 9.2 of the
GENERAL TERMS OF SALE, the EXPECTED DATE OF
HANDOVER OF THE PREMISES is, for each INDOOR or
OUTDOOR EXHIBITION AREA, the date indicated in the table
contained in the LEASE AGREEMENT.
EXPECTED DATES OF HAND-BACK OF THE PREMISES:
The dates defined, for each INDOOR or OUTDOOR EXHIBITION
AREA, in the table contained in the LEASE AGREEMENT.

DETERIORATIONS :
Any damage caused to the SITE during the SITE OCCUPANCY
PERIOD and any damage to or missing MACHINERY and
EQUIPMENT.

D’OCCUPATION DU SITE ainsi que toutes dégradations ou
disparitions de MATERIEL et EQUIPEMENT.
SITE OCCUPANCY PERIOD:
DUREE D’OCCUPATION DU SITE :
Number of calendar days between the DATE OF HANDOVER OF
THE PREMISES and the DATE OF HAND-BACK OF THE
PREMISES, inclusive. Partial days are counted as full days.
Nombre de jours calendaires compris entre la DATE D’ENTREE
DANS LES LIEUX et la DATE DE SORTIE DES LIEUX incluses.

EXHIBITOR:
EXPOSANT :
Toute personne physique ou morale désirant exposer ou participer de
toute autre manière à l’animation de la MANIFESTATION, ayant conclu
avec le PRENEUR un contrat conforme aux dispositions figurant à l’Article
5.2.2. ci-après.
Any natural or legal person wishing to exhibit or participate in any other
way in the EVENT and who has signed a contract with the LESSEE in
accordance with the provisions set forth in Article 5.2.2. below.

Partie d’un BATIMENT composée notamment de SURFACES
INTERIEURES D’EXPOSITION et de SURFACES ANNEXES.
Part of a BUILDING consisting, in particular, of the INDOOR
EXHIBITION AREAS and ANCILLARY AREAS.
ILOT :
ISLAND:
SURFACE INTERIEURE D’EXPOSITION d’un seul tenant dont le
périmètre est délimité par des allées de circulation, les murs du
BATIMENT concerné, ou toute autre cloison limitant la SURFACE
INTERIEURE D’EXPOSITION en cause.
One-block INDOOR EXHIBITION AREA whose perimeter is
delimited by traffic flow aisles, the walls of the BUILDING in
question, or any other partition limiting the INDOOR EXHIBITION
AREA in question.

MANIFESTATION :
EVENT:
L’événement tel que Salon, Foire, Exposition, Convention,
Congrès, Séminaire, strictement conforme à la NOMENCLATURE
que le PRENEUR s’engage à organiser et à tenir sur le SITE aux
dates définies dans la CONVENTION DE LOCATION.
The event, such as a Trade Show, Trade Fair, Exhibition,
Convention, Conference or Seminar, in strict accordance with the
CLASSIFICATION, which the LESSEE agrees to organize and hold
at the SITE on the dates stipulated in the LEASE AGREEMENT.
MATERIEL(S) ET EQUIPEMENT(S) :
MACHINERY AND EQUIPMENT:
Tout équipement, installation ou réseau fixe ou mobile (notamment
d’hygiène, de sécurité et de restauration, bars) se trouvant sur le
SITE, appartenant à Viparis Nord Villepinte ou loué par elle ou mis
à sa disposition par un tiers de quelque manière que ce soit.
Any stationary or mobile equipment, installation or network (such
as for health, safety, catering services and bars) located at the
SITE and belonging to Viparis Nord Villepinte or leased by it or
made available to it by a third party in any manner.
NOMENCLATURE :
CLASSIFICATION:
Caractéristiques de la MANIFESTATION telles que définies, sous
cette rubrique par le PRENEUR, dans la CONVENTION DE
LOCATION.
Characteristics of the EVENT as defined by the LESSEE in the
relevant section of the LEASE AGREEMENT.
ORGANIZER:
ORGANISATEUR :
Entreprise spécialisée dans l’organisation d’événements tels que
Salon, Foire, Exposition, Convention, Congrès, Séminaire, et
disposant en la matière d’un savoir-faire reconnu, à laquelle le
PRENEUR peut faire appel pour organiser sa MANIFESTATION.
Company specializing in the organization of events such as Trade
Shows, Trade Fairs, Exhibitions, Conventions, Conferences and
Seminars which has recognized expertise in this area and whose
services the LESSEE can use to organize its EVENT.
CENTRE – AREAS:
PARC - ZONES :
Ensemble immobilier dont Viparis Nord Villepinte est exploitant.
Cet ensemble immobilier est divisé en plusieurs Zones : Zone
visiteurs, Zone exposants et Zones mixtes à usage polyvalent et
d'accès contrôlé (parkings, chapiteaux,…), matérialisées par des
clôtures et une signalisation stipulant les conditions d'accès et
d'affectation des zones.
Real estate complex operated by Viparis Nord Villepinte. This real
estate complex is divided into several Areas: a Visitor Area, an
Exhibitor Area and controlled-access, mixed-use Multipurpose
Rooms (parking areas, tents, etc.) that are indicated by closures and
signage indicating the conditions for entering and allocating those
areas.
PERIODE D’OUVERTURE DE LA MANIFESTATION :
EVENT OPENING PERIOD:
Période exprimée en jours comprise entre les DATES
D’OUVERTURE et de FERMETURE DE LA MANIFESTATION
incluses, étant précisé que toute inauguration ou réception se
déroulant sur le SITE antérieurement ou postérieurement aux

MANIFESTATION devra être portée à la connaissance de Viparis
Nord Villepinte, et fera rétroagir le début ou prorogera la fin de la

be informed of any opening ceremony or reception held at the SITE
prior to or subsequent to the EVENT START DATE or END DATE,
which shall have the effect of extending the EVENT OPENING
PERIOD by an equivalent number of days.

- may be set up at the SITE for the sole purposes of the EVENT in
question and,
- permettant exclusivement la vente à emporter de sandwichs et autre
collation d’impulsion, sucreries, glaces, gâteaux secs, crêpes, gaufres,
marrons, autres friandises et boissons accompagnant habituellement
de telles ventes.
- allows only take-away sales of sandwiches and other snacks, sweets,
ice cream, biscuits, crepes, waffles, roasted chestnuts and other treats
and beverages which customarily accompany such sales.

MANDATORY SERVICES:
Prestations de service listées en annexe 2 ci-après, indissociables
de toute location de SURFACES INTERIEURES ou
EXTERIEURES D’EXPOSITION et dont le PRENEUR passe
commande en signant la CONVENTION DE LOCATION pour
exécution par Viparis Nord Villepinte et facturation aux tarifs en
vigueur.
Services defined in Schedule 2 below, inseparable from any lease
of INDOOR or OUTDOOR EXHIBITION AREAS, which, by signing
the LEASE AGREEMENT, the LESSEE orders from Viparis Nord
Villepinte, which the latter will invoice at the prevailing rates.
PRESTATIONS OPTIONNELLES :
OPTIONAL SERVICES:
- Toutes prolongations d’une PRESTATION INCLUSE en dehors
des durées et plages horaires définies à l'annexe 1 et,
- Any extension of an INCLUDED SERVICE outside the periods
and times defined in Schedule 1, and
- toutes autres prestations de services susceptibles d’être
exécutées pour les besoins d’une MANIFESTATION dont certaines
sont définies aux annexes 3 et 4 ci-après.
- all other services which may be provided for the purposes of an
EVENT, some of which are defined in Schedules 3 and 4 below.

OPTIONNELLE devra avoir fait l’objet d’une COMMANDE.
In order to be provided by Viparis Nord Villepinte, an ORDER must
be placed for any OPTIONAL SERVICE required.
RESTAURANT PROVISOIRE :
TEMPORARY RESTAURANT:
Tout restaurant que le PRENEUR souhaiterait voir installer et gérer
provisoirement par un tiers sur une SURFACE INTERIEURE ou
EXTERIEURE D’EXPOSITION.
Any restaurant which the LESSEE wishes to have installed and
managed on a temporary basis by a third party in an INDOOR or
OUTDOOR EXHIBITION AREA.
REUNION DE COORDINATION :
BRIEFING:
Réunion organisée par Viparis Nord Villepinte et à laquelle sont
conviés tous les PRENEURS,
Meeting organized by Viparis Nord Villepinte to which all Lessees
are invited:
- qui ont signé une CONVENTION DE LOCATION,
- who have signed a LEASE AGREEMENT,
- qui ont acquitté le premier acompte sur l’Indemnité d’Occupation,
- who have paid the first instalment of the Occupancy Charge,
- et dont les manifestations doivent se dérouler simultanément sur
le PARC.
- and whose events are due to be held at the CENTRE
simultaneously.
Cette réunion a pour objet de diffuser l’ensemble des informations
nécessaires à la tenue simultanée de ces manifestations.
The purpose of this meeting is to provide all information concerning
the simultaneous organization of such events.
Ses conclusions, formalisées par Viparis Nord Villepinte sous
forme de compte rendu, ne peuvent en aucun cas apporter
quelques modifications ou dérogations que ce soit aux
CONVENTIONSDE LOCATION signées.
The conclusions of the meeting, formalized by Viparis Nord

available for the LESSEE’s use free of charge by Viparis Nord
Villepinte for the sole purpose of the EVENT, can be found in the
LEASE AGREEMENT.
The LESSEE is only granted a right of way through these
ANCILLARY AREAS and may only use same in accordance with
their intended purpose.
INDOOR or OUTDOOR EXHIBITION AREA:
SURFACE INTERIEURE ou EXTERIEURE D’EXPOSITION :

BATIMENT qui, telles que définies dans la CONVENTION DE
LOCATION, sont louées par Viparis Nord Villepinte au PRENEUR

- dont seulement certaines peuvent être utilisées pour réaliser des
AMENAGEMENTS ou entreprendre toutes autres activités propres à la
MANIFESTATION, les stockages devant y être réalisés conformément
à l’Article 2.2.8.2 du CAHIER DES CHARGES SECURITE,
- la totalité des autres, (à savoir notamment allées, sas ou rampe d’accès,
zones d’accès et dégagement des locaux techniques et des MATERIELS
et EQUIPEMENTS), devant en permanence rester entièrement dégagées
et libres à toute circulation.
L’étendue de ces surfaces, définie en m2 dans la CONVENTION DE
LOCATION ne peut, après signature de cette dernière, être ni réduite, ni
augmentée sauf cas prévu à l’Article 7 ci-après ; il est ici précisé que
l’étendue des SURFACES EXTERIEURES D’EXPOSITION mentionnée
dans la CONVENTION DE LOCATION peut ne pas correspondre
exactement à leur surface réelle puisque ne tenant pas compte des
éventuelles déclivités.
All areas located inside or outside a BUILDING which, as defined in
the LEASE AGREEMENT, are leased by the LESSEE from Viparis
Nord Villepinte for the sole purpose of the EVENT and,
- only some of which may be used to make IMPROVEMENTS or
engage in any other activities specific to the EVENT, and any storage in
such areas must comply with Article 2.2.8.2 of the SAFETY
REGULATIONS,
- with all others (including in particular aisles, air locks and access ramps,
access points and clearance areas around service rooms and
MACHINERY AND EQUIPMENT) remaining unobstructed and clear at all
times.
The size of said areas, indicated in m² in the LEASE AGREEMENT, may
not, after the signature thereof, be increased or reduced, except in the
case provided by Article 7 below; it is hereby stipulated that the size of the
OUTDOOR EXHIBITION AREAS mentioned in the LEASE
AGREEMENT may not correspond exactly to their actual area, since any
gradients are not taken into account.

sur le PARC pour les seuls besoins de son Commissariat général
ou de son stand ; de tels approvisionnements peuvent être
librement réalisés par les intéressés et ne sont soumis à aucune
redevance pour autant que les produits livrés ne fassent l’objet

It is hereby stipulated that any food or beverages brought into the
CENTRE by an ORGANIZER of an EVENT or an EXHIBITOR and
procured by same solely by their own means and for the
requirements of their own Central Management Office or stand
shall not be deemed a STAND SALE; such items may be procured
by the parties concerned without restriction or charge, provided that
the products delivered are in no way part of any commercial
transaction.
II – GENERAL PROVISIONS II - DISPOSITIONS GENERALES SCOPE OF APPLICATION OF THE LEASE

2.1 - Les présentes CONDITIONS GENERALES DE VENTE feront
partie intégrante de toute CONVENTION DE LOCATION relative à
une MANIFESTATION devant se tenir sur le PARC au cours de la
période portée en référence en tête des présentes.
2.1 - These GENERAL TERMS OF SALE shall form an integral
part of any LEASE AGREEMENT relating to an EVENT held at the
CENTRE during the period indicated at the beginning of this
document.
2.2 - DETAILS REGARDING THE LEASED SPACE

Il s’agit des SURFACES INTÉRIEURES ET/OU EXTÉRIEURES
D’EXPOSITION, des halls d’accueil et des différents locaux mis à
disposition du PRENEUR et donnant lieu à facturation.
The leased space consists of INDOOR AND/OR OUTDOOR
EXHIBITION AREAS, reception halls and various areas that are
available to the LESSEE on a billable basis.
2.2.1 RECEPTION AREAS - RESTRICTIONS ON USE
2.2.1 SURFACES D'ACCUEIL - UTILISATION RESTRICTIVE
Les AMÉNAGEMENTS envisagés dans les surfaces d’accueil
doivent recueillir l’accord de Viparis Paris Nord Villepinte, et
permettre la libre circulation du public vers les différents HALLS et
services. En tout état de cause, les AMÉNAGEMENTS doivent se
limiter aux zones allouées aux MANIFESTATIONS et figurant sur
le PLAN de la Galerie d’Accueil.
Pour le HALL 5A, lorsqu’il est loué en totalité, la place d’accueil est
mise gracieusement à disposition depuis la veille de l’ouverture de
la MANIFESTATION jusqu’au lendemain de la fermeture.
Pour le HALL 6, la place d’accueil située en mezzanine du HALL,
la zone d’accueil complémentaire de 956 m2 située au rez-dechaussée entre les escaliers d’accès au HALL ainsi que la zone
d’accès visiteurs (Accueil Est) de 86 m2 sont mises à disposition
du PRENEUR, sans donner lieu à facturation.
Il est précisé qu’aucun STAND ne pourra être admis sur ces
emplacements et que tout AMÉNAGEMENT devra recevoir
l’accord préalable de Viparis Nord Villepinte et de la Commission
de sécurité.
Dans le cas d’une utilisation conjointe des HALLS 5A et 6, la partie
centrale du hall de liaison de 432 m2 est également mise à
disposition du PRENEUR sans donner lieu à facturation, sous
réserve que cette zone ne fasse l’objet d’aucune occupation et
qu’elle puisse être traversée en cas de besoin par des véhicules de
sécurité.
Any envisaged IMPROVEMENTS to the reception areas must be
approved by Viparis Paris Nord Villepinte and must allow for the
free movement of the public to the various HALLS and services. In
each case, these IMPROVEMENTS must be confined to the areas
allocated to the EVENTS and appearing on the floor PLAN of the
Reception Area.
For HALL 5A, when the hall is leased in full, the reception area is
made available at no charge from the day prior to the EVENT’s
opening to the day after its closing.
For HALL 6, the reception area is located on the HALL mezzanine.
The LESSEE may also use the additional ground-floor reception
area of 956 m² located between the HALL access escalators, as
well as the 86-sq.m visitor access area (East Reception), at no
additional charge.
Note that STANDs are not permissible in these locations, and any
IMPROVEMENT must receive prior approval from Viparis Nord
Villepinte and the Safety Subcommittee.
When HALLS 5A and 6 are being used in conjunction, the central
portion of the connecting hall (432 m²) is also available to the
LESSEE at no additional charge, on the condition that this area is
free of any occupancy and allows for the passage of security
vehicles as necessary.
2.2.2 VIP LOUNGE
2.2.2 SALON D'HONNEUR
Sur demande du PRENEUR occupant le HALL 6, le salon
d’Honneur peut être mis à sa disposition de façon exceptionnelle, à
titre gracieux.
Dans une telle hypothèse, le PRENEUR doit s’engager à l’utiliser
selon sa vocation propre, c’est-à-dire en vue de recevoir des
personnalités de haut niveau et en nombre relativement limité.
At the request of the LESSEE occupying HALL 6, the VIP Lounge
may be made available in special circumstances at no additional
charge.
In such a case, the LESSEE must agree to use the space for the
purpose for which it is designed, i.e., to host a relatively limited
number of high-level guests.

Le PRENEUR doit utiliser le salon d’Honneur dans son état et ne
peut modifier, sauf accord exprès de Viparis Nord Villepinte, les
éléments de décoration ou le mobilier le garnissant.
The LESSEE must use the VIP Lounge as is and may not modify
its decorative elements or furniture without the express approval of
Viparis Nord Villepinte.
Toute prestation particulière demandée à VIPARIS Nord Villepinte
ferait l’objet d’une facturation complémentaire.
Any specific service requested of VIPARIS Nord Villepinte will be
additionally invoiced.
Le PRENEUR s’engage également à laisser libre accès aux
représentants de VIPARIS Nord Villepinte pour y accueillir les
personnalités qu’elle serait elle-même amenée à recevoir.
The LESSEE also agrees to allow free access to the VIP Lounge
by representatives of VIPARIS Nord Villepinte to receive any
guests they themselves may wish to host.
2.3 - EXCLUSIONS

En tout état de cause, la location ne comprend pas :

- les différents locaux et surfaces annexes (salles de conférences,
de réunions, de presse, bureaux, etc...) situées dans la Galerie
d’Accueil ainsi que les centres de conférences qui pourront être
mis à la disposition du PRENEUR en fonction d’une commande
ultérieure et sous réserve qu’aucune réservation n’ait
antérieurement été effectuée par un tiers ;
- the various premises and ancillary surface areas (conference,
meeting and press rooms, offices, etc.) located in the Reception
Area as well as the conference centres, which may be made
available to the LESSEE pursuant to a subsequent order and
provided that no reservations were made previously by a third
party;
- exception faite des PRESTATIONS INCLUSES, les différents
services et prestations techniques (éclairage, fourniture
d’électricité,
permanences
techniques,
chauffage,
rafraîchissement, eau, air comprimé, téléphone, parkings, etc...)
qui feront l’objet d’une commande distincte et seront facturés en

telephone, car park, etc.), which shall be the subject of a separate
order and shall be additionally invoiced.
III - AUTORISATIONS ET DECLARATIONS ADMINISTRATIVES
III – ADMINISTRATIVE AUTHORIZATIONS AND
DECLARATIONS
3.1 – RESPECT DES REGLES DE SÉCURITÉ – AGRÉMENTS
ET AUTORISATIONS ADMINISTRATIFS DE SÉCURITÉ
3.1- SAFETY RULES - ADMINISTRATIVE SAFETY APPROVALS
AND AUTHORIZATIONS
3.1.1 Le PRENEUR s’engage à respecter l’ensemble des règles de
sécurité applicables lors de la tenue de la MANIFESTATION, en
particulier le Règlement de Sécurité, le Cahier des Charges
Sécurité du PARC et les prescriptions particulières émises par la
Préfecture le cas échéant.
3.1.1 The LESSEE agrees to respect all applicable safety rules
during its EVENT, particularly the Safety Regulations and Safety
Specifications of the SITE and any special provisions issued by the
Prefecture.
En cas de non-respect de l’une de ces règles de sécurité, Viparis
Nord Villepinte et/ou toute société du groupe VIPARIS se réserve
le droit de refuser la tenue d’une prochaine manifestation sur le
PARC, ou sur tout autre site exploité par le groupe VIPARIS,
organisée par ou pour le compte du PRENEUR.
3.1.2 Le PRENEUR reconnaît être parfaitement informé des
différents agréments et autorisations administratives de sécurité
que nécessitent l’ouverture au public et le déroulement de la
MANIFESTATION.
Le PRENEUR reconnaît également que la signature d’une
CONVENTION D’OCCUPATION avec Viparis Nord Villepinte ne
présume pas de l’obtention de ces agréments et autorisations
administratives de sécurité qu’il a seul la responsabilité de requérir
et d’obtenir en temps utile. Les informations, conseils,
recommandations ou assistance que Viparis Nord Villepinte
pourrait lui apporter dans ces domaines ne pourront être
considérés comme opérant un quelconque transfert ou partage de
responsabilité en la matière entre lui-même et Viparis Nord
Villepinte.
Le PRENEUR s’engage à adresser à Viparis Nord Villepinte copie
des demandes d’agrément et d’autorisation dès leur dépôt et copie
desdits agréments et autorisations dès leur obtention.
In the event of non-compliance with any of these safety rules,
Viparis Nord Villepinte and/or any company of the VIPARIS group
reserves the right to refuse that an upcoming event organized by or
for the LESSEE be held on the SITE, or on any other site operated
by the VIPARIS group.
3.1.2 The LESSEE declares that it has been fully informed of the
various safety-related administrative approvals and authorizations
required for the organization of the EVENT and its opening to the
public.
The LESSEE also acknowledges that the signing of an
OCCUPANCY AGREEMENT with Viparis Nord Villepinte does not
imply that said safety-related administrative approvals and
authorizations have been obtained, since the LESSEE is solely
responsible for applying for these and obtaining them in a timely
manner. Any information, advice, recommendations or assistance
which Viparis Nord Villepinte may offer the LESSEE in this area
may not be construed as a transfer or sharing of responsibility in
this respect between itself and Viparis Nord Villepinte.
The LESSEE agrees to send Viparis Nord Villepinte a copy of the
applications for approval and authorization once they have been
filed and a copy of said approvals and authorizations once they
have been obtained.

3.2 – DÉCLARATION / AUTORISATION ADMINISTRATIVE DE
LA MANIFESTATION
3.2 – ADMINISTRATIVE DECLARATION/AUTHORIZATION OF
THE EVENT
Afin de permettre à Viparis Nord Villepinte de déclarer la
MANIFESTATION à la Préfecture dans le cadre du programme
annuel des manifestations commerciales se tenant sur le SITE, le
PRENEUR s’engage à joindre à la CONVENTION DE LOCATION
signée le formulaire permettant la déclaration administrative de la
MANIFESTATION, dûment renseigné.
In order for Viparis Nord Villepinte to notify the Prefecture about the
EVENT as part of the annual programme of trade events held at
the SITE, the LESSEE agrees to attach the completed
administrative EVENT declaration form to the signed LEASE
AGREEMENT.
En cas de modification ultérieure apportée à la MANIFESTATION
au regard des données ainsi communiquées, le PRENEUR
s’engage à adresser immédiatement à Viparis Nord Villepinte un
nouveau formulaire comportant le nom de ladite MANIFESTATION
et celles de ses caractéristiques modifiées.
Viparis Nord Villepinte transmettant les données recueillies en l’état
de leur communication par le PRENEUR, ce dernier est seul
responsable du caractère complet et exact des informations
déclarées.
Il est expressément précisé que la responsabilité de Viparis Nord
Villepinte ne pourra en aucun cas être recherchée en cas de non
obtention, en temps utile, du récépissé de déclaration nécessaire à
la tenue de la MANIFESTATION, en raison notamment du refus du
PRENEUR de fournir les données ou encore du caractère erroné
ou incomplet de la déclaration ; à cet égard, le PRENEUR
s’engage à garantir Viparis Nord Villepinte contre tous recours.
En l’absence de récépissé de déclaration à moins de 2 mois de la
date de la MANIFESTATION, le PRENEUR reconnaît être dûment
informé de la nécessité de recueillir directement auprès des
autorités administratives compétentes l’autorisation impérative à la
tenue de sa MANIFESTATION sur le SITE.
Si la MANIFESTATION prévue sur le SITE n’est pas une
manifestation commerciale au sens donné par la loi, le PRENEUR
reconnaît être dûment informé des autorisations administratives
nécessaires à
l’ouverture
au
public
de
ladite
MANIFESTATION qu’il a seul la responsabilité de requérir et
d’obtenir en temps utile.
3.3 En toute hypothèse et sauf faute de Viparis Nord Villepinte
dans la transmission des données recueillies, le PRENEUR ne
pourra arguer de la non-obtention en temps utile desdits
agréments, récépissé de déclaration et autorisation visés à l’article
3.1 et 3.2 ci-dessus pour réclamer une quelconque réduction des
sommes dues à Viparis Nord Villepinte ni pour résilier la
CONVENTION DE LOCATION, sauf à régler à celle-ci l’intégralité
des sommes dues au titre de cette CONVENTION DE LOCATION.
If any subsequent change is made to the EVENT based on the
information provided, the LESSEE agrees to immediately send
Viparis Nord Villepinte a new form containing the name of said
EVENT and the changes made.
Viparis Nord Villepinte shall forward the information as received
from the Lessee, which is therefore solely responsible for the
completeness and accuracy of the information provided.
It is expressly stipulated that Viparis Nord Villepinte may in no way
be held liable in the event that confirmation of receipt of the
declaration, necessary in order for the EVENT to take place, is not
obtained in a timely manner, particularly where this is due to the
LESSEE’s refusal to provide information or is due to the inaccuracy
or incompleteness of the declaration; the LESSEE agrees to hold
Viparis Nord Villepinte harmless in this regard.
The LESSEE acknowledges that it has been properly informed
that, if no confirmation of receipt of the declaration has been
received at least two months prior to the date of the EVENT, it will
need to contact the relevant administrative authorities directly to
obtain the authorization needed to hold its EVENT at the SITE.
If the EVENT due to take place at the SITE is not a trade event in
the legal sense, the LESSEE acknowledges that it has been
properly informed of the administrative authorizations needed to
open said EVENT to the public, which it is solely
responsible for requesting and obtaining in a timely manner.
3.3 – In any event, unless Viparis Nord Villepinte fails to forward
the information received, the LESSEE may not rely on the failure to
obtain in a timely manner said approvals, receipt of declaration and
authorization referred to in Articles 3.1 and 3.2 above in order to
claim any reduction in the amounts owed to Viparis Nord Villepinte
or to terminate the LEASE AGREEMENT, unless it pays Viparis
Nord Villepinte all amounts due pursuant to this LEASE
AGREEMENT.
IV - CHARGE DE SECURITE

réglementation en vigueur et au CAHIER DES CHARGES
SECURITE, il sera présent sur le SITE dès la DATE D’ENTREE
DANS LES LIEUX, et pendant toute la durée de la
MANIFESTATION pour les événements de type T.
4.2 – The LESSEE warrants to Viparis Nord Villepinte that, upon
his or her appointment and until and including the EVENT END
DATE, the safety officer shall fulfil all of his/her obligations as
defined in the regulations in force; in accordance with regulations in
force and the SAFETY REGULATIONS, the safety officer shall be
present at the SITE from the DATE OF HANDOVER OF THE
PREMISES and, in the case of type T events, for the entire
duration of the EVENT.

4.3 - La fonction de chargé de sécurité ne devra en aucun cas rester
vacante, le PRENEUR s’engageant à prendre toute mesure utile
pour que de telles vacances ne puissent survenir et ce pour quelque
cause que ce soit.
V - RELATION DU PRENEUR AVEC L’ORGANISATEUR,
4.3 – Under no circumstances may the position of safety officer
remain vacant, and the LESSEE agrees to make every effort to
ensure that such vacancy does not arise for any reason whatsoever.
V – THE LESSEE’S RELATIONSHIP WITH THE ORGANIZER,
LES EXPOSANTS, LE PUBLIC ET LES FOURNISSEURS
EXHIBITORS, THE PUBLIC AND SUPPLIERS
5.1 - RELATIONS AVEC L’ORGANISATEUR
5.1 – RELATIONSHIP WITH THE ORGANIZER
5.1.1 - Le PRENEUR pourra, s’il le souhaite et sous son entière
responsabilité, faire organiser la MANIFESTATION par tout
ORGANISATEUR de son choix,

peril, have the EVENT organized by any ORGANIZER of its choice,

expressément et précise le nom de ce dernier,
- on condition that the LEASE AGREEMENT expressly provides for
this and specifies the name of the ORGANIZER,
- sous réserve qu’à l’occasion de MANIFESTATIONS antérieures il
ne se soit, du fait de cet ORGANISATEUR, produit aucun différend
en ce qui concerne le paiement des sommes dues à Viparis Nord
Villepinte, les assurances, le respect des nomenclatures et des
délais, l’hygiène, la sécurité ou la protection des personnes et des
biens sur le PARC ;
- on condition that, during previous Events, no dispute arose with
said ORGANIZER regarding the payment of amounts due to
Viparis Nord Villepinte, Insurance, compliance with the
Classifications and timeframes, health, safety or the protection of
people and property at the CENTRE;
- et à condition que le contrat qu’il
l’ORGANISATEUR et/ou les EXPOSANTS,
conclura
avec
• comprenne, comme partie intégrante, copie de la CONVENTION
DE LOCATION et ne contienne aucune disposition modificative ou
dérogatoire à cette dernière et,
- and on condition that the contract made with the ORGANIZER
and/or the EXHIBITORS:
• includes a copy of the LEASE AGREEMENT, as an integral part
thereof, and contains no provision that constitutes an amendment
or exception to said agreement, and
• a provision stipulating that:

Les EXPOSANTS devront avoir souscrit une police
d’assurance Multirisques garantissant tant les dommages
aux biens leur appartenant ou sous leur garde, que les
responsabilités qu’ils sont susceptibles d’encourir à l’encontre
de tous tiers y compris Viparis Nord Villepinte et / ou le
Propriétaire,
Les EXPOSANTS et leurs assureurs respectifs
s’engagent à renoncer à tout recours à l’encontre de Viparis
Nord Villepinte, du Propriétaire du SITE, et de leurs
assureurs dans les termes identiques à ceux énoncés aux
articles 8.2 et 8.3.
5.1.2 - Le PRENEUR se porte fort vis-à-vis de Viparis Nord
Villepinte
de ce que les renonciations à recours visées à
l’Article 5.1.1. ci-dessus seront effectivement souscrites par
l’ORGANISATEUR et ses assureurs, et s’engage à indemniser
Viparis Nord Villepinte des conséquences directes ou indirectes de
toute demande et action judiciaire ou non que l’ORGANISATEUR,
ses préposés et/ou ses assureurs formuleraient ou intenteraient
contre Viparis Nord Villepinte et notamment tous frais et honoraires
que cette dernière aura dû engager pour faire valoir ses droits.
5.1.3 - Le fait pour le PRENEUR de contracter avec un
ORGANISATEUR ne modifiera en aucune façon les relations
contractuelles entre Viparis Nord Villepinte et le PRENEUR, ce
dernier restant seul et unique responsable vis-à-vis de Viparis Nord
Villepinte de la parfaite exécution de la CONVENTION DE
LOCATION.

The EXHIBITORS shall have taken out a multi-risk
insurance policy that covers damage to goods in their
possession or care as well as any liability they may incur with
respect to any third party, including Viparis Nord Villepinte
and/or the Owner;
The EXHIBITORS and their respective insurers waive
all recourse against Viparis Nord Villepinte, the Owner of the
SITE and their insurers under the same terms as those set
out in Articles 8.2 and 8.3.
5.1.2 – The LESSEE warrants to Viparis Nord Villepinte that the
waivers of recourse referred to in Article 5.1.1. above shall
effectively be executed by the ORGANIZER and its insurers, and
agrees to indemnify Viparis Nord Villepinte for the direct or indirect
consequences of any legal or other action or claims which the
ORGANIZER, its agents and/or its insurers may make or bring
against Viparis Nord Villepinte, including all costs and fees which
the latter is forced to incur to protect its rights.
5.1.3 - The fact that the LESSEE enters into an agreement with the
ORGANIZER shall in no way change the contractual relationship
between Viparis Nord Villepinte and the LESSEE, which remains
solely liable toward Viparis Nord Villepinte for the satisfactory
performance of the LEASE AGREEMENT.

L’ORGANISATEUR sera, vis-à-vis de Viparis Nord Villepinte,
réputé avoir reçu mandat du PRENEUR pour agir au nom et pour
le compte de ce dernier, prendre toute décision relative à
la mise en œuvre de la CONVENTION DE LOCATION et exécuter
l'ensemble de ses obligations, en ce compris le règlement des
sommes dues au titre de la CONVENTION DE LOCATION si le
PRENEUR a sollicité de Viparis Nord Villepinte que
l’ORGANISATEUR soit ainsi facturé.
Par les présentes, le PRENEUR s'engage inconditionnellement et
irrévocablement à payer à Viparis Nord Villepinte, à la première
demande de cette dernière, toutes sommes dues au titre de la
CONVENTION DE LOCATION objet des présentes et toutes celles
relatives à la fourniture de PRESTATIONSOBLIGATOIRES ou
PRESTATIONS OPTIONNELLES par l'ORGANISATEUR que cette
demande, respectant les formes prévues infra, indiquerait comme
étant dues à Viparis Nord Villepinte à concurrence d'un montant
égal à celui du contrat.
Cette garantie à première demande pourra être mise en jeu par
Viparis Nord Villepinte, en une ou plusieurs fois ; chaque paiement
effectué par le PRENEUR en vertu de cette garantie réduisant de
plein droit, à due concurrence, le montant garanti.
La présente garantie, contractée directement envers Viparis Nord
Villepinte constitue un engagement direct, inconditionnel et
irrévocable du PRENEUR, autonome et indépendant par rapport à
la CONVENTION DE LOCATION, le PRENEUR étant tenu de
s'exécuter dans le délai visé, nonobstant toutes exceptions ou
contestations.
Ainsi, le PRENEUR s'engage à ce que le paiement intervienne
dans les 7 jours calendaires suivant la réception par le PRENEUR,
à l'adresse mentionnée sur la CONVENTION DE LOCATION,
d'une lettre recommandée avec accusé de réception émanant de
Viparis Nord Villepinte, indiquant le montant du paiement demandé
et attestant que la somme demandée reste due par
l'ORGANISATEUR à Viparis Nord Villepinte.
Toutes les dispositions de la présente garantie conserveront leur
plein effet en cas de règlement amiable, cessation des paiements,
liquidation judiciaire, faillite ou toute situation analogue de
l'ORGANISATEUR.
In its dealings with Viparis Nord Villepinte, the ORGANIZER shall
be deemed to have received authorization from the LESSEE to act
on the latter’s behalf, take all decisions relating to the execution of
the LEASE AGREEMENT and perform all of its obligations,
including payment of the sums due pursuant to the LEASE
AGREEMENT if the LESSEE has made a request to Viparis Nord
Villepinte that the ORGANIZER be billed.
The LESSEE hereby unconditionally and irrevocably agrees to pay
Viparis Nord Villepinte, on the latter's request, all sums due
pursuant to this LEASE AGREEMENT and all those relating to the
provision of MANDATORY SERVICES or OPTIONAL SERVICES
by the ORGANIZER which are indicated in said request, in
accordance with the forms specified below, as being due to Viparis
Nord Villepinte, up to an amount equal to that of the contract.
This guarantee of payment on demand may be invoked by Viparis
Nord Villepinte on one or more occasions, and each payment made
by the LESSEE pursuant to this guarantee shall reduce the
guaranteed amount proportionally.
This guarantee, entered into directly with Viparis Nord Villepinte,
shall constitute a direct, unconditional and irrevocable undertaking
by the LESSEE which is independent of the LEASE AGREEMENT,
and the LESSEE shall be required to execute it within the specified
period, regardless of any objection or dispute.
The LESSEE therefore agrees to make payment within seven
calendar days of receipt by the LESSEE, at the address specified
in the LEASE AGREEMENT, of a registered letter with advice of
receipt sent by Viparis Nord Villepinte, indicating the amount of the
payment requested and stating that the sum requested is owed by
the ORGANIZER to Viparis Nord Villepinte.
All the terms of this guarantee shall remain fully effective in the
event of an informal settlement, or the ORGANIZER’s insolvency,
compulsory liquidation, bankruptcy or other similar situation.
This guarantee of payment on demand shall remain in force and be
fully effective for six months following the end date of the lease of
exhibition space.
Cette garantie à première demande restera en vigueur et produira
tous ses effets pendant les 6 mois suivant la date de fin de mise à
disposition des espaces.
5.2 - RELATIONS AVEC LES EXPOSANTS
5.2 - RELATIONSHIP WITH THE EXHIBITORS
5.2.1 - D’une manière générale, le PRENEUR aura toute liberté
pour contracter avec toutes personnes physiques ou morales
désirant exposer ou participer de toute autre manière à l’animation
de la MANIFESTATION, étant précisé qu’il s’engage à veiller au
professionnalisme de ces personnes et qu’il s’interdit de contracter
avec toute personne ayant, à sa connaissance, causé un des
différends visés à l’Article 5.1.1 ci-dessus.
5.2.1 – In general, the LESSEE shall be free to enter into contracts
with any natural or legal persons wishing to exhibit or otherwise
participate in the EVENT, with the stipulation that it agrees to
ensure the professionalism of such persons and that it shall refrain
from entering into a contract with any person who, to its knowledge,
caused any of the disputes referred to in Article 5.1.1 above.
5.2.2 - Préalablement à l’entrée des EXPOSANTS sur le PARC, le
PRENEUR s’engage à :

• des différents services proposés par Viparis Nord Villepinte aux
EXPOSANTS, en leur fournissant, le guide “de l'Exposant” tel qu'il
existe sur le site Web de Viparis ou, à défaut, en reproduisant, in
extenso, dans sa propre documentation, les fiches, le bon de
commande et son enveloppe, figurant dans ce même guide ; ce
guide ou ces informations devront être communiquées en temps
utile, par le PRENEUR à ses EXPOSANTS, étant ici précisé que si,
du fait du PRENEUR, un EXPOSANT n’était pas en mesure de
passer commande à Viparis Nord Villepinte avant la “date limite”
figurant dans le guide “de l'Exposant”, le PRENEUR s’engage à
régler à Viparis Nord Villepinte, sur présentation de facture, le
supplément de prix pour commande tardive visé dans ce même
guide ;
b) - inclure, dans le contrat qu’il s’engage à avoir alors signé avec
chacun d’eux, une disposition au terme de laquelle l’EXPOSANT :
- s’engagera à respecter l’ensemble des contraintes d’utilisations et
normes d’hygiène et de sécurité en vigueur sur le PARC et
notamment les dispositions du CAHIER DES CHARGES SECURITE
et du Règlement Intérieur dont un exemplaire sera tenu à sa
disposition par le PRENEUR sur le SITE pendant toute la DUREE
D’OCCUPATION DU SITE ;
- exception faite des actes de malveillance de Viparis Nord
Villepinte, renoncera à recours contre Viparis Nord Villepinte et ses
assureurs,
• pour tous dommages matériels causés à
l’EXPOSANT et résultant d’incendie, d’explosion, de dégâts
électriques ou de dégâts des eaux dont la responsabilité
incomberait à Viparis Nord Villepinte,
• ainsi que pour tous dommages immatériels consécutifs
et/ou non consécutifs, et notamment pertes d’exploitation, subis par
l’EXPOSANT et dont la responsabilité incomberait à Viparis Nord
Villepinte, et ce quelle qu’en soit la cause,
• the various services offered by Viparis Nord Villepinte to
EXHIBITORS by providing them with the "Exhibitor Guide" that
appears on the Viparis website or, failing that, by reproducing in
full, in its own documentation, the forms, purchase order and
envelope contained in said guide; this guide or information must be
provided in a timely manner by the LESSEE to its EXHIBITORS, it
being stipulated that if, due to the actions of the LESSEE, an
EXHIBITOR is unable to place an order with Viparis Nord Villepinte
prior to the “deadline” indicated in the "Exhibitor Guide", the
LESSEE agrees to pay Viparis Nord Villepinte, on presentation of
an invoice, the last-minute order surcharge referred to in said
guide;
b) - include, in the contract made with each of them, a provision
whereby the EXHIBITOR:
- shall agree to comply with all the restrictions on use and health and
safety standards in force at the CENTRE, particularly the provisions
of the SAFETY REGULATIONS and Internal Regulations, a copy of
which shall be made available to it by the LESSEE at the SITE
throughout the SITE OCCUPANCY PERIOD;
- except in case of malicious damage by Viparis Nord Villepinte,
shall waive any recourse against Viparis Nord Villepinte and its
insurers,
• for all property damage caused to the EXHIBITOR as
a result of fire, explosion, electrical damage or water damage for
which Viparis Nord Villepinte is responsible,
• and for any consequential and/or non-consequential
immaterial losses, and in particular operating losses incurred by the
EXHIBITOR and for which Viparis Nord Villepinte may be liable,
irrespective of the cause thereof;
- and irrevocably undertakes to ensure that the insurance policies
taken out contain an identical waiver of recourse from its insurers.

action judiciaire ou non qu’un EXPOSANT, ses préposés ou ses
Assureurs formuleraient ou intenteraient contre Viparis Nord
Villepinte et notamment de tous frais et honoraires que cette
dernière aura dû engager pour faire valoir ses droits.
5.2.3 –The LESSEE shall be responsible for obtaining a sworn
written statement from each EXHIBITOR certifying that the
EXHIBITOR’s insurers have also signed the waivers of recourse
referred to in Article 5.2.2.b above; the LESSEE agrees to
indemnify Viparis Nord Villepinte for the direct and/or indirect
consequences of any legal or other action or claims which an
EXHIBITOR, its agents or its insurers may make or bring against
Viparis Nord Villepinte, including all costs and fees which the latter
is forced to incur to protect its rights.
5.2.4 - Vis-à-vis de Viparis Nord Villepinte, toute personne désirant
exposer ou participer de toute autre manière à l’animation de la
MANIFESTATION et pénétrant sur le PARC sera réputée avoir la
qualité d’EXPOSANT. Toutefois, le PRENEUR s’engage à justifier
à Viparis Nord Villepinte, à première demande, qu’une telle
personne aura effectivement souscrit un contrat conforme aux
dispositions de l’article 5.2.2.b ci-dessus.
5.2.4 – Any person wishing to exhibit or otherwise participate in the
EVENT and entering the CENTRE shall be deemed to be an
EXHIBITOR by Viparis Nord Villepinte. However, the LESSEE
agrees to furnish evidence to Viparis Nord Villepinte, on request,
that such person has in fact signed a contract in accordance with
the provisions of Article 5.2.2.b above.

5.3 - RELATIONS AVEC LE PUBLIC ET LES FOURNISSEURS

D’une manière générale, le PRENEUR s’engage à prendre toutes
mesures utiles afin que le public se rendant à la MANIFESTATION
ainsi que les fournisseurs du PRENEUR et des EXPOSANTS
soient tenus informés et respectent toutes mesures que lui-même
et/ou Viparis Nord Villepinte prendront pour assurer l’hygiène et la
sécurité des personnes, des animaux et des biens sur tout ou
partie du PARC et pour préserver en bon état les biens meubles et
immeubles composant ce dernier.
In general, the LESSEE agrees to make every effort to ensure that
members of the public attending the EVENT and the suppliers of
the LESSEE and the EXHIBITORS are kept informed and comply
with all measures that it and/or Viparis Nord Villepinte take to
ensure the health and safety of people, animals and property
anywhere within the CENTRE and to maintain the movable and
immovable property of same in a good state of repair.
VI - REALISATION DES AMENAGEMENTS
VI - IMPROVEMENTS
6.1 - GENERALITES
6.1 – GENERAL INFORMATION
6.1.1 - Durant la PÉRIODE D'OCCUPATION du SITE, le
PRENEUR est libre d'aménager à ses frais les lieux et espaces
loués.
Il est conseillé au PRENEUR de tenir compte dans ses
AMÉNAGEMENTS de la trame générale de 3 m x 3 m répétée
dans la structure des HALLS.
Les plans et projets concernant l’affichage et la signalisation
doivent être en tout état de cause soumis à l’approbation de Viparis
Nord Villepinte.
Nota : Il est rappelé que l’utilisation des lettres blanches sur fond
vert et blanches sur fond rouge, est réservée exclusivement à la
signalisation de sécurité.
Tout AMENAGEMENT sera réalisé conformément aux règles de
l’art, aux dispositions ci-après et aux spécifications le concernant
figurant au CAHIER DES CHARGES SECURITE ; malgré toutes
dispositions contraires y figurant, les procédures d’autorisation et
d’approbation définies ci-après sont applicables à tout
AMENAGEMENT réalisé à l’intérieur ou à l’extérieur d’un
BATIMENT.
6.1.2 - Aucun AMENAGEMENT ne pourra être réalisé en dehors
des
SURFACES
INTERIEURES
et
EXTERIEURES
D’EXPOSITION.
6.1.3 - Si pour une raison quelconque le PRENEUR entreprenait
ou laissait entreprendre un AMENAGEMENT en contravention
avec l’une quelconque des dispositions du présent Article 6, Viparis
Nord Villepinte pourra, si le PRENEUR ne se conforme pas à ses
obligations à première demande, en faire cesser immédiatement la
réalisation et le faire démolir aux frais et sous la responsabilité du
PRENEUR, le tout sans préjudice de tous dommages-intérêts.
During the SITE OCCUPANCY PERIOD, the LESSEE is free to fit
out the leased premises and areas at its own expense.
In doing so, the LESSEE is advised to bear in mind the general
pattern of 3 m x 3 m structural units in each HALL.
Diagrams and plans concerning poster displays and signage must,
in every case, be submitted to Viparis Nord Villepinte for approval.
Note: The use of white letters on a green background and white
letters on a red background is exclusively reserved for security
signage.
All IMPROVEMENTS shall be made in accordance with trade
practises, the provisions set forth below and the related
specifications contained in the SAFETY REGULATIONS;
notwithstanding all provisions to the contrary contained therein, the
authorization and approval procedures defined below shall apply to
any IMPROVEMENT made inside or outside a BUILDING.
6.1.2 – No IMPROVEMENT may be made in areas other than the
INDOOR and OUTDOOR EXHIBITION AREAS.
6.1.3 – If, for any reason, the LESSEE makes or allows others to
make an IMPROVEMENT in violation of any of the provisions of
this Article 6, Viparis Nord Villepinte may, if the LESSEE does not
fulfil its obligations when asked to do so, stop the work immediately
and have it torn down at the LESSEE’s expense and responsibility,
without prejudice to any damages.
6.2 – AUTHORIZED IMPROVEMENTS
6.2 - AMENAGEMENTS AUTORISES
6.2.1 - Au plus tard 75 jours calendaires avant la DATE PREVUE
D’ENTREE DANS LES LIEUX, le PRENEUR s’engage à adresser
à Viparis Nord Villepinte, ou à lui remettre en mains propres contre
reçu, un dossier comprenant un descriptif détaillé de la totalité des
AMENAGEMENTS AUTORISES ainsi que la totalité des plans
relatifs à ces travaux établis en utilisant exclusivement les
reproductions de PLANS fournis par Viparis Nord Villepinte au
PRENEUR.
6.2.1 – At least 75 calendar days prior to the EXPECTED DATE
OF HANDOVER OF THE PREMISES, the LESSEE agrees to send
Viparis Nord Villepinte, or to deliver by hand in exchange for a
receipt, a file containing a detailed description of all AUTHORIZED
IMPROVEMENTS and all plans relating to said work, prepared
exclusively from copies of the PLANS supplied by Viparis Nord
Villepinte to the LESSEE.

6.2.2 - L’objet de cette information sera exclusivement de
permettre à Viparis Nord Villepinte de vérifier si les
AMENAGEMENTS qui y seront décrits entrent effectivement dans
la catégorie des AMENAGEMENTS AUTORISES, l’approbation
des plans n’emportant en aucun cas accord de Viparis Nord
Villepinte sur les techniques ou moyens devant être mis en œuvre
pour réaliser ces AMENAGEMENTS, le PRENEUR restant seul et
unique responsable de leur exécution.
6.2.3 - Viparis Nord Villepinte disposera de 15 jours calendaires à
compter de la réception ou de la remise en mains propres contre
reçu dudit dossier par le PRENEUR pour lui faire connaître par écrit
ses observations éventuelles ; à la diligence de Viparis Nord
Villepinte ce délai pourra être prorogé de 8 jours calendaires.
6.2.4 - En cas d’observations de Viparis Nord Villepinte, cette
dernière indiquera au PRENEUR les raisons pour lesquelles
l’AMENAGEMENT en cause ne pourra, sans modification, être
considéré comme un AMENAGEMENT AUTORISE.
6.2.5 - Si
le
PRENEUR
souhaite
néanmoins
que
l’AMENAGEMENT en cause soit réalisé, il lui appartiendra alors à
sa convenance :
• soit de modifier son projet d’AMENAGEMENT pour en faire
effectivement un AMENAGEMENT AUTORISE et de représenter
un nouveau dossier à Viparis Nord Villepinte pour approbation, au
plus tard 45 jours calendaires avant la DATE PREVUE D’ENTREE
DANS LES LIEUX,
• soit de débuter la procédure prévue à l’Article 6.3 ci-après relative
aux AMENAGEMENTS SOUMIS A AUTORISATION PREALABLE.
6.2.6 - A condition de respecter le contenu du dossier visé cidessus, modifié pour tenir compte des observations éventuelles de
Viparis Nord Villepinte, le PRENEUR pourra faire réaliser à ses
frais et sous son entière responsabilité tout AMENAGEMENT
AUTORISE, ou laisser l’EXPOSANT le réaliser dans les mêmes
conditions.
6.2.7 - Au plus tard 30 jours calendaires avant la DATE PREVUE
D’ENTREE DANS LES LIEUX, le PRENEUR adressera à Viparis
Nord Villepinte, en 20 exemplaires, l’ensemble des plans relatifs à
tout AMENAGEMENT AUTORISE devant être exécuté.
Ces plans peuvent être également être fournis sous la forme de
fichiers électroniques au format DWG, prêts à être imprimés, sans
qu'aucune intervention de mise en forme soit nécessaire de la part
des services de Viparis Nord Villepinte.
6.2.8 - La fourniture de ces dossiers et plans à Viparis Nord
Villepinte dans ces délais est indispensable pour lui permettre de
remplir ses obligations en particulier vis-à-vis du PRENEUR et des
EXPOSANTS. Le PRENEUR supportera seul toutes conséquences
directes ou indirectes que le non respect desdits délais pourrait
occasionner. Il s’engage également à dédommager Viparis Nord
Villepinte de tous coûts supplémentaires et préjudices que cette
dernière, du fait de tels retards, devrait engager ou subirait afin
notamment d’exécuter les prestations devant être rendues aux
EXPOSANTS.
6.2.9 - Tout AMENAGEMENT AUTORISE devra être entièrement
démonté aux frais du PRENEUR avant la DATE PREVUE DE
SORTIE DES LIEUX.
6.2.2 – The sole purpose of this information is to allow Viparis Nord
Villepinte to verify whether the IMPROVEMENTS described therein
actually come under the category of AUTHORIZED
IMPROVEMENTS, and approval of the plans in no way implies
acceptance by Viparis Nord Villepinte of the techniques or means
used to make such IMPROVEMENTS, the LESSEE remaining
solely responsible for their execution.
6.2.3 – Viparis Nord Villepinte shall have 15 calendar days from
receipt of said file, or from the date of hand delivery of same by the
LESSEE in exchange for a receipt, in which to inform the LESSEE
in writing of any comments it may have; Viparis Nord Villepinte may
extend this period by eight calendar days as it sees fit.
6.2.4 – If it has any comments, Viparis Nord Villepinte shall inform
the LESSEE of the reasons why the IMPROVEMENT in question,
unless modified, cannot be considered an AUTHORIZED
IMPROVEMENT.
6.2.5 – If the LESSEE still wishes to proceed
IMPROVEMENT in question, it shall, at its discretion:
with
the
• either amend its plans for the IMPROVEMENT to make it an
AUTHORIZED IMPROVEMENT and resubmit a new file to Viparis
Nord Villepinte for approval at least 45 calendar days prior to the
EXPECTED DATE OF ENTRY INTO THE PREMISES,
• or begin the procedure referred to in Article 6.3 below relating to
IMPROVEMENTS SUBJECT TO PRIOR AUTHORIZATION.
6.2.6 – Provided that it complies with the content of the file referred
to above, amended to take into account any comments made by
Viparis Nord Villepinte, the LESSEE may have an AUTHORIZED
IMPROVEMENT made at its own expense and responsibility, or
allow the EXHIBITOR to make it under the same conditions.
6.2.7 - At least 30 calendar days prior to the EXPECTED DATE OF
HANDOVER OF THE PREMISES, the LESSEE shall send Viparis
Nord Villepinte 20 copies of the plans relating to any AUTHORIZED
IMPROVEMENT which is expected to be made.
These plans may also be submitted in the form of print-ready
electronic files in DWG format, with no formatting needed on the
part of Viparis Nord Villepinte staff.
6.2.8 – The submission of such files and plans to Viparis Nord
Villepinte by said deadline is essential for it to fulfil its obligations,
particularly vis-à-vis the LESSEE and the EXHIBITORS. The
LESSEE shall be solely responsible for all direct or indirect
consequences of failure to meet said deadlines. It also agrees to
compensate Viparis Nord Villepinte for any additional costs and
losses that it may incur or suffer as a result of such delays,
particularly so that the necessary services can be provided to the
EXHIBITORS.
6.2.9 - Any AUTHORIZED IMPROVEMENT shall be fully
dismantled at the LESSEE’s expense prior to the EXPECTED
DATE OF HAND-BACK OF THE PREMISES.

liberté pour récuser toute entreprise proposée par le PRENEUR.
A la diligence de Viparis Nord Villepinte le délai visé ci-dessus
pourra être prorogé de 8 jours calendaires.
6.3.3 - Les frais engagés par Viparis Nord Villepinte pour instruire la
demande d'autorisation resteront à sa charge à l’exception du prix
des prestations de service ou honoraires dus par Viparis Nord
Villepinte à tout bureau d’étude, organisme de contrôle, architecte
que Viparis Nord Villepinte aura décidé de consulter. Ceux-ci seront,
sur justificatifs, facturés au PRENEUR, ce dernier s’engageant à les
régler à Viparis Nord Villepinte au plus tard 30 jours calendaires
après réception de facture.

6.3.3 – The costs incurred by Viparis Nord Villepinte to study the
authorization request shall be borne by it, except for the price of
services or fees owed by Viparis Nord Villepinte to any engineering
firm, regulatory agency or architect which Viparis Nord Villepinte has
elected to consult. Based on supporting documents, said costs shall
be billed to the LESSEE, which agrees to pay said amount to Viparis
Nord Villepinte no more than 30 calendar days from receipt of the
invoice.

6.3.4 - Une fois la décision d’autorisation obtenue et après avoir
communiqué à Viparis Nord Villepinte le contrat et les plans visés à
l’article 6.3.6 ci-après, le PRENEUR pourra, en tenant compte des
éventuelles réserves de Viparis Nord Villepinte, faire réaliser à ses
frais, ou autoriser l’EXPOSANT à faire réaliser à ses frais,
l’AMENAGEMENT SOUMIS A AUTORISATION PREALABLE en
cause par l’entreprise retenue par Viparis Nord Villepinte, (ou par
Viparis Nord Villepinte dans le cas prévu à l’article 6.3.1 ci-dessus);
il est ici expressément convenu que, malgré la faculté de contrôle
de Viparis Nord Villepinte, le PRENEUR restera seul et unique
responsable de l’exécution de cet AMENAGEMENT.
6.3.5 - Le contrat passé à cet effet avec cette entreprise devra
obligatoirement :
• reprendre comme partie intégrante les plans, le descriptif des
travaux, le planning d’exécution visés à l’Article 6.3.2 ci-dessus et
modifiés pour tenir compte des réserves éventuelles de Viparis
Nord Villepinte,
• prévoir que les travaux devront pouvoir être contrôlés par Viparis
Nord Villepinte conformément aux modalités visées à l’Article 6.3.2
ci-dessus. Viparis Nord Villepinte devra notamment, à sa demande,
être destinataire de, ou pouvoir se faire remettre, toutes
correspondances échangées avec cette entreprise et relatives à
l’exécution des travaux, avoir la faculté d’être représenté à toute
réunion d’avancement de chantier et de réception et pouvoir
s’opposer à la réalisation de travaux non conformes ainsi qu’à la
réception de ces derniers.
6.3.6 - Dès signature de ce contrat et au plus tard 15 jours
calendaires avant la DATE PREVUE D’ENTREE DANS LES
LIEUX, le PRENEUR en fera parvenir copie à Viparis Nord
Villepinte, accompagnée de 3 exemplaires des plans relatifs à
l’AMENAGEMENT en cause établis en utilisant exclusivement les
reproductions de PLANS fournis par Viparis Nord Villepinte au
PRENEUR.
6.3.4 – Once the authorization decision has been obtained, and
after sending Viparis Nord Villepinte the contract and plans referred
to in Article 6.3.6 below, the LESSEE may, taking into account any
reservations expressed by Viparis Nord Villepinte, have, at its own
expense, or authorize the EXHIBITOR to have, at its own expense,
the IMPROVEMENT SUBJECT TO PRIOR AUTHORIZATION in
question made by the company selected by Viparis Nord Villepinte
(or by Viparis Nord Villepinte, in the case referred to in Article 6.3.1
above). It is hereby expressly agreed that, notwithstanding Viparis
Nord Villepinte’s right of inspection, the LESSEE shall remain
solely responsible for the execution of said IMPROVEMENT.
6.3.5 – The contract signed for said purpose with said company
must:
• include, as an integral part thereof, the plans, a description of the
work and the implementation schedule referred to in Article 6.3.2
above, amended to take account of any reservations expressed by
Viparis Nord Villepinte,
• stipulate that the work must be available for inspection by Viparis
Nord Villepinte in accordance with the procedures referred to in
Article 6.3.2 above. Viparis Nord Villepinte shall, at its request,
receive or be able to receive any correspondence exchanged with
said company relating to the execution of the work, have the right
to be represented at any progress and acceptance meeting, and be
able to object to the execution and acceptance of non-compliant
work.
6.3.6 – Upon the signing of this contract and at least 15 calendar
days prior to the EXPECTED DATE OF HANDOVER OF THE
PREMISES, the LESSEE shall send a copy of same to Viparis
Nord Villepinte, along with three copies of the plans relating to the
IMPROVEMENT in question, drawn up using only the copies of the
PLANS given to the LESSEE by Viparis Nord Villepinte.
If said plans are not submitted to Viparis Nord Villepinte within this
time, the provisions contained in Article 6.2.8 above shall apply.
Si ces plans ne sont pas fournis à Viparis Nord Villepinte dans ce
délai, il sera fait application des dispositions figurant à l’Article 6.2.8
ci-dessus.
6.3.7 - Tout AMENAGEMENT SOUMIS A

PRENEUR avant la DATE PREVUE DE SORTIE DES LIEUX.

VII - MODIFICATION DU SITE - CONSEQUENCES

7.1 - Le PRENEUR reconnaît à Viparis Nord Villepinte le droit de
faire effectuer tous travaux qu’elle jugerait nécessaire
d’entreprendre sur le SITE pendant toute la durée de la
CONVENTION DE LOCATION, à condition que, sauf accord
préalable entre les parties, ces travaux n’aient pas pour
conséquence de réduire les SURFACES INTERIEURES ou
EXTERIEURES D’EXPOSITION telles que définies dans la
7.2 - Il est ici précisé que, pendant la DUREE D’OCCUPATION DU
SITE, ces travaux ne pourront être entrepris que s’ils sont
nécessaires à l’hygiène, la sécurité des personnes et des biens, ou
la pérennité de ces derniers.
Pendant les mois de Juin, Juillet et Août au cours desquels Viparis
Nord Villepinte concentre l’exécution des travaux importants devant
être réalisés sur le PARC, cette restriction ne s’appliquera qu’à la
période d’ouverture de la manifestation.
7.1 – The LESSEE acknowledges that Viparis Nord Villepinte is
entitled to have all work carried out which it considers necessary at
the SITE during the entire term of the LEASE AGREEMENT, on
condition that, unless agreed in advance by the parties, such work
does not reduce the INDOOR or OUTDOOR EXHIBITION AREAS
as defined in the LEASE AGREEMENT.
7.2 – It is hereby stipulated that during the SITE OCCUPANCY
PERIOD, such work may only be undertaken if it is necessary for
the health and safety of persons and property or to make the latter
more durable.
During the months of June, July and August, when Viparis Nord
Villepinte carries out most of the major work required at the
CENTRE, the aforementioned restriction shall only apply during the
event opening period.

minimize disruption during the EVENT OPENING PERIOD.
7.3 – If such work has the effect of modifying a PLAN, Viparis Nord
Villepinte agrees to inform the LESSEE in writing as quickly as
possible and to send it the corresponding updated PLANS.

8.1 - ASSURANCES SOUSCRITES PAR VIPARIS NORD

8.1.1 PROPERTY INSURANCE

Viparis Nord Villepinte et/ou le Propriétaire ont souscrit, avant la
DATE PREVUE D'ENTREE DANS LES LIEUX, auprès de
compagnies agréées pour pratiquer les opérations d’assurances en
France, un contrat couvrant l’ensemble immobilier constituant le
PARC y compris les lieux loués ainsi que tous les aménagements
et les matériels appartenant tant au Propriétaire du PARC qu'à
Viparis Nord Villepinte, en qualité d’exploitant de celui-ci,
notamment contre les risques principaux suivants : incendie,
explosion, foudre, dommage électrique, dégât des eaux, bris de
glace, grève, émeute, attentat, acte de vandalisme, acte de
terrorisme et/ou de sabotage, chute d’aéronef et d’objet aériens,
tempête, catastrophe naturelle.
Viparis Nord Villepinte et/ou le Propriétaire feront leur affaire
personnelle d’assurer ou non leurs frais supplémentaires
d'exploitation ou leurs pertes d'exploitation qui seraient consécutifs
à des dommages atteignant leurs biens.
Exception faite des actes de malveillance du PRENEUR, Viparis
Nord Villepinte et/ou le Propriétaire renoncent, pour les dommages
garantis par la police d’assurance des biens susvisée, ainsi que
pour toutes pertes d’exploitation et/ou frais supplémentaires, à tous
recours à l’encontre du PRENEUR et/ou de l’ORGANISATEUR et
de leurs assureurs au-delà de 3 000 000 euros.
Viparis Nord Villepinte et/ou le Propriétaire s’engagent à obtenir de
leurs assureurs respectifs un engagement identique de non
recours à l’encontre du PRENEUR/ou de l’ORGANISATEUR et de
leurs assureurs au-delà de 3 000 000 euros.
8.1.2 ASSURANCES DE RESPONSABILITÉ
Viparis Nord Villepinte et/ou le Propriétaire ont souscrit un contrat
couvrant les conséquences pécuniaires des responsabilités
pouvant leur incomber en raison des dommages corporels,
matériels et immatériels causés aux tiers, y compris au
PRENEUR, du fait de leur activité et/ou du SITE y compris les
lieux loués et/ou des aménagements et des matériels dont ils sont
propriétaires et/ou des activités de leur personnel et ce, pour
quelque cause que ce soit. Il est précisé que les le PRENEUR
et/ou l’ORGANISATEUR, et les EXPOSANTS, sont considérés
comme tiers entre eux et vis-vis de Viparis Nord Villepinte et/ou
du Propriétaire.
Prior to the EXPECTED DATE OF HANDOVER OF THE
PREMISES, Viparis Nord Villepinte and/or the Owner have
obtained a policy with insurance companies approved to transact
insurance in France that covers the entire real estate complex that
makes up the CENTRE, including the leased premises, as well as
all the facilities and equipment belonging either to the Owner of the
CENTRE or to Viparis Nord Villepinte in its capacity as operator of
the CENTRE against, in particular, the following main risks: fire,
explosion, lightning, electrical damage, water damage, glass
breakage, strikes, riots, attacks, acts of vandalism, acts of terrorism
and/or sabotage, the crash of aircraft and airborne objects, storms
and natural disasters.
Viparis Nord Villepinte and/or the Owner shall be personally
responsible as to whether they insure their additional operating
expenses or their operating losses resulting from damage to their
property.
Except in the case of malicious acts by the LESSEE, Viparis Nord
Villepinte and/or the Owner waive all recourse against the LESSEE
and/or the ORGANIZER and their insurers above the amount of
3,000,000 euros for damage insured under the aforementioned
property insurance policy and for all operating losses and/or
additional charges.
Viparis Nord Villepinte and/or the Owner agree to obtain from their
respective insurers an identical waiver of recourse against the
LESSEE and/or the ORGANIZER and their insurers above the
amount of 3,000,000 euros.
8.1.2 LIABILITY INSURANCE
Viparis Nord Villepinte and/or the Owner have taken out an
insurance policy covering the financial consequences of liability
which they may incur as a result of personal injury, property
damage or consequential damage caused to third parties,
including the LESSEE, as a result of their business and/or the
SITE including the leased premises and/or improvements and
equipment that they own and/or activities by their personnel, for
any reason. The LESSEE and/or the ORGANIZER, and the
EXHIBITORS, are considered third parties with respect to each
other and with respect to Viparis Nord Villepinte and/or the
Owner.
8.2 - INSURANCE TAKEN OUT BY THE LESSEE
8.2 – ASSURANCES SOUSCRITES PAR LE PRENEUR
8.2.1 ASSURANCES DES BIENS
Le PRENEUR s’engage, avant la DATE PREVUE D’ENTREE

couvrant l’ensemble de ses biens, équipements et aménagements
qui seront apportés dans les locaux mis à disposition à l’occasion
de la manifestation, contre les principaux risques suivants :

foudre, grève, émeute, acte de vandalisme, acte de terrorisme
et/ou de sabotage et tout autre risque généralement assuré.
8.2.1 PROPERTY INSURANCE
The LESSEE agrees, prior to THE EXPECTED DATE OF
HANDOVER OF THE PREMISES, to take out a policy and, where
applicable, to have the Organizer take out similar policies, with
companies approved to carry out insurance business in France,
covering all its property, equipment and improvements made to the
leased premises used for the event against the following main
risks: fire, explosion, electrical damage, water damage, theft,
lightning, strikes, riots, attacks, acts of vandalism, acts of terrorism
and/or sabotage and any other risk that is typically insured.

de la souscription des assurances visées ci-dessus, et s’engage à
maintenir lesdites assurances pendant toute la durée du contrat.
Le PRENEUR s’engage à introduire dans les contrats qu’il est
amené à conclure avec l’ORGANISATEUR et/ou les EXPOSANTS
une clause par laquelle :

Les EXPOSANTS devront avoir souscrit une police
d’assurance Multirisques garantissant tant les dommages
aux biens leur appartenant ou sous leur garde, que les
responsabilités qu’ils sont susceptibles d’encourir à l’encontre
de tous tiers y compris Viparis Nord Villepinte et / ou le
Propriétaire,

Les EXPOSANTS et leurs assureurs respectifs s’engagent à
renoncer à tout recours à l’encontre de Viparis Nord
Villepinte, du Propriétaire du PARC, et de leurs assureurs
dans les termes identiques à ceux énoncés aux articles 8.2
et 8.3.

throughout the term of the contract.
The LESSEE agrees to include in any contracts it enters into with
the ORGANIZER and/or the EXHIBITORS a provision stipulating
that:

The EXHIBITORS shall have taken out a multi-risk insurance
policy that covers damage to goods in their possession or
care as well as any liability they may incur with respect to any
third party, including Viparis Nord Villepinte and/or the
Owner;

The EXHIBITORS and their respective insurers waive all
recourse against Viparis Nord Villepinte, the Owner of the
CENTRE and their insurers under the same terms as those
set out in Articles 8.2 and 8.3.

Nord Villepinte, le Propriétaire du PARC, et leurs assureurs, et
s'engagent à obtenir les mêmes renonciations à recours de ses
propres assureurs en cas de survenance d’un des événements
suivants entraînant un préjudice pour le PRENEUR pendant
l’occupation des espaces :
- en cas de dommage d'incendie, de vol, de dégâts des eaux,
d'humidité ou de tout autre circonstance atteignant ses biens
propres, le PRENEUR, l’ORGANISATEUR, et les EXPOSANTS
devant s’assurer contre ces risques,
- en cas d'agissements anormaux des autres occupants du PARC,
de leur personnel ou de leurs fournisseurs, des visiteurs,
- en cas d'interruption ou de fonctionnement intempestif dans le
service de l’eau, du gaz, de l’électricité, de la climatisation ou,
d’une manière générale, en cas de mise hors service ou d'arrêt,
même prolongé, pour une cause indépendante de la volonté de
Viparis Nord Villepinte ou du Propriétaire du PARC, dans le service
des fluides, y compris dans les réseaux d'extincteurs
automatiques, du chauffage ou du conditionnement d’air ou de l'un
quelconque des éléments d'équipement commun du PARC,
- en cas de contamination des réseaux de chauffage, d'eau et de
conditionnement d'air pour une cause indépendante de la volonté
de Viparis Nord Villepinte ou du Propriétaire,
- en cas de mesures de sécurité prises par Viparis Nord Villepinte,
par le Propriétaire du PARC, et/ou par toute autorité administrative,
si celles-ci causaient un préjudice au PRENEUR et/ou à
l’ORGANISATEUR, et/ou aux EXPOSANTS.
Le PRENEUR s’engage à obtenir de l’ORGANISATEUR une
renonciation à tous recours dans les mêmes termes que celle
susvisée.
8.3.1 WAIVER OF RECOURSE
Without prejudice to the waivers of recourse stipulated in Article 8.2
above, the LESSEE waives all recourse against Viparis Nord
Villepinte, the Owner of the CENTRE and their insurers and agrees
to obtain the same waivers from its own insurers following any
occurrence of one of the following events that causes harm to the
LESSEE during its occupancy of the premises:
- in case of fire damage, theft, water damage, moisture damage or
any other circumstance affecting its own property, and the
LESSEE, the ORGANIZER and the EXHIBITORS must insure
themselves against such risks;
- in case of abnormal behaviour by the other occupants of the
CENTRE, their staff, their suppliers or visitors;
- in case of interruption in or incorrect operation of the water, gas,
electricity or air conditioning service or, in general, in case of a
failure or stoppage, even for an extended period of time, for
reasons beyond the control of Viparis Nord Villepinte or the Owner
of the CENTRE, in the utilities, including the sprinkler, heating or air
conditioning systems or any of the CENTRE’s shared equipment;
- in case of contamination of the heating, water or air conditioning
systems for reasons beyond the control of Viparis Nord Villepinte or
the Owner;
- in case of safety measures taken by Viparis Nord Villepinte, by
the Owner of the CENTER and/or by any administrative authority, if
such measures caused harm to the LESSEE and/or the
ORGANIZER and/or the EXHIBITORS.
The LESSEE agrees to obtain from the ORGANIZER a waiver of
recourse under the same conditions indicated above.
8.3.2 LIMITATION DE RESPONSABILITÉ
Il est expressément stipulé qu'en cas d'annulation du fait de Viparis
Nord Villepinte, pour survenance ou circonstances découlant d'un
cas de force majeure ou d'un motif d'intérêt général, comme en cas
de résiliation du titre d'occupation de Viparis Nord Villepinte par le
propriétaire du PARC, il n'y aura lieu à aucun dommages - intérêts
et les sommes perçues par Viparis Nord Villepinte, au titre du
contrat, seront restituées au PRENEUR
Pour l’appréciation des présentes, les parties entendent définir que
seront considérés comme cas de force majeure les évènements :
- revêtant cette qualification admise par la jurisprudence
française,
- ainsi que, et ce quelle que soit leur cause, les
évènements rendant impossible l’exploitation du Site limitativement
listés ci-après :

incendie, explosion, inondation, tempête, foudre,

décision par une autorité administrative de la fermeture du
site ou réquisition.
IX - REUNION D'ENTREE DANS LES LIEUX - PROCESVERBAL
9.1 - Sauf dispositions contraires figurant à l’Article 9.3 ci-après,
chaque réunion d’entrée dans les lieux se tiendra sur le SITE à la
DATE PREVUE D’ENTREE DANS LES LIEUX.
9.2 - Viparis Nord Villepinte fixera l’heure de cette réunion à sa
convenance dans la plage horaire prévue dans la CONVENTION
DE LOCATION et y convoquera le PRENEUR au plus tard 10 jours
calendaires avant la DATE PREVUE D’ENTREE DANS LES
LIEUX.
9.3 - Sans préjudice des dispositions figurant aux Articles 8.7, et 14
des présentes si, à la DATE PREVUE D’ENTREE DANS LES
LIEUX, le PRENEUR n’a pas réglé à Viparis Nord Villepinte
l’intégralité des sommes venues à échéance avant cette date ou
s’il ne lui a pas fourni, à première demande, l’ensemble des
attestations d’assurances, cautions ou garanties respectivement
visées aux articles 8 et 14.4 des présentes, Viparis Nord Villepinte
pourra repousser la réunion d’entrée dans les lieux jusqu’à
exécution complète des dites obligations par le PRENEUR.
8.3.2 LIMITATION OF LIABILITY
It is expressly agreed that in the event of cancellation by Viparis
Nord Villepinte on the grounds of or due to circumstances arising
from a case force majeure or for reasons of public interest, as well
as in the event of termination of Viparis Nord Villepinte’s occupancy
title by the SITE Owner, no damages may be claimed, and the
sums received by Viparis Nord Villepinte pursuant to the contract
shall be refunded to the LESSEE.
For the purposes of this agreement, the parties agree to define the
following as cases of force majeure:
- events qualified as such under French law,
- as well as events that, irrespective of their cause,
render it impossible to use the SITE, limited to the following:

fire, explosion, flooding, storm, lightning,

a decision by an administrative authority to close or
requisition the site.
IX - HANDOVER MEETING – REPORT
9.1 – Unless otherwise provided in Article 9.3 below, each
handover meeting shall take place at the SITE on the EXPECTED
DATE OF HANDOVER OF THE PREMISES.
9.2 – Viparis Nord Villepinte shall schedule said meeting at a time
of its choice during the hours indicated in the LEASE
AGREEMENT and shall invite the LESSEE to attend said meeting
at least 10 calendar days prior to the EXPECTED DATE OF
9.3 – Without prejudice to the provisions of Articles 8.7 and 14
hereof, if, by the EXPECTED DATE OF HANDOVER OF THE
PREMISES, the LESSEE has not paid Viparis Nord Villepinte the
full amount due prior to said date or has not provided, on request,
all the certificates of insurance or guarantees referred to in Articles
8 and 14.4 hereof, Viparis Nord Villepinte may postpone the
handover meeting until such obligations have been fulfilled by the
LESSEE.

9.4 - Si, conformément à l’Article 9.3 ci-dessus, Viparis Nord
Villepinte décide de repousser la réunion d’entrée dans les lieux :
9.4 – If, pursuant to Article 9.3 above, Viparis Nord Villepinte
decides to postpone the handover meeting:
- il en avertira le PRENEUR par écrit et le reconvoquera à cette
même réunion qui se tiendra à une date choisie par Viparis Nord
Villepinte et dans la plage horaire prévue à la CONVENTION DE
LOCATION, tout en restant la plus proche possible de celle à
laquelle le PRENEUR aura exécuté l’ensemble de ses obligations ;
- ce report de réunion ne pourra être invoqué par le PRENEUR ni
pour justifier une quelconque modification de la rémunération
définie dans la CONVENTION DE LOCATION, ni pour résilier cette
dernière ; en outre le PRENEUR prendra à son compte toutes
charges et coûts directs et/ou indirects qu’un tel report pourrait
occasionner
à
Viparis
Nord
Villepinte,
ainsi
qu’à
l’ORGANISATEUR, aux EXPOSANTS et à toutes personnes
agissant pour l’un quelconque d’entre eux ;
- l’accès au SITE demeurera interdit au PRENEUR, à
l’ORGANISATEUR, aux EXPOSANTS ainsi qu’à toutes entreprises
ou personnes devant agir pour l’un quelconque d’entre eux.
- it shall inform the LESSEE thereof in writing and shall invite it to
this same meeting, which shall take place on a date chosen by
Viparis Nord Villepinte and during the hours indicated in the LEASE
AGREEMENT, said date being as close as possible to the date on
which the LESSEE has fulfilled all its obligations;
- the postponement of the meeting may not be cited by the
LESSEE as a reason to justify any change in the fee defined in the
LEASE AGREEMENT or to terminate same. In addition, the
LESSEE shall be responsible for all direct and/or indirect costs and
expenses which such postponement may cause for Viparis Nord
Villepinte and the ORGANIZER, the EXHIBITORS and any persons
acting on their behalf;
- the LESSEE, ORGANIZER, EXHIBITORS and any other
companies or persons acting on their behalf shall continue to be
denied access to the SITE.
9.5 - La réunion d’entrée dans les lieux à laquelle le preneur
précédent pourra participer à l’initiative de Viparis Nord Villepinte :
• aura pour objet de vérifier si la partie concernée du SITE est en
BON ETAT D’USAGE,
• fera l’objet d’un procès-verbal d’entrée dans les lieux, établi en
deux originaux par Viparis Nord Villepinte, qui inclura la liste des
détériorations éventuellement constatées avant l’entrée dans les
lieux ; le second original sera, selon le cas, soit remis au
représentant du PRENEUR en fin de réunion, soit immédiatement
adressé à ce dernier s’il n’est pas représenté conformément aux
dispositions de l’Article 9.6 ci-après.
9.6 - Le PRENEUR s’engage à se faire représenter à la réunion
d’entrée dans les lieux par toute personne de son choix, ayant tous
pouvoirs.
9.7 - Si le PRENEUR dûment convoqué n’est pas représenté à la
réunion d’entrée dans les lieux, cette dernière se tiendra
normalement et sera, de la même manière que son procès-verbal,
réputée contradictoire à l’égard du PRENEUR qui s’interdit
expressément d’en contester par quelque moyen que ce soit la
tenue, la validité, ou les conclusions.
9.8 - Sauf dispositions contraires figurant dans le procès-verbal, la
partie concernée du SITE sera réputée avoir été délivrée au
PRENEUR en BON ETAT D’USAGE à la DATE D’ENTREE DANS
LES LIEUX.
9.9 - Il est ici rappelé que le PRENEUR ne pourra avoir accès au
SITE qu’à compter de la DATE D’ENTREE DANS LES LIEUX.
X - PERIODE D'OCCUPATION DU SITE - CONDITIONS ET
PRINCIPES GENERAUX D'UTILISATION
9.5 – The handover meeting, in which the previous lessee may
participate at the request of Viparis Nord Villepinte:
• shall be aimed at ascertaining whether the part of the SITE in
question is in a GOOD STATE OF REPAIR,
• shall be documented in a handover report drawn up in two
originals by Viparis Nord Villepinte, which shall include a list of any
damage identified prior to entry into the premises; the second
original shall either be given to the LESSEE’s representative at the
end of the meeting or sent immediately to the LESSEE if it is not
represented at the meeting, in accordance with the provisions of
Article 9.6 below.
9.6 – The LESSEE agrees to be represented at the handover
meeting by any person of its choice who shall be fully empowered
for such purpose.
9.7 – If the LESSEE is not represented at the handover meeting,
having been duly invited thereto, said meeting shall proceed as
normal and, like the report, shall be deemed to have been held in
the presence of the LESSEE, who expressly refrains from
contesting the organization, validity or conclusions thereof by any
means.
9.8 – Unless otherwise provided in the minutes, the part of the
SITE in question shall be deemed to have been delivered to the
LESSEE in a GOOD STATE OF REPAIR on the DATE OF
9.9 – The LESSEE is reminded that it may only gain access to the
SITE from the DATE OF HANDOVER OF THE PREMISES.
X – SITE OCCUPANCY PERIOD - CONDITIONS AND
10.1 - DROITS ET OBLIGATIONS DU PRENEUR
GENERAL PRINCIPLES OF USE
10.1.1 - Pendant la DUREE D’OCCUPATION DU SITE, le
PRENEUR :
10.1 – RIGHTS AND OBLIGATIONS OF THE LESSEE
10.1.1 - During the SITE OCCUPANCY PERIOD, the LESSEE:
a) - s’engage à n’aménager et à n’utiliser le SITE que pour les
besoins de l’installation, du déroulement et du démontage de la
MANIFESTATION, le tout conformément à l’ensemble des termes
et conditions de la CONVENTION DE LOCATION et notamment
toutes dispositions figurant au CAHIER DES CHARGES
SECURITE et au Règlement Intérieur du PARC.
a) - agrees to fit out and use the SITE only for the purposes of the
assembly, conduct and dismantling of the EVENT, in accordance
with all the terms and conditions of the LEASE AGREEMENT and,
in particular, all the provisions contained in the CENTRE’s SAFETY
REGULATIONS and Internal Regulations.

Il s’interdit d’entreprendre ou de laisser entreprendre toute activité
ou de faire fonctionner ou laisser fonctionner tout équipement qui
soit de nature à troubler, incommoder, inquiéter ou porter préjudice
à Viparis Nord Villepinte ou à des tiers de quelque manière que ce
soit. Viparis Nord Villepinte pourra faire immédiatement cesser
toute activité contrevenant aux mêmes dispositions ci-dessus.
It shall refrain from undertaking or allowing others to undertake any
activity and from operating or allowing others to operate any
equipment which could disturb, inconvenience, trouble or adversely
affect Viparis Nord Villepinte or third parties in any manner. Viparis
Nord Villepinte may immediately stop any activity which is in
violation of the above provisions.
Pour faciliter la préparation et le déroulement de la
MANIFESTATION, le PRENEUR est par ailleurs invité à munir son
personnel et toute personne intervenant de son chef au sein du
SITE, d’un insigne de reconnaissance ;
To facilitate the preparation and conduct of the EVENT, the
LESSEE is also encouraged to provide identification badges to its
staff and any person acting on its behalf at the SITE;
b) - reconnait qu’il a, sur le SITE la qualité d’ “entreprise utilisatrice”
au sens du Décret N° 92158 du 20 Février 1992
c) - s’engage à attirer l’attention des EXPOSANTS et des
fournisseurs sur les obligations législatives et réglementaires en
matière d’utilisation des liaisons radio ;
d) - s’interdit de réaliser ou de laisser réaliser tout
AMENAGEMENT et de prendre ou de laisser prendre toute mesure
susceptible d’entraver soit le libre accès à, soit le bon
fonctionnement de tout MATERIEL et EQUIPEMENT, y compris
bars et restaurants ;
e) - s’interdit de réaliser ou de laisser réaliser, sauf accord
préalable écrit de Viparis Nord Villepinte :
• tout percement tant sur les dalles, dallages, terrasse, que sur tout
autre élément de construction,
• tout collage ou adhérence de matériaux sur le sol, les dalles,
dallages ou autres éléments de construction sans interposition de
tôle ou autre matériau permettant de désolidariser les ouvrages
permanents des ouvrages provisoire ;
En cas d’application au sol d’un revêtement collé, l’enlèvement de
ce dernier ne devra laisser subsister aucune trace de colle. Les
produits de nettoyage devront être agréés par les services de
Viparis Nord Villepinte pour éviter toute détérioration par des corps
ou liquides agressifs.
f) - assure seul la garde et est responsable du SITE ainsi que des
biens, personnes et animaux dont il y motive, admet ou autorise la
présence ; assure seul le gardiennage et le contrôle d’accès des
SURFACES INTERIEURES ET EXTERIEURES D’EXPOSITION,
et, pour ce faire, prend toutes mesures et met en œuvre tous
moyens et effectifs qu’il juge nécessaires ;
g) - assure seul l’hygiène et la sécurité du SITE et de la
MANIFESTATION et notamment celles des biens, des personnes
et animaux dont il y motive, admet ou autorise la présence et ce
grâce aux MATERIELS ET EQUIPEMENTS d’hygiène et de
sécurité mis en place par Viparis Nord Villepinte et à tout autre
moyen qu’il lui apparaîtrait nécessaire d’y adjoindre étant ici
précisé que :
- il appartient au PRENEUR, y compris en périodes de montage et
de démontage,
• de tenir compte des possibilités offertes par le réseau de
distribution existant pour satisfaire les besoins en énergie
électrique, eau, évacuation des eaux usées, air comprimé,
téléphone et liaisons spécialisées,
b) - acknowledges that, at the SITE, it is classified as a “corporate
user” within the meaning of Decree no. 92158 of 20 February 1992;
c) - agrees to draw the attention of the EXHIBITORS and suppliers
to the legislative and regulatory requirements regarding the use of
radio links;
d) - shall refrain from making or having others make any
IMPROVEMENT and from taking or allowing others to take any
measure which could impede access to or proper operation of any
MACHINERY and EQUIPMENT, including bars and restaurants;
e) – shall refrain from carrying out or allowing others to carry out,
without the prior written agreement of Viparis Nord Villepinte:
• any drilling into the paving stones, floor tiles, terrace or any other
building components;
• any adhesion or bonding of materials to the paving stones, floor
tiles or other building components without first laying sheet metal or
some other material that makes it possible to separate the
permanent structures from the temporary structures.
If an adhesive covering is applied to the floor, the removal thereof
must not leave any trace of glue. Cleaning products must be
approved by Viparis Nord Villepinte’s departments to avoid any
damage by harsh substances or liquids;
f) - shall be solely responsible for the security of the SITE and for
the property, people and animals whose presence it requires,
allows or authorizes at the SITE, and for arranging security service
and access control for the INDOOR AND OUTDOOR EXHIBITION
AREAS, for which it shall take any measures and deploy any
resources and personnel that it considers necessary;
g) - shall be solely responsible for health and safety at the SITE
and during the EVENT, and in particular for the property, people
and animals whose presence it requires, allows or authorizes at the
SITE, for which it may use the MACHINERY AND EQUIPMENT
provided by Viparis Nord Villepinte for health and safety purposes
and any other additional means that it considers necessary, it being
stipulated that:
- the LESSEE shall, even during the set-up and dismantling
periods, be responsible for,
• examining the possibilities offered by the existing distribution
network in order to meet requirements for electrical energy, water,
wastewater evacuation, compressed air, telephone services and
specialised connections.

• de requérir en temps utile auprès de Viparis Nord Villepinte la
mise en marche des systèmes de ventilation afin que, quelles que
soient les modalités d’exploitation choisies par le PRENEUR,
l’atmosphère du SITE reste conforme aux réglementations
d’hygiène et de sécurité,
• asking Viparis Nord Villepinte to switch on ventilation systems in a
timely manner so that, regardless of the operating conditions
chosen by the LESSEE, the atmosphere of the SITE remains
compliant with health and safety regulations,
• de veiller en permanence au parfait fonctionnement de tout
AMENAGEMENT en prenant si nécessaire toutes mesures, y
compris préventives, pour éviter toutes conséquences pouvant
résulter d’éventuels disfonctionnements ou défaillance de ces
derniers,
• ensuring at all times that any IMPROVEMENT is operating
properly by, if necessary, taking any action, including preventive
measures, to avoid any consequences that may result from any
malfunction or failure thereof,
• de veiller à ce que ces caniveaux et trappes reliés aux galeries
techniques soient convenablement couverts ou protégés contre
toute pénétration de liquide provenant des STANDS.
• ensuring that these gutters and hatches connected to the service
ducts are appropriately covered or protected against any
penetration of liquid from the STANDS.
Par ailleurs, il appartiendra également au PRENEUR, en cas de
pose de moquette ou tout autre revêtement de sol, de vérifier que
ne soit pas laissé vide un espace pouvant provoquer la chute d’une
personne ou d’un matériel.
Moreover, if carpeting or any other ground covering is laid, the
LESSEE is also responsible for ensuring that there are no
uncovered spaces that could cause a person or equipment to fall.
Tout accident survenant du fait du non-respect de ces règles sera
de la responsabilité du PRENEUR.
• tout raccordement au réseau d’eau potable du PARC doit
obligatoirement comporter les dispositifs permettant que soient
respectées les prescriptions légales relatives à la protection des
eaux destinées à la consommation humaine.
h) - s’interdit d’utiliser ou de laisser utiliser tout système de
climatisation à l’exception de ceux évacuant hors du BATIMENT,
grâce à une conduite d’eau ou d’air, toutes les calories absorbées ;
i) - s’engage à informer immédiatement Viparis Nord Villepinte de
toute DETERIORATION, ainsi que de tous dommages visés à
l’article 10.1.1.m ci-après, et à prendre toute mesure utile afin que
cette dernière puisse effectuer ou faire effectuer aux frais du
PRENEUR et sans délai tous TRAVAUX ;
j) - s’engage à respecter la réglementation applicable aux lieux
affectés à un usage collectif notamment pour ce qui concerne
l’accessibilité des handicapés et le tabagisme ;
k) - s’engage à respecter, et à porter à la connaissance des
EXPOSANTS, la réglementation relative à la distribution de
boissons, existante à ce jour ou qui viendrait s’y substituer, et
notamment, les dispositions du Livre III de la Troisième Partie du
Code de la santé publique et du Titre III de la Première Partie du
Livre Ier du Code général des impôts ;
l) - s’engage à laisser libre accès au SITE à tout membre des
services de sécurité ou de sûreté du SITE, à toute personne
titulaire d’un badge VIPARIS, au personnel technique et
d’exploitation de Viparis Nord Villepinte ainsi qu’à toute autorité
administrative ou judiciaire, et à prendre toute mesure utile pour
faciliter leur mission ; étant ici précisé que, sans préjudice des
dispositions figurant dans le CAHIER DES CHARGES SECURITE,
les portes dotées d’un système d’ouverture à carte magnétique,
telles que figurant sur les PLANS, ne devront en aucun cas être, de
l’intérieur ou de l’extérieur, obstruées ou condamnées par quelque
système que ce soit ;
The LESSEE shall be liable for any accident that occurs as a result
of non-compliance with these rules,
• any connection to the CENTRE’s drinking-water supply system
must use equipment conforming to the legal requirements for the
safety of water intended for human consumption;
h) - shall refrain from using or allowing others to use any air
conditioning system, except for those which vent all heat outside
the BUILDING via an air vent or duct;
i) - agrees to inform Viparis Nord Villepinte immediately of any
WEAR AND TEAR, as well as any of the damage referred to in
Article 10.1.1.m below, and to take all appropriate action so that the
latter may carry out or have others carry out all WORK immediately
and at the LESSEE’s expense;
j) - agrees to abide by the regulations applicable to communal
areas, particularly with regard to disabled access and smoking;
k) - agrees to comply with, and inform the EXHIBITORS of,
regulations concerning the distribution of beverages, including
those that exist to date or may replace them in the future, and, in
particular, the provisions of Book III of Part Three of the Public
Health Code and Title III of Part One of Book I of the General Tax
Code;
l) - agrees to allow unrestricted access to the SITE to any member
of the SITE's security or safety department, to any person holding a
VIPARIS badge, to the technical and operational staff of Viparis
Nord Villepinte, and to any administrative or judicial authority, and
to take any appropriate measures to facilitate their task, it being
specified that, without prejudice to the provisions of the SAFETY
REGULATIONS, gates operated by an electronic security pass, as
shown in the PLANS, shall at no time be obstructed or locked by
any mechanism whatsoever, from either the inside or the outside;

m) - est responsable de toute DETERIORATION, ainsi que de
toutes souillures ou autres dommages directs et/ou indirects subis
par toute personne, animal ou bien se trouvant hors du SITE mais
dont il pourra être démontré qu’ils auront été occasionnés par luimême, l’ORGANISATEUR, un EXPOSANT, une personne, un
animal ou un bien agissant pour, ou étant sous la garde de l’un
d’eux, ou par toute personne, animal ou bien dont le PRENEUR
motive, admet ou autorise la présence sur le PARC ;
m) - shall be liable for all WEAR AND TEAR and for any stains or
other direct and/or indirect damage or injury suffered by any
person, animal or property outside the SITE, where it can be
proven that this was caused by the LESSEE, the ORGANIZER, an
EXHIBITOR, a person, an animal or an object acting on behalf of or
under the supervision of any of them, or by any person, animal or
object whose presence the LESSEE requires, allows or authorizes
at the CENTRE;
n) - s’engage à respecter et à faire respecter par
l’ORGANISATEUR, les EXPOSANTS, toutes personnes et
animaux agissant pour lui-même, ou étant sous sa garde, celle de
l’ORGANISATEUR ou d’un EXPOSANT, ou par toute personne ou

toute mesure ou action prise par lui-même ou Viparis Nord
Villepinte pour assurer l’hygiène et la sécurité sur le PARC ou pour
préserver en bon état les biens meubles et immeubles le
composant ;
n) - agrees to comply with and to ensure compliance by the
ORGANIZER, the EXHIBITORS and any persons or animals acting
on its behalf or under its supervision or under the supervision of the
ORGANIZER or an EXHIBITOR, or by any person or animal whose
presence it requires, allows or authorizes at the CENTRE, with any
measure or action taken by it or by Viparis Nord Villepinte to
ensure health and safety at the CENTRE or to maintain the
movable and immovable property thereof in a good state of repair;
o) – s’interdit de réaliser toute installation d’un réseau sans fil (de
type Wi-Fi, Wimax, Edge…) dans l’enceinte du SITE sans
l’autorisation expresse et préalable de Viparis Nord Villepinte ;
p) - s’engage, à première demande de Viparis Nord Villepinte, à
modifier, ou à compléter toutes mesures prises ou tous moyens
mis en œuvre pour exécuter l’une quelconque de ses obligations,
et notamment à cesser ou faire cesser l’utilisation de tout
AMENAGEMENT non conforme aux dispositions des présentes,
ainsi que de tous équipements de nature à troubler, incommoder,
inquiéter ou porter préjudice à Viparis Nord Villepinte ou à des tiers
de quelque manière que se soit ;
q) - s’engage à communiquer à Viparis Nord Villepinte le N° de
téléphone auquel son Commissaire Général ou à défaut toute
personne habilitée pourra être joint 24 h sur 24 pendant toute la
DUREE D’OCCUPATION DU SITE ;
r) - se fait remettre par Viparis Nord Villepinte les clefs permettant
d’ouvrir le(s) BATIMENT(S). En cas de perte, le PRENEUR
remboursera à Viparis Nord Villepinte, sur justificatif, les frais
consécutifs au changement de serrures ;
s) - est responsable, pendant toute la DUREE D’OCCUPATION
DU SITE, du nettoyage des SURFACES INTERIEURES et
EXTERIEURES D'EXPOSITION et des abords, ainsi que des voies
d’accès et des différentes zones affectées au stationnement des
véhicules dans la zone exposants, y compris le parking “poids
lourds”.
Le PRENEUR communiquera à la Direction des Opérations de
Viparis Nord Villepinte les références de l’entreprise choisie, ainsi
que les moyens utilisés par cette dernière, ceci dans le cadre de la
préservation des installations.
Il est rappelé que les EXPOSANTS et installateurs doivent prendre
toutes dispositions pour faire enlever tous les détritus résultant de
l’installation et du démontage des STANDS.
En cas de non-respect de ces dispositions, Viparis Nord Villepinte
pourra faire procéder, sans préavis, à l’enlèvement aux frais du
PRENEUR, de tous déchets et rebuts ramassés à proximité des
STANDS ainsi qu'à tout nettoyage qu'elle jugera utile.
t) - s’engage à ce que, à la DATE PREVUE DE SORTIE DES
LIEUX, le SITE soit remis à Viparis Nord Villepinte en BON ETAT
D’USAGE.
o) - shall refrain from installing any wireless network (WiFi, Wimax,
Edge, etc.) within the perimeter of the SITE without the express
prior authorization of Viparis Nord Villepinte;
p) - agrees, at the request of Viparis Nord Villepinte, to change or
supplement all measures taken or all resources deployed to fulfil
any of its obligations, and in particular to stop using or have others
stop using any IMPROVEMENT in breach of the provisions hereof,
and any equipment which could disturb, inconvenience trouble or
adversely affect Viparis Nord Villepinte or third parties in any
manner;
q) - agrees to give Viparis Nord Villepinte the telephone number at
which its Exhibition Manager or any other authorized person can be
contacted 24 hours a day throughout the SITE OCCUPANCY
PERIOD;
r) - shall obtain the keys to the BUILDING(S) from Viparis Nord
Villepinte. In case of loss, the LESSEE shall reimburse Viparis
Nord Villepinte, upon presentation of a receipt, for the cost of
changing locks;
s) - is responsible, throughout the SITE OCCUPANCY PERIOD, for
cleaning the INDOOR and OUTDOOR EXHIBITION AREAS, as
well as the access roads and the various zones allocated to vehicle
parking in the exhibitor area, including parking for heavy vehicles.
The LESSEE must provide the contact information of the chosen
company to the Operations Department of Viparis Nord Villepinte,
as well as the measures taken by that company to maintain the
facilities.
The EXHIBITORS and installers must take all measures to provide
for the removal of any waste resulting from the installation and
dismantling of the STANDS.
In the event of non-compliance with these provisions, Viparis Nord
Villepinte may, without notice and at the LESSEE's expense, have
all rubbish and waste collected around the STANDS removed and
provide for any cleaning it may deem necessary.
t) - shall ensure that, on the EXPECTED DATE OF HAND-BACK
OF THE PREMISES, the SITE is returned to Viparis Nord Villepinte
in a GOOD STATE OF REPAIR.

mesure où elle ne nuit pas à la préparation ou à la tenue des

confirmée par écrit. En tout état de cause, les heures de
prolongation seront facturées sur la base des tarifs en vigueur pour

A défaut d’autorisation de prolongation, Viparis sera en droit de
faire évacuer le SITE sans mise en demeure préalable. Tout frais
de constat, notamment d’huissier, seront à la charge du
PRENEUR.
Cette disposition n’exclut pas le droit pour Viparis Nord Villepinte
de réclamer, le cas échéant, une indemnité pour maintien abusif
dans le SITE.
De même, le PRENEUR ne peut disposer que des SURFACE(S)
INTERIEURE(S) et/ou EXTERIEURE(S) D’EXPOSITION qui lui ont
été attribuées aux termes de la CONVENTION DE LOCATION.
L’occupation irrégulière d’autres espaces ou annexes sera facturée
de plein droit comme location supplémentaire.
The leased INDOOR and/or OUTDOOR EXHIBITION AREA(S)
must be vacated on the dates and at the times specified in the
LEASE AGREEMENT.
The LESSEE may, however, obtain an extension, provided that this
does not interfere with the preparation or holding of the following
events. Such extension must be requested and confirmed in
writing. In all cases, the extended hours shall be invoiced based on
the rates in effect for the areas in question.
Where no authorization for extension is obtained, Viparis shall have
the right to have the SITE vacated without prior notice. All legal
costs, including bailiff's costs, shall be payable by the LESSEE.
This provision does not exclude the right of Viparis Nord Villepinte
to claim compensation, where applicable, for improper occupancy
of the SITE.
Moreover, the LESSEE may use only the INDOOR and/or
OUTDOOR EXHIBITION AREA(S) assigned to it pursuant to the
LEASE AGREEMENT. Additional rent shall be invoiced
automatically for unauthorized occupancy of other areas or
annexes.
10.1.2 – CATERING SERVICES
10.1.2 - RESTAURATION
10.1.2.1 - RESTAURANTS ET AUTRES INSTALLATIONS DE
RESTAURATION
Seuls les Concessionnaires Restauration du PARC sont habilités à
exploiter les Restaurants, Bars et Kiosques implantés de manière
permanente sur le PARC, ainsi que l’ensemble des
RESTAURANTS PROVISOIRES et des POINTS DE VENTE
ALIMENTAIRES.
Chacun de ces Concessionnaires dispose d’une exclusivité
d’exploitation en fonction du lieu sur lequel ces installations sont,
ou doivent être, implantées.
Lors de la REUNION DE COORDINATION, Viparis Nord Villepinte
précisera au PRENEUR le nom du Concessionnaire bénéficiant de
cette exclusivité sur les différentes parties du SITE.
Le PRENEUR s'engage à laisser libre accès et à entraver en
aucune manière l’exploitation des Restaurants, Bars et Kiosques
visés ci-dessus.
Les POINTS DE VENTE ALIMENTAIRES ne peuvent
être
implantés sur le SITE qu’après accord donné par le PRENEUR au
Concessionnaire Restauration concerné.
Si le PRENEUR souhaite qu’un RESTAURANT PROVISOIRE soit
installé, il devra obligatoirement obtenir l’accord écrit préalable de
Viparis Nord Villepinte, ce restaurant étant considéré comme un
AMENAGEMENT SOUMIS À AUTORISATION PRÉALABLE.
10.1.2.1 –

CATERING
Only the CENTRE’s Catering Concessionaires are authorized to
operate the Restaurants, Bars and Kiosks permanently located at
the CENTRE, as well as any TEMPORARY RESTAURANTS and
FOOD OUTLETS.
Each of these Concessionaires has exclusive operating rights
based on where such establishments are or must be located.
During the BRIEFING, Viparis Nord Villepinte shall inform the
LESSEE of the name of the Concessionaire that has such
exclusive rights in the various parts of the SITE.
The LESSEE agrees to allow unrestricted access and to refrain
from impeding in any way the operation of the above-mentioned
Restaurants, Bars and Kiosks.
FOOD OUTLETS may be set up at the SITE only after the LESSEE
has given its consent to the Catering Service Concessionaire in
question.
If the LESSEE wishes to have a TEMPORARY RESTAURANT set
up, it must obtain the prior written consent of Viparis Nord
Villepinte, such restaurant being deemed an IMPROVEMENT
SUBJECT TO PRIOR AUTHORIZATION.
HALLS 5B and 8:

may allow its potential clients to visit the exhibition space covered
by this LEASE AGREEMENT, with the understanding that Viparis
Nord Villepinte shall inform the LESSEE thereof in advance.
10.2 – RIGHTS

10.2.1 - GENERALITES
10.2.1 – GENERAL INFORMATION
a) Viparis Nord Villepinte est, vis-à-vis du PRENEUR, réputée
responsable de l’hygiène et de la sécurité, de tous lieux du PARC à
l’exception de ceux faisant partie du SITE et de ceux loués ou mis
gratuitement à la disposition de tiers.
Il appartient donc à Viparis Nord Villepinte de veiller au respect de
toutes règles d’hygiène et de sécurité applicables à ces mêmes
lieux et, pour ce faire, de prendre toutes mesures et de mettre en
œuvre tous moyens et effectifs qu’elle juge nécessaires.
a) Viparis Nord Villepinte is deemed to be accountable toward the
LESSEE for the safety of all the CENTRE’s premises, except for
those which are part of the SITE and those leased or made
available free of charge to third parties.
Therefore, it is the responsibility of Viparis Nord Villepinte to ensure
compliance with all the health and safety rules applicable to said
premises and to take all measures and deploy all resources and
personnel that it considers necessary for such purpose.

well as any activity or use of any equipment that may disturb,
inconvenience, trouble or adversely affect Viparis Nord Villepinte or

10.2.2 - PRESTATIONS INCLUSES

l’Annexe 4 pourront être requises par le PRENEUR auprès de
Viparis Nord Villepinte, ou d’une entreprise ayant par écrit et à la
diligence du PRENEUR, accepté de respecter l’ensemble des
mesures prises par Viparis Nord Villepinte et le PRENEUR pour
assurer, chacune en ce qui la concerne, l’hygiène et la sécurité sur
le PARC, cette entreprise agissant sous l’entière responsabilité du
PRENEUR.
b) - OPTIONAL SERVICES other than those listed in Schedule 3
and, in particular, those listed in Schedule 4 may only be requested
by the LESSEE from Viparis Nord Villepinte, or from a company
which has agreed in writing, at the LESSEE’s request, to comply
with all the measures taken by Viparis Nord Villepinte and the
LESSEE to ensure health and safety at the CENTRE, insofar as
this concerns each of them, the LESSEE being solely responsible
for said company.
c) - Toute exécution d’une PRESTATION OPTIONNELLE par
Viparis Nord Villepinte nécessitera la conclusion préalable d’une
COMMANDE à faire parvenir à Viparis Nord Villepinte au plus tard
30 jours calendaires avant la DATE PREVUE D’ENTREE DANS

c) - The provision of an OPTIONAL SERVICE by Viparis Nord
Villepinte shall require that an ORDER be placed in advance with
Viparis Nord Villepinte at least 30 calendar days prior to the
EXPECTED DATE OF HANDOVER OF THE PREMISES.
10.2.5 - AFFICHAGE PUBLICITAIRE

Aside from the locations reserved for this purpose, no other form of
advertising shall be allowed in the SITE, and in particular at the
SITE’s catering outlets or public areas (reception area, esplanade,
car parks), with the exception of the STANDS, without the
authorization and approval of Viparis Nord Villepinte and the
LESSEE.

accord avec le PRENEUR qui pourra s’opposer à une annonce

The latter has the right to inspect all advertising. All advertising
concerning products related to the nature of the EVENT must be
produced in agreement with the LESSEE, which may object to an
advertisement that could be detrimental to its EVENT.
Sauf entente préalable avec Viparis Nord Villepinte, le PRENEUR
ne pourra édicter l’interdiction générale d’affichage publicitaire.
Unless there is a prior agreement with Viparis Nord Villepinte, the
LESSEE may not issue a general prohibition on advertising
displays.

XI - HAND-BACK MEETING – REPORT
XI - REUNION DE SORTIE DES LIEUX - PROCES-VERBAL
11.1 - Chaque réunion de sortie des lieux se tiendra sur le SITE à
la DATE PREVUE DE SORTIE DES LIEUX.
11.1 – Each hand-back meeting shall take place at the SITE on the
EXPECTED DATE OF HAND-BACK OF THE PREMISES.
11.2 - Viparis Nord Villepinte fixera l’heure de cette réunion à sa
convenance dans la plage horaire prévue à la CONVENTION DE
LOCATION et y convoquera le PRENEUR au plus tard 3 jours
calendaires avant la DATE PREVUE DE SORTIE DES LIEUX.
11.2 – Viparis Nord Villepinte shall schedule said meeting at a time
of its choice during the hours indicated in the LEASE
AGREEMENT and shall invite the LESSEE to attend said meeting
at least three calendar days prior to the EXPECTED DATE OF
HAND-BACK OF THE PREMISES.
11.3 - La réunion de sortie des lieux, à laquelle le preneur suivant
pourra participer à l’initiative de Viparis Nord Villepinte aura pour
objet :

participate at the request of Viparis Nord Villepinte, shall have the

des TRAVAUX conformément aux dispositions figurant à l’Article

cost of the WORK in accordance with the provisions of Article 12

- de vérifier si le SITE est en BON ETAT D’USAGE,
- to check whether the SITE is in a GOOD STATE OF REPAIR,
et fera l’objet d’un procès-verbal de sortie des lieux qui sera établi
en deux originaux par Viparis Nord Villepinte.

11.4 – The LESSEE agrees to be represented at the hand-back
meeting under the same conditions as those defined in Article 9.6
above, and the consequences of any non-representation of the
LESSEE regarding the organization, validity or conclusions of said
meeting shall be the same as those set forth in Article 9.7 above.
11.5 - Quelles que soient les constatations faites pendant la

s’achèvera à la DATE DE SORTIE DES LIEUX. Sauf accord
préalable de Viparis Nord Villepinte et sous son contrôle, le
PRENEUR n’aura plus accès au SITE à compter de cet instant, les
clefs permettant d’ouvrir le(s) BATIMENT(S) étant restituées à
11.5 – Irrespective of the observations made during the hand-back
meeting, the SITE OCCUPANCY PERIOD shall end on the DATE
OF HAND-BACK OF THE PREMISES. Without the prior approval
of Viparis Nord Villepinte and under its supervision, after this time
the LESSEE shall no longer have access to the SITE and the keys
to the BUILDING(S) will have been returned to Viparis Nord
Villepinte.

11.6 - Si pour une raison quelconque tout ou partie du SITE n’est
pas restitué à Viparis Nord Villepinte en BON ETAT D’USAGE à la
DATE PREVUE DE SORTIE DES LIEUX :
11.6 - If, for any reason, any or all of the SITE is not returned to
Viparis Nord Villepinte in a GOOD STATE OF REPAIR by the
EXPECTED DATE OF HAND-BACK OF THE PREMISES:
• Viparis Nord Villepinte pourra, en utilisant tous moyens à sa
convenance, procéder ou faire procéder à son évacuation totale, le
PRENEUR l’autorisant dès à présent,
• Viparis Nord Villepinte may, using any means it deems
appropriate, clear the facilities or have them cleared in their
entirety, and the LESSEE hereby authorizes it to:

installations consommables,
- destroy all temporary installations and equipment,

équipements
et
- à déménager et à stocker, comme Viparis Nord Villepinte
l’entendra, l’ensemble des autres équipements, installations et
biens se trouvant sur le SITE ;
le tout aux frais du PRENEUR qui s’interdit expressément tout
recours contre Viparis Nord Villepinte relativement à ces
destructions, déménagements ou stockages ou à leurs
conséquences ainsi qu’à toutes disparitions ou détériorations.
• le PRENEUR :
- s’engage à faire diligence et à entreprendre d’extrême urgence
toute action, y compris judiciaire, afin que le SITE soit
effectivement restitué à Viparis Nord Villepinte en BON
ETAT D’USAGE dans les délais les plus brefs,
- s’engage à régler à Viparis Nord Villepinte, par jour d’occupation
supplémentaire constaté et dès la première heure pour le premier
jour, une indemnité égale à 3 fois le prix de la location
correspondant au premier jour d’occupation pour l’intégralité de(s)
SURFACE(S)
INTERIEURE(S)
et/ou
EXTERIEURE(S)
D’EXPOSITION en cause,
- supportera la totalité des dédommagements qui pourraient être
réclamés à Viparis Nord Villepinte par les preneurs suivants,
ainsi que
toutes
autres
conséquences
directes
et/ou
indirectes pouvant découler pour Viparis Nord Villepinte de ce non
restitution du SITE en BON ETAT D’ USAGE.
- remove and place in storage all other equipment, installations and
items found at the SITE, as Viparis Nord Villepinte sees fit,
at the expense of the LESSEE, which expressly agrees to refrain
from exercising any right or remedy against Viparis Nord Villepinte
with regard to such destruction, removal or storage or to the
consequences thereof and to any disappearance or damage.
• The LESSEE:
- agrees to take all necessary action, as a matter of extreme
urgency, including legal action, to ensure that the SITE is actually
returned to Viparis Nord Villepinte in a GOOD STATE OF REPAIR
as quickly as possible,
- agrees to pay Viparis Nord Villepinte, for each proven additional
day of occupancy and from the first hour for the first day, a fee
equivalent to three times the lease price corresponding to the first
day of occupancy for all the INDOOR and/or OUTDOOR
EXHIBITION AREAS in question,
- shall pay all compensation that may be claimed from Viparis Nord
Villepinte by the next lessees, as well as all other direct and/or
indirect consequences that may arise for Viparis Nord Villepinte
from the failure to return the SITE in a GOOD STATE OF REPAIR.
XII - TRAVAUX

rate given to the LESSEE and applicable on the EVENT START

12.2 - The price of the WORK needed to repair any other WEAR
AND TEAR, stains or damage will be the subject of a quote, and
the LESSEE expressly agrees not to dispute the price of said work
except to prove that it does not correspond to the normal market
price in light of the urgent conditions under which the repair work is

PRENEUR à Viparis Nord Villepinte, cette dernière ayant toute
latitude pour les faire exécuter à sa convenance.
XIII - REMUNERATION – TARIF
13.1 - Outre le prix des PRESTATIONS OPTIONNELLES, le
PRENEUR doit à Viparis Nord Villepinte, au titre de la
CONVENTION DE LOCATION :

MANIFESTATION est supérieure à celle définie dans la
CONVENTION D’OCCUPATION.
13.2 – The applicable rates for determining the above prices are
those in effect on the EVENT START DATE, which shall be
provided to the LESSEE upon its initial request.
13.3 – The lease price shall automatically, and without the need for
an amendment to the LEASE AGREEMENT, be increased in
accordance with said rates if it appears that the EVENT OPENING
PERIOD is in fact longer than that defined in the OCCUPANCY
AGREEMENT.

In case of non-payment by the LESSEE of the above-mentioned
10%, 35% or 55% instalments on their respective due dates,
Viparis Nord Villepinte may, without prejudice to the provisions of
Article 14.4 below, automatically terminate the LEASE
AGREEMENT in question through a letter sent by registered mail
with advice of receipt, without prior notice and without the need for
any formality or formal notice. In the event of such termination, the
LEASE AGREEMENT amount shall remain due in full to Viparis
Nord Villepinte and shall become immediately payable, without
prejudice to the late payment interest and damages hereinafter
referred to in Articles 14.3 and XV.

Moreover, it is expressly stipulated that, in case of cancellation of
the EVENT by the LESSEE, the amounts owed by the latter
pursuant to the cancelled LEASE AGREEMENT shall become
immediately payable, without prejudice to the late payment interest
and damages hereinafter referred to in Articles 14.3 and XV.

majoration du prix de la location pouvant résulter d’une extension
de la PERIODE D’OUVERTURE DE LA MANIFESTATION.

surcharge in the lease price which may result from an extension of
the EVENT OPENING PERIOD.
14.2.3 - En cas de non-paiement par le PRENEUR de l’une
quelconque des sommes visées à l’Article 14.2.2 ci-dessus à leurs
échéances respectives, il sera fait application des dispositions de
l’Article 14.4 ci-après pour toutes les CONVENTIONS DE
LOCATION alors conclues avec le PRENEUR.
14.2.3 - In case of failure by the LESSEE to pay any of the
amounts referred to in Article 14.2.2 above by their respective due
dates, the provisions of Article 14.4 below shall apply for all LEASE
AGREEMENTS made with the LESSEE.
14.2.4
Si lors d’une précédente MANIFESTATION sur l’un
quelconque des sites VIPARIS, le PRENEUR s’était soustrait à
l’une de ses obligations (retard ou défaut de règlement par
exemple), Viparis Nord Villepinte sera bien fondée à refuser de
contracter avec le PRENEUR aux fins de mise à disposition de
SURFACES INTERIEURES et EXTERIEURES D’EXPOSITION ou
fourniture de PRESTATIONS OPTIONNELLES ; à moins que le
PRENEUR ne fournisse des garanties satisfaisantes ou un
paiement comptant.
De même, tout retard ou défaut de règlement de tout ou partie des
sommes dues au titre de la mise à disposition des SURFACES
INTERIEURES et EXTERIEURES D’EXPOSITION objet du
présent contrat ou fourniture de PRESTATIONS OBLIGATOIRES
ou OPTIONNELLES, accessoires à la manifestation, pourront
justifier le refus de Viparis Nord Villepinte de contracter pour
l’avenir avec le PRENEUR.
14.2.4 - If, during a previous EVENT at any of the VIPARIS sites,
the LESSEE failed to fulfil any of its obligations (for example, late
payment or non-payment), Viparis Nord Villepinte shall have every
right to refuse to enter into an agreement with the LESSEE for the
purpose of leasing INDOOR and OUTDOOR EXHIBITION AREAS
or providing OPTIONAL SERVICES, unless the LESSEE provides
satisfactory guarantees or a cash payment.
Moreover, any late payment or non-payment of any or all of the
sums due for lease of the INDOOR and OUTDOOR EXHIBITION
AREAS covered by this contract or for provision of OPTIONAL
SERVICES relating to the event may be grounds for refusal by
Viparis Nord Villepinte to enter into an agreement with the LESSEE
in the future.
14.3 - INTERETS DE RETARD
14.3 – LATE PAYMENT INTEREST
Toute somme due et non réglée à son échéance donnera lieu à
l'application de plein droit :
- d'un intérêt au taux égal à trois fois le taux d'intérêt légal en
vigueur à la date d'exigibilité, et
- d'une indemnité forfaitaire pour frais de recouvrement de
quarante (40) euros,
et ce, sans préjudice de tout autre droit ou recours dont dispose

jure, to the application of:
- interest at a rate equal to three times the statutory interest rate in

- a lump sum indemnity for collection expenses of forty (40) euros,
the foregoing without prejudice to any other right or remedy

Early payment of an invoice shall not give a right to any discount.

ni de discussion, ou de toute autre garantie équivalente acceptable
par Viparis Nord Villepinte, lui permettant, en cas de défaillance par
le PRENEUR, d’obtenir immédiatement paiement de toute somme,
en principale intérêts et accessoires, venue à échéance.
14.4.2 - En outre, si l’une quelconque des sommes dues à Viparis
Nord Villepinte en exécution d’une CONVENTION DE LOCATION
ou d’une COMMANDE déjà conclue entre les parties n’était pas
réglée par le PRENEUR à son échéance,
14.4.1 – Viparis Nord Villepinte reserves the right to make the
signature of a LEASE AGREEMENT or an ORDER conditional
upon the provision by the LESSEE of an immediately callable bank
guarantee without benefit of division or discussion, or any other
equivalent guarantee acceptable by Viparis Nord Villepinte which
allows it, in the event of default by the LESSEE, to obtain
immediate payment of all sums, including principal, interest and
incidental charges, which are due and payable.
14.4.2 – In addition, if any of the sums owed to Viparis Nord
Villepinte pursuant to a LEASE AGREEMENT or an ORDER
already made between the parties was not paid by the LESSEE by
the due date,

Viparis Nord Villepinte pourra demander à ce dernier de lui fournir,
à première demande, toutes cautions bancaires ou garanties
identiques à celles visées à l’Article 14.4.1 ci-dessus et permettant
à Viparis Nord Villepinte, en cas de nouvelle défaillance du
PRENEUR, d’obtenir immédiatement paiement de toutes sommes,
en principal, intérêts et accessoires, dues au titre, soit de ces
mêmes CONVENTION DE LOCATION et COMMANDE, soit de
toutes autres CONVENTIONS DE LOCATION ou COMMANDES
alors conclues entre les parties.
Le PRENEUR s’engage expressément à fournir lesdites cautions
ou garanties à Viparis Nord Villepinte dans un délai maximum de 7
jours calendaires à compter de la demande de Viparis Nord
Villepinte.
En cas d’inexécution par le PRENEUR de l’obligation définie cidessus, Viparis Nord Villepinte pourra, sans préavis et par simple
lettre recommandée avec AR, résilier de plein droit, sans qu’il soit
besoin d’aucune formalité ou mise en demeure, les
CONVENTIONS DE LOCATION et COMMANDES pour lesquelles
ces mêmes cautions ou garanties n’auront pas été fournies ; dans
ce cas les sommes dues au titre de ces mêmes CONVENTIONS
DE LOCATION resteront dues en totalité à Viparis Nord Villepinte
sans préjudice de tous dommages intérêts.
XV - DOMMAGES – INTERETS
Si, du fait du PRENEUR, une CONVENTION DE LOCATION était
résiliée ou si la MANIFESTATION ne se tenait pas sur le PARC
conformément à la CONVENTION DE LOCATION, le PRENEUR
devra à Viparis Nord Villepinte, à titre de dommages intérêts, une
somme égale à 50 % du prix de la location.
Viparis Nord Villepinte may ask the latter to provide, on request,
any bank guarantees or guarantees equivalent to those referred to
in Article 14.4.1 above which allow Viparis Nord Villepinte, in case
of further default by the LESSEE, to obtain immediate payment of
all sums, including principal, interest and incidental charges, which
are due either pursuant to these same LEASE AGREEMENT and
ORDER or any other LEASE AGREEMENT or ORDER made
between the parties.
The LESSEE expressly agrees to provide said guarantees to
Viparis Nord Villepinte within a maximum of seven calendar days
from the date of the request by Viparis Nord Villepinte.
- In case of breach by the LESSEE of the aforementioned
obligation, Viparis Nord Villepinte may, without prior notice and
through a letter sent by registered mail with advice of receipt,
automatically terminate the LEASE AGREEMENTS and ORDERS
for which such guarantees were not provided, without the need for
any formality or formal notice; in this case, the sums due by virtue
of these LEASE AGREEMENTS shall remain due in full to Viparis
Nord Villepinte, without prejudice to any damages.
XV – DAMAGES
If, through the fault of the LESSEE, a LEASE AGREEMENT is
terminated or the EVENT does not take place at the CENTRE in
accordance with the LEASE AGREEMENT, the LESSEE shall owe
Viparis Nord Villepinte damages in an amount equivalent to 50% of
the lease price.
XVI - INTUITU PERSONAE NATURE OF THE AGREEMENT

Sans préjudice des dispositions figurant à l’Article 5.1.1 ci-dessus,
le PRENEUR s’interdit expressément, sauf accord écrit et
préalable de Viparis Nord Villepinte,
• de sous louer ou de mettre de toute autre manière à la disposition d’un
tiers, sauf s’il est EXPOSANT, tout ou partie du SITE,
• de se substituer un tiers dans l’exécution de la CONVENTION DE
LOCATION,
• et de céder cette dernière à tous tiers, y compris à son
successeur dans son activité.
Without prejudice to the provisions of Article 5.1.1 above, the
LESSEE expressly agrees to refrain, without the prior written
consent of Viparis Nord Villepinte,
• from subletting any or all of the SITE or making same available to third
parties in any way, except for EXHIBITORS,
• from having a third party carry out the LEASE AGREEMENT in its
place and stead,
• and from assigning same to any third party, including its
successor in its business.
Dès à présent Viparis Nord Villepinte s’engage toutefois à donner
son accord au PRENEUR pour que celui-ci cède la CONVENTION
DE LOCATION à son successeur dans son activité, à condition
que, si Viparis Nord Villepinte le requiert, ce successeur lui
fournisse une caution bancaire ou toute autre garantie équivalente
telle que visée à l’Article 14.4 ci-dessus.
Nevertheless, Viparis Nord Villepinte hereby consents to the
LESSEE assigning the LEASE AGREEMENT to its successor in its
business, on condition that, if Viparis Nord Villepinte so requests,
said successor provide a bank guarantee or any other equivalent
guarantee as stipulated in Article 14.4 above.
XVII - MODES DE COMMUNICATION ENTRE LE PRENEUR
ET VIPARIS NORD VILLEPINTE

échangée par écrit entre les parties relativement à l’exécution de la
CONVENTION DE LOCATION sera, au choix de l’émetteur,
effectuée par lettre simple, recommandée avec accusé de
réception, télex ou télécopie adressé aux adresses, numéros
d’appel et personnes visées dans la CONVENTION DE
LOCATION à l’exception de celles relatives :

performance hereof shall, as the issuer sees fit, be sent by ordinary
mail, registered letter with advice of receipt, telex or fax to the
addresses, telephone numbers and persons indicated in the
LEASE AGREEMENT, with the exception of information relating to:

persons referred to in Article 6 of the LEASE AGREEMENT,
• requests for certificates of insurance and guarantees, and

18.4 - TOLERANCE

Any tolerance by Viparis Nord Villepinte relating to nonperformance or incorrect performance by the LESSEE of any of the
provisions of the LEASE AGREEMENT shall in no way create a
right of any kind for the LESSEE or modify in any way the nature,
extent or conditions of performance of any of the obligations
assumed by the LESSEE, irrespective of the duration or frequency
of such tolerance.

– SCHEDULE 5 – PARIS NORD VILLEPINTE INTERNAL REGULATIONS
These Internal Regulations apply to all USERS of the CENTRE (Organizers, Exhibitors, Companies, Visitors).
Users must comply with French regulations governing public buildings and Safety Regulations in effect at the CENTRE, which can be consulted at
the Central Security Control office (CSC).
VIPARIS Nord Villepinte reserves the right to amend and/or supplement this document by any other provisions as needed in the interests of public
order and the protection of people and property.
RESPECTIVE ROLES OF VIPARIS NORD VILLEPINTE AND THE EVENT ORGANIZERS:
Within its event, the Organizer is responsible for the health and safety of people, animals and goods. Any incident or accident must be reported to
the Central Management Office.
Viparis Nord Villepinte is responsible for health and safety at the CENTRE outside the contractual scope of the events.
Any incident or accident must be reported immediately to the Central Security Control office located in the Reception Area adjacent to the entrance to
HALL 1 (tel.: 00 33 (0)1 48 63 30 49).
ACCESS:
Vehicle access:
The conditions of access to the CENTRE are established by Viparis Nord Villepinte.
Only vehicles and/or people involved in the activities taking place at Paris Nord Villepinte and authorized by Viparis Nord Villepinte may access
and travel on Paris Nord Villepinte roadways and park in the car parks made available. The Paris Nord Villepinte safety service reserves the right
to call on the public authorities to detect, prohibit and penalize access and parking by unauthorized vehicles and/or people.
In addition, Viparis Nord Villepinte may make access to the CENTRE conditional on the following:
- presentation by the driver of a document attesting to the contents of his vehicle,
- inspection of the vehicle contents by Viparis Nord Villepinte personnel,
- unloading of the vehicle on request so that the contents can be inspected.
Entry to the Centre:
USERS must comply strictly with the rules of access (including times, gates, length of stay and documents to be presented) issued only by Viparis
Nord Villepinte.
Admission to Events:
When events are held at the CENTRE, Exhibitors, Visitors and Suppliers may be admitted to such events only if they meet the conditions of
admission established by the Organizer (contact each event’s hostesses or guards).
Admission of animals:
Unless specifically needed for an EVENT, dogs are only allowed into the CENTRE if kept on a lead and muzzled if prone to biting.
Animals may not roam freely within the grounds of Paris Nord Villepinte. Any stray animals at the CENTRE will be sent to the pound.
CONDUCT AT THE CENTRE:
In addition to these internal regulations, users must obey any instructions issued by security personnel.
Grounds
Users are responsible for protecting the grounds.
Users are also responsible for damage of any kind whatsoever caused by them or by the persons, animals or objects under their supervision or in
their care.
Any damage to landscaped areas at Paris Nord Villepinte, including the lawn, trees, shrubs, planters, protective elements (railings, stakes),
decorative items and related equipment (sprinkler heads, etc.) will be subject to a fine and possible legal action.
In particular, cutting and/or removing plants, flowers or other vegetation is prohibited.
Straying off the designated aisles is strictly prohibited.
Work activities - Service and technical areas
Access to areas where work is being performed and technical and service areas (workshops, warehouses, customs buildings, forwarding and
handling areas, heavy vehicle entrance, service ducts and gutters, etc.) is prohibited for all visitors and reserved strictly for Viparis Nord Villepinte
personnel, save where permission has been specifically granted by Viparis Nord Villepinte or the relevant departments.
Miscellaneous provisions
Roller skates, skateboards and the like are prohibited within the CENTRE grounds, unless strictly connected with the nature of the event in
question.
Users must act responsibly and refrain from anti-social behavior.
Leaving
food
out
for
stray
or
wild
animals,
particularly
cats,
is
strictly
prohibited

Users shall keep the facilities and installations clean and tidy. Ordinary household waste must be placed in the bins provided for this purpose. Other waste,
including commercial waste, must be placed in the skips provided by the event Organizers. Any violation will be subject to prosecution.
Unless expressly authorized by Viparis Nord Villepinte, it is prohibited to bring dangerous, toxic, inflammable or combustible substances onto the grounds of
Paris Nord Villepinte (aside from the normal content of vehicle tanks), as well as explosive or radioactive substances. Pedestrian areas may not be
accessed by motor vehicles, two-wheel vehicles (motorcycles, scooters and bicycles) or any other means of transport, except those used by disabled
persons and unless expressly authorized by Viparis Nord Villepinte.
Unless authorized by Exhibition Centre Management, photography, filming and the use of camcorders are prohibited around the entrances and
within the perimeter of the CENTRE.
DRIVING, PARKING AND TOWING:
Vehicles
The provisions of the Highway Code apply within the CENTRE.
These rules are supplemented by the following requirements:
- the maximum speed limit for vehicles in the traffic lanes is 40 km/h;
- any motorist behind a vehicle that is attempting to park in a parking place must give such vehicle priority;
- driving in reverse is authorized only as needed to enter or exit a parking place;
- parking is prohibited (under penalty of the vehicle being towed and impounded) in all traffic lanes and their verges, and in particular on the ring
road, at car park exits, at taxi stands and their approaches, in fire lanes, in front of the exhibition hall gates, in the hall courtyards onto which the
emergency exits open and other passage areas (sidewalk, green areas and pedestrian areas), as well as all access roads.
This prohibition also applies to the areas designated for refuse collection. In the event of a breach, action will also be taken against verge damage.
In car parks, motorists must comply with ground markings that indicate parking places and traffic direction. Any improperly parked vehicle that
occupies more than one place may be towed and impounded.
The terms and conditions for using the visitors and exhibitors car parks are defined in Articles 9 and 10.
All access lanes and maneuvering areas reserved for firefighters, police and emergency medical services must remain unoccupied, subject to
penalties, notwithstanding any immediate action by the public authorities aimed at maintaining their permanent accessibility and use based on
their intended purpose. The same applies to access to all equipment such as fire hose cabinets, alarm telephones, smoke evacuation controls, fire
hydrants and emergency exits.
Performing mechanical repairs on or cleaning vehicles in the car parks and traffic lanes is strictly prohibited. Persons who experience mechanical
incidents requiring the immobilization of their vehicle and the intervention of an outside repair person must inform either the Paris Nord Villepinte
Central Security Control office (tel.: 00 33 (0)1 48 63 30 49) or the nearest representatives of Viparis Nord Villepinte as quickly as possible.
For safety reasons, any vehicle in violation of these provisions may be towed by Viparis Nord Viparis to a designated area; removal and storage
charges must be paid by the offender before the vehicle is released.
Camping and caravanning are prohibited at the CENTRE. Access by caravans or motor homes, even if belonging to Organizers, Exhibitors or
Companies working at the CENTRE, is prohibited unless authorized in writing by Viparis Nord Villepinte.
Materials handling vehicles
Materials handling vehicles shall use the traffic lanes and car parks at Paris Nord Villepinte in compliance with the provisions of the Highway
Code.
These vehicles must have lighting and signage systems in accordance with the standards and rules in force for motor vehicles and drivercontrolled self-propelled industrial trucks.
Loading and unloading in the traffic lanes at Paris Nord Villepinte is prohibited.
Users are fully responsible for ensuring that their vehicles comply with the standards in force and are maintained in a good state of repair. Drivers
must be in possession of a truck operator's license and be able to present such license upon request.
The name of the company using such equipment must be displayed in a visible manner.
Liability

In general, the use of roads within the CENTRE that are open to public traffic is governed by the General Order of 1 June 1969.
The movement and parking of vehicles of any kind within the grounds of Paris Nord Villepinte are under the sole responsibility and at the risk of
the vehicle owner.
The fees charged are merely parking fees and not security service and surveillance fees.
Under no circumstances may VIPARIS Nord Villepinte be held liable for damage caused to vehicles as a result of adverse weather (rain, frost,
snow, floods, etc.) or the incompetence of other users. VIPARIS Nord Villepinte disavows any liability in the event of damage, accidents or theft of
any kind that may occur while a vehicle is in movement or parked, with regard to the vehicles themselves as well as accessory items of any kind,
items left inside vehicles and objects fastened to a vehicle’s exterior.
Vehicle drivers are asked to notify the Paris Nord Villepinte Safety Service of any accidents or damage, regardless of whether they bear
responsibility.
Taxis
A taxi stand has been established within the taxi terminal.
Within Paris Nord Villepinte, taxi drivers must comply with professional rules and regulations, notably with regard to the order in which taxi
customers are served.
When parked for extended periods in the taxi terminal, drivers must shut off their vehicle engine. In order to reach the south exit of Paris Nord
Villepinte, these vehicles must take the ring road that runs alongside the RER line.
PARKING:
Car park regulations are displayed at the entrance to each car park.
Visitor Car Parks
The use of the car parks is billed by the hour.
Upon entering these car parks, visitors receive a timestamped ticket. This ticket is needed in order to pay the parking fee at one of the various
payment stations in the reception areas.
After payment is made at the fee collection point, drivers must leave within a period of 20 minutes. Users who stay beyond that period of time must
pay an additional parking fee at the payment station upon leaving the car park.
Any user who loses the entry ticket is deemed to have been parked for a full day.
Reimbursement for the amount paid will not be made under any circumstances, even if the user can subsequently produce the ticket.
Drivers may not exit the car park until they have presented the ticket showing proof of payment. Any attempted fraud with regard to payment of the
parking fee will be subject to prosecution.
Official Car Park
Event organizers provided with access to the official car park use this area at their discretion and bear sole authority and responsibility for its use.
Users of the official car park are required to comply with the regulatory provisions set forth in this document at all times.
BUSINESS ACTIVITIES AT THE CENTRE:
Outside the events, no supply of goods or services, sales, canvassing, leaflet distribution, promotion, advertising or surveys are permitted unless a
written contract has previously been signed with Viparis Nord Villepinte.
This contract, which complies with the provisions in force at the CENTRE, must be presented to Viparis Nord Villepinte on request.
Certain activities (the sale of newspapers and magazines, catering services and the sale of products intended for consumption at the CENTRE)
are reserved exclusively for Viparis Nord Villepinte concessionaires in any or all of the CENTRE (for further information, please contact the Viparis
Nord Villepinte management office).

When an activity must be held in a part of the CENTRE not included in the contractual scope of an Event, the party concerned is solely
responsible for the security, health and safety of said site and must take all appropriate measures to ensure that such activity does not cause any
harm to the CENTRE, Viparis Nord Villepinte or third parties.
Users of the CENTRE are prohibited from engaging in any activity or using any vehicle or equipment which could disturb, inconvenience, trouble
or adversely affect in any way Viparis Nord Villepinte, the CENTRE, its Users and Local Residents.
LOST PROPERTY AND UNATTENDED ITEMS:
In the interests of safety, unattended items may be destroyed without notice by the police.
Lost property must be handed in:
- to the Organizer, if found inside an event,
- to the Central Security Control, in all other cases.
After being logged, these items shall be sent to the Lost Property Office (36 rue des Morillons, 75015 Paris).
SPECIAL PROVISIONS APPLICABLE TO THE VISITOR AREA
RER
For pedestrians arriving from the station (Line B of the RER regional express train, PARC DES EXPOSITIONS station), the visitor area can be
reached via an underground passageway that leads to the central esplanade of Paris Nord Villepinte.
An urban shuttle service is available for visitors to Hall 5B on days when events are being held. The number of shuttle buses, their frequency and
hours of operation will be determined by joint agreement between VIPARIS Nord Villepinte and the organizers, based on the potential attendance
for each event.
Road access
Visitors travelling by car can access the site from the A 104 motorway via an interchange located south of Paris Nord Villepinte.
A shuttle bus service serving the P1, P2 and P3 car parks is available to visitors, based on the anticipated attendance for each event.
Passenger car traffic and parking
Drivers of passenger cars should head for the visitors parking areas as specified by the signposts and the security services.
Visitors may not park in any designated visitor car park after daily operating hours for Paris Nord Villepinte.
Any vehicle parked in these areas after the event closing time will be removed and impounded by the Paris Nord Villepinte Safety Service.
Heavy vehicles
All heavy vehicles transporting goods and equipment as well as all materials handling vehicles must access the Paris Nord Villepinte site via the
RD 40 highway (follow sign for “exposants-livraisons”).
These vehicles are forbidden to travel or park in the visitor area. A fee is charged for parking during the EVENT OPENING PERIOD.
Public transport vehicles
Coaches and other mass transit vehicles should either go to the coach terminal located near the RER station or to a dedicated car park, as
instructed by the Paris Nord Villepinte Safety Service, in order to drop off their passengers before proceeding to their parking areas.
SPECIAL PROVISIONS APPLICABLE TO THE EXHIBITOR AREA
Road access

Exhibitors, organizers, suppliers, stand installers, delivery personnel, carriers and in general anyone working on behalf of companies present at
the Paris Nord Villepinte site or for VIPARIS Nord Villepinte directly should travel to the Paris Nord Villepinte site via the exhibitor/delivery
(“exposants-livraisons”) access from the RD 40 highway, located north of Paris Nord Villepinte.
Convoys or wide loads must obtain the express authorization of VIPARIS Nord Villepinte before entering or moving about the Paris Nord Villepinte
grounds.
Customs
Any person or vehicle moving about the Paris Nord Villepinte site is assumed to be properly approved by the Customs Office.
The customs transit procedure for materials arriving from outside France is summarized below:
“TRANSIT THROUGH CUSTOMS”
FOREIGN GOODS ORIGINATING IN THIRD COUNTRIES OUTSIDE THE EU MUST BE PRESENTED FOR CUSTOMS INSPECTION BEFORE
BEING BROUGHT TO THE STANDS.
Regardless of the mode of transport used (land, sea or air), these goods must be accompanied by a transit document or ATA carnet.
These documents must be presented to customs before the goods may be taken to the stand.
For the duration of the event, the goods must be available for inspection by the customs office at its request.
The customs office must be notified regarding the return of the goods or any change in the customs procedure prior to the close of the show.
FOREIGN GOODS MAY NOT LEAVE THE EVENT GROUNDS UNLESS ALL CUSTOMS FORMALITIES HAVE BEEN COMPLETED.
Access to the Halls
Access to the exhibition halls is via the service aisles located on each building’s perimeter, using the entryways closest to the stands to be
installed or delivered, unless indicated otherwise by the organizers.
The passageways in the technical area and the gates to the exhibition halls are equipped with sign mounts for quick identification of each access.
Vehicles may not be brought into the buildings and exhibition halls until they have been found to be compatible with each building’s technical
characteristics. In particular, these include the weight-bearing capacity of the floor, the dimensions of each passageway and the roof height.
Vehicle access requires the approval of the event organizer.
By joint agreement with VIPARIS Nord Villepinte, the organizer may impose any requirements it deems necessary to ensure the event can
proceed smoothly, notably with regard to access conditions, inspection procedures and the dates that exhibitors will be allowed to enter the Paris
Nord Villepinte site.
Parking
The parking areas designated Pe 1, Pe 2, Pe 3, Pe 4a, Pe 4b, Pe 5a, Pe 5b, Pe 6a, Pe 6b, Pe 7, Pe 8, and P10 are reserved for exhibitors and
anyone working in the technical area.
The “heavy vehicle” parking area is reserved exclusively for heavy trucks, coaches and materials handling vehicles.
For exhibitors, the authorized location and duration of parking in the car parks are limited to the Paris Nord Villepinte area and contractual lease
period by the organizer, i.e. including set-up/dismantling and event opening days, and in accordance with the times set by the organizer.
The same applies to permanent users: the parking places assigned to them are defined in the lease agreements, and their usage period depends
on the period during which the leased premises are occupied.
Any vehicle which is parked outside the aforementioned areas and beyond the previously defined periods shall be towed and impounded by the
police authorities, at the discretion of the organizers or VIPARIS Nord Villepinte.

Set-up and dismantling period
The parking of motor vehicles used to transport materials or objects to be exhibited, overnight and outside the opening hours established by the
organizers in agreement with VIPARIS Nord Villepinte, is prohibited at all the exhibition halls. The parking period for these vehicles is strictly
limited to the time needed for loading, unloading and handling.
Event opening period
Only private passenger vehicles of exhibitors who have proper accreditation or expressly authorized vehicles may park in the “exhibitor” car park.
Depending on reservations made by exhibitors for parking places, all other vehicles normally allowed in this area may be asked to park in the
“heavy vehicle” car park, including vehicles of permanent occupants, such as forwarding agents, material handlers, etc.
Allocation of exhibitor parking spaces
Exhibitors will receive an access card for each parking space requested that indicates the dates for which it is valid. Each event is entitled to
reserve a quota of spaces proportional to the surface area of the halls leased, unless otherwise stipulated in the lease agreement.
The organizer may set a quota of parking spaces per stand, if it can guarantee that the parking areas will be fully occupied. Exhibitors car park
may be leased by the organizer in bulk or by zone. In such a case, the resale price to exhibitors may not exceed the official rate set by Viparis
Nord Villepinte.

- using the intercoms and emergency telephones,
- by contacting the Central Security Control,
- by contacting the Central Management Office of the event concerned.
FINAL PROVISIONS
Admission to the CENTRE implies the unconditional acceptance of these Internal Regulations and an undertaking to comply with all the provisions
thereof.
Viparis Nord Villepinte reserves the right to eject from the CENTRE or to bar entry thereto to any offender and, in general, any person whose
attitude or behaviour could be detrimental to the CENTRE, to himself or to other users or third parties.
