FULL CONTEST RULES 2011 DYNAMIC “Win Tools That Make Your Job Easier” CONTEST 1. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Sweepstakes open only to legal residents of Canada, who are 18 years of age or older as of February 1st, 2011. Employees, officers and directors of Gray Tools Canada Inc., and all Gray Tools distributors and their respective affiliates, subsidiaries, and advertising and promotion agencies (collectively, “Sponsor and its agents”) and immediate family members (spouses and siblings, children and parents and their spouses, regardless of where they live) or members of the same households (whether related or not) of such individuals are not eligible to enter or win. Void where prohibited or restricted. The Contest is sponsored by Gray Tools Canada Inc. 2. HOW TO ENTER: Gray Tools Canada Inc. 2011 Dynamic “Win Tools That Make Your Job Easier” contest begins February 1st, 2011 and ends on May 31, 2011. No purchase necessary. Sweepstakes commences at 12:00 am (EST) on February 1st, 2011 and expires May 31st, 2011. All entries must be received by 11:59: pm (EST) on May 31st, 2011 (the “contest closing date”). Gray Tools Canada Inc. is not responsible for entries lost, misdirected, or delayed. To enter register online at www.dynamictools.ca/promotions and complete the online entry form. Limit one (1) entry per person or household address. All entries become property of Gray Tools Canada Inc. and will not be returned. 3. PRIZES: Random drawings every Monday beginning February 15, 2011 until the contest closing date, commencing at approximately 10:00 am (EST) in Brampton, from among all eligible entries received from the valid methods of entry. A prize will be awarded each week: 36 pc. screwdriver set (D062505). Estimated retail value of the Grand Prize is 98 CDN. The prize is not transferable, and substitutions are not allowed. Odds of winning will depend on the total number of eligible entries received during the contest period. Prize winner(s) will be notified by telephone or email and will be required to complete and return an signed affidavit of eligibility, a liability release and/or a publicity release (where legal) within 5 days of notification, and provide a copy of their valid driver’s license. If an individual cannot be contacted, is ineligible, or fails to return a completed and fully executed Affidavit and Release by the deadline, as required, the prize will be forfeited and an alternate winner will be selected. Allow 6 to 8 weeks for delivery of grand prize(s) from date of prize acceptance. Except where prohibited by law, acceptance of prize constitutes permission to use the winner's name, biographical information and/or likeness for purposes of advertising, trade and promotion without further compensation. The selected “potential” winning entrant will be required to correctly answer without assistance of any kind, a time‐limited mathematical skill‐testing question to be administered by mail or telephone in order to win. 4. CONDITIONS: By participating, entrants agree [a] to assume responsibility for all federal, provincial and local taxes or duties; [b] to assume any and all responsibility of registration, titling and insurance of Grand Prize as required by applicable law; [c] consent to the capture and use of all identifying information contained on the official entry form for any and all marketing purposes by Gray Tools Canada Inc. [d] to adhere to these rules and decisions of Gray Tools Canada Inc. which shall be final in all respects relating to this sweepstakes. [e] to release, discharge and hold harmless Gray Tools Canada Inc. and its agents and each of their respective directors, officers, shareholders, agents and employees, and their heirs, successors and assigns (collectively, “Releases”) from any and all injuries, liability, losses and damages of any kind resulting from their participation in the sweepstakes or their acceptance, possession, transfer, use or misuse of a prize including, without limitation, personal injury, death and property damage. [f] if a winner, to release the use of name and/or photograph for advertising, publicity and promotional purposes in all media worldwide without compensation (except where prohibited by law) and agree to execute specific consent to such use if asked to do so. [g] Releases are not responsible for and shall not be liable for: (1) garbled, illegible, incomplete, damaged, misdirected, late, lost or failed electronic or mailed entries or postage due mail; (2) electronic, hardware or software program, network, internet or computer malfunctions, failures or difficulties of any kind including any injury or damage to entrant’s or any other person’s computer related to or resulting from participating in or downloading any materials in the Sweepstakes; (3) errors or delays in telephone/computer transmissions; (4) any condition caused by events beyond the control of Gray Tools Canada Inc. which may cause the Sweepstakes to be disrupted or corrupted; (5) any losses or damages of any kind caused by the prize or resulting from acceptance or use of the prize or from participation in the Sweepstakes. In the event of a dispute as to ownership of an Internet entry, the authorized subscriber of the e‐mail account used to enter the Sweepstakes (at the actual time of entry) will be deemed to be the entrant. Authorized account subscriber is deemed to be the natural person who is assigned an e‐mail address by an Internet access provider, online service provider or other organization, which is responsible for assigning e‐mail addresses for the domain associated with the submitted e‐

Gray Tools Canada Inc. reserves the right in its sole discretion to cancel, terminate or suspend the Internet entry component of this sweepstakes should virus, bugs, unauthorized human intervention, systems malfunctions, failures, difficulties or other causes beyond the control of the Sponsor and its agencies corrupt or affect the administration, security, fairness or proper play or conduct of the Internet entry component of this Sweepstakes. In such event, winner will be selected in a random drawing from among all eligible entries made prior to and/or after (as appropriate) the action taken by Gray Tools Canada Inc. Tampering with website or Sweepstakes in any way will result in disqualification and possible prosecution under applicable law. appareil électronique, équipement informatique ou logiciel, réseau, Internet ou tout mauvais fonctionnement de l’ordinateur, toute défaillance ou toute difficulté quelconque, y compris tout préjudice ou tout dommage causés à l’ordinateur du participant ou de toute autre personne, ou résultant de sa participation ou d’un téléchargement d’un matériel du Concours; (3) toute erreur ou tout retard dans les transmissions téléphoniques ou informatiques; 4) toute condition découlant d’événements indépendants de la volonté de Gray Tools Canada inc. qui pourrait causer l’interruption ou la corruption du Concours; (5) toute perte ou tout dommage quelconque causé par le prix ou résultant de l’acceptation ou de l’utilisation du prix ou de la participation au Concours.
