The National Bank Real Estate Challenge-RE/MAX (the "Challenge") is organized by National Bank of Canada (the "Organizer") and will run in Quebec from February 1, 2014 to July 31, 2014 at 11:59:59 p.m. Eastern Time (the "Challenge Period"). 2. ELIGIBILITY The Challenge is open to any real estate brokerage operating under the RE/MAX banner (the "Brokerage"). The Challenge is a competition among all Brokerages operating under the RE/MAX banner. 3. HOW TO PARTICIPATE During the Challenge Period, each Brokerage will be assigned to a category according to its volume of controllable sales1, as determined by the banner for 2014, so that all Brokerages operating under the banner can compete on a fair footing. The four categories are: Category A: $100 million and over Category B: $50 million to $99.9 million Category C: $25 million to $49.9 million Category D: Under $24.9 million For a file to be eligible for the Challenge, the following conditions must be met: a) The real estate brokers in the Brokerage must refer their clients to National Bank to obtain mortgage financing2 from the Bank. b) Any files approved with no conditions, except for the signing of the deed of sale, will be included in the Challenge. 4. DETERMINING THE WINNERS The Challenge winners will be determined on August 28, 2014 at 2:00 p.m. (ET). There will be one winning Brokerage per category. The winning Brokerage will be determined as follows: For Brokerages whose market share rate is below the target set3 on February 1: the Brokerage with the largest increase in its market share rate4 between the start5 and the end of the Challenge. OR For Brokerages whose market share rate is above the target set on February 1: the Brokerage with the largest increase calculated as the difference between the target and its market share rate at the end of the Challenge. 5. PRIZES There are a total of four (4) prizes available to be won, namely one (1) prize awarded to a Brokerage in each category: o The winning Brokerage in Category A will be awarded an amount of four thousand five hundred Canadian dollars (CDN $4,500). o The winning Brokerage in Category B will be awarded an amount of three thousand Canadian dollars (CDN $3,000). o The winning Brokerage in Category C will be awarded an amount of one thousand five hundred Canadian dollars (CDN $1,500). 1 A controllable sale is a real estate transaction for which the real estate broker involved can control whether the buyer is referred to National Bank. 2 Subject to credit approval by National Bank of Canada. 3 The market share rate target will be set by the banner and National Bank and then announced in early February 2014. 4 Market share rate: Percentage of a Brokerage's files held by National Bank in relation to the Brokerage's total number of files. 5 The market share rate at the start of the Challenge will be set as follows: the Brokerage's approved files with no conditions divided by its controllable sales between November 1, 2013 and January 31, 2014. The starting rate will be announced in February 2014. o The winning Brokerage in Category D will be awarded an amount of one thousand Canadian dollars (CDN $1,000). Terms and conditions for prizes: o Each prize must be reinvested in a team activity involving the winning Brokerage, Mortgage Development Manager(s) (a National Bank employee who is a mortgage specialist working together with a designated brokerage) and the Sales Manager – Specialized Networks (the manager of the Mortgage Development Manager). o The activity will be determined jointly by the Brokerage and National Bank. o Only the real estate brokers in the winning Brokerage who have sent National Bank at least one (1) file that has been approved with no conditions during the Challenge Period will be eligible to participate in the activity6. 6. CHANCES OF WINNING The chances of winning depend on the category to which each Brokerage is assigned and the changes in the market share rates of the Brokerages in each category during the Challenge Period. GENERAL TERMS AND CONDITIONS 7. To be declared a winner, each Brokerage selected for a prize must, through its authorized representative: a) be able to be contacted by telephone by the Organizer within five (5) days of the date the winners are determined; b) complete and sign a Declaration and Liability Waiver Form (the "Waiver") that will be sent by the Organizer, and return it to the Organizer within ten (10) days of its receipt. 8. If a selected Brokerage fails to meet one of the above conditions or any other condition provided for in these rules, it will be disqualified and, time permitting, a new winning Brokerage may be determined in accordance with these rules until such time as a Brokerage is selected and declared the winner. 9. Within five (5) days of receiving the Waiver duly completed and signed by the authorized representative, the Organizer will send an e-mail to the authorized representative of any winner to explain the procedure for claiming the prize. 10. Mortgage referrals and Waivers are subject to verification by the Organizer. Any referral or Waiver that is incomplete, fraudulent or late, does not allow the Organizer to identify the Brokerage or real estate broker, or is otherwise not in compliance with these rules, will be rejected, in which case it will not qualify, depending on the case, as an entry or for a prize. 11. All decisions by the Organizer or its representatives regarding the Challenge are final and without appeal, subject to any decision by the Régie des alcools, des courses et des jeux du Québec, for Quebec residents, on any matter over which it has jurisdiction. 12. The Organizer reserves the right to disqualify any Brokerage or cancel one or more mortgage referrals of any Brokerage or real estate broker in such Brokerage who enters or attempts to enter the Challenge in a manner that is contrary to these rules or that is unfair to the other participants. Said Brokerage or real estate broker may be referred to the competent judicial authorities. 13. The prizes must be accepted as described in these rules and may not be transferred to another Brokerage, substituted for another prize or exchanged in whole or in part for cash, subject to these rules. 14. In the event that, for reasons not related to the winner, the Organizer is unable to award a prize or a portion thereof as described in these rules, the Organizer reserves the right to award another prize or a portion thereof of a similar nature and of equal value or, at its sole discretion, to award the cash value of a prize indicated in these rules. 15. The selected Brokerages hold the Organizer, its advertising and promotion agencies, their employees, agents, mandataries and representatives harmless from any and all liability for any damage they may incur as a result of the acceptance or use of the prize, notably any tax impact. In order to be declared a winner and prior to receiving the prize, each selected Brokerage undertakes, through its authorized representative, to sign the Waiver to that effect. The Waiver must also be signed by all real estate brokers in the Brokerage so that they may take part in the proposed activity. 6 Some exceptions may apply. 16. All selected Brokerages acknowledge that as of receipt of the letter confirming their prize, the performance of the services related to the prize will become the sole and complete responsibility of the various service or prize providers. To be declared a winner and prior to taking possession of the prize, each selected Brokerage undertakes to sign a declaration to that effect contained in the Waiver. 17. Subject to approval, if required, from the Régie des alcools, des courses et des jeux du Québec, for residents of Quebec, the Organizer reserves the right at all times, at its sole discretion, to cancel, terminate, modify or suspend the Challenge, in whole or in part, if any event or human intervention occurs that could corrupt or affect the administration, security, impartiality or conduct of the Challenge as provided for in these rules. Under no circumstances may the Organizer, its subsidiaries, advertising and promotion agencies, suppliers of prizes, materials and services related to the Challenge, as well as their employees, agents, mandataries and representatives be required to award more prizes than provided for in these rules or to award prizes otherwise than in accordance with these rules. 18. The Organizer, its advertising and promotion agencies, as well as their respective employees, agents, mandataries and representatives may not be held liable for any malfunction of any computer hardware, software or communication line resulting in the loss or lack of network connection or any faulty, incomplete, incomprehensible or deleted transmission by any computer or network that could limit or prevent any person from entering the Challenge. Furthermore, the Organizer, its advertising and promotion agencies, employees, agents, mandataries and representatives may not be held liable for any damage or loss that may be caused, directly or indirectly, in whole or in part, as a result of downloading an Internet page or software or transmitting information for the purposes of participating in the Challenge. 19. By entering the Challenge, the winning Brokerages, through their authorized representatives and real estate brokers, authorize the Organizer and its representatives to use, if required, their name, photograph, likeness, logo, statements about the prize, place of residence or voice for advertising purposes, without compensation of any kind. A declaration to that effect will be contained in the Waiver, which must also be signed by any real estate broker who wishes to take part in the activity. 20. By participating or attempting to participate in the Challenge, all Brokerages, through their authorized representatives, as well as their real estate brokers agree to release the Organizer, its subsidiaries, advertising and promotion agencies, employees, agents, mandataries and representatives from any and all liability for any damage they may incur due to their participation or attempted participation in the Challenge. 21. Mortgage referrals and Waivers become the property of the Organizer and will under no circumstances be given or returned to participating Brokerages. 22. Except for the Brokerages selected to receive a prize, there will be no communication with Brokerages. 23. For Quebec residents, any dispute respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux du Québec for a ruling. Any dispute respecting the awarding of a prize may be submitted to the Régie solely for the purpose of helping the parties reach a settlement. 24. By entering the Challenge, the Brokerages authorize the Organizer to use their business information entered on the mortgage referrals, as necessary, for Challenge registration purposes. 25. For the purposes of these rules, the participating Brokerage is the Brokerage whose name appears on the mortgage referrals. The prize will be remitted to that Brokerage, if it is selected and declared a winner. 26. In the event of discrepancies between the English and French versions of these rules, the French version shall prevail.
