Le SPLA donne le droit aux fournisseurs de services et Editeurs de
logiciels de fournir les licences Microsoft sur une base mensuelle durant
les 3 ans du contrat. Ils peuvent utiliser ces licences pour offrir des
services logiciels et des applications hébergées à leurs clients.

Présentation du SPLA
Le Services Provider License Agreement (SPLA) autorise l’usage des
licences et produits Microsoft pour fournir un service logiciel à ses
clients finaux.
◉ Contrat de 3 ans, renouvelable
◉ Déclaration mensuelle et paiement basé sur l’usage effectif sur la plateforme de
services.
◉ Aucun frais d’avance
– possibilité de prendre un engagement de 3 ans qui consiste en un paiement
annuel en avance et donne le droit à une remise de 12 à 17% sur certains produits.
(voir licences Extended Term)
◉ Protection annuelle des prix (janvier à Décembre).
◉ Autorise l’utilisation commerciale des produits Microsoft

◉ Les services logiciels peuvent être fournis dans le monde entier sans restriction de licence

Le modèle de Licensing SPLA
Les licences acquises sous SPLA sont des licences mensuelles non
perpétuelles qui peuvent être utilisées durant la durée du contrat.
Les produits disponibles sous le programme SPLA peuvent être acquis
selon 2 modèles de licensing :
∙ Par utilisateur : Subscriber Access License (SAL)
Une licence par utilisateur (SAL) est requise pour chaque utilisateur ou périphérique qui est
autorisé à accéder ou utiliser le logiciel dans le mois.
Une licence Serveur n’est pas requise si l’option licensing par utilisateur est choisie.
∙ Par processeur : Per Processor License (PL)
Chaque licences par processeur (PL) donne le droit à un nombre illimité d’utilisateurs d’accéder
au logiciel installé sur ce processeur pour les produits disponibles sous le licensing par
processeur. Un nombre illimité d’utilisateurs peut utiliser le logiciel sur 1 CPU pour chaque
licence processeur acquise sans coût licensing des utilisateurs.
Flexibilité
• Pour les produits accessibles via l’un ou l’autre de ces modèles, le fournisseur de
services peut changer de modèle de licence d’un mois sur l’autre.

Le modèle de pricing SPLA
Liste des prix
∙ La liste des prix SPLA est communiquée régulièrement par les
revendeurs agréés SPLA.
Les changements de prix
∙ Microsoft peut diminuer les prix dans la liste à n’importe quel
moment.
∙ Microsoft peut augmenter les prix dans la liste uniquement dans les
2 cas suivants :
◉ Une fois par an : le 1er janvier.
◉ À n’importe quel moment pour compenser les taux de change des devises
autres que le USD.
La déclaration SPLA (Reporting)
Les partenaires SPLA ont l’obligation de soumettre mensuellement
une déclaration d’usage ou de « 0 usage ».
Il faut soumettre à votre revendeur SPLA votre déclaration dans les 10
premiers jours du mois pour l’usage du mois précédent.
Une déclaration « 0 usage » est requise si aucun usage n’est à déclarer
lors du mois précédent.
Caractéristiques du SPLA
Usage interne
◉ Permet par défaut l’utilisation des produits en interne si celle-ci
correspond à moins de 50% de leur utilisation globale mensuelle
(calculée produit par produit)
Démonstrations clients
◉ Autorise le fournisseur de services à consacrer 50 identités d’utilisateurs
actives à la présentation, à des prospects, de ses services logiciels sans
avoir à en signaler l’utilisation

◉ Le produit peut être évalué gratuitement par l’utilisateur final
pour une période maximale de 60 jours
Évaluation et tests
◉ Par défaut, le fournisseur de services peut tester et évaluer la
solution logicielle sans avoir à en signaler l’utilisation pendant
une période maximale de 90 jours
Administrateurs de serveur
◉ Autorise 20 accès administrateurs de serveur par centre de
données

Éligibilité et pré-requis
Les conditions pour accéder au programme SPLA:
∙ Choisir un revendeur SPLA agréé
∙ Signer le contrat SPLA
◉ à lier votre contrat à un MBSA/MBA existant.
∙ Effectuer votre déclaration mensuelle (même si elle est à 0) des licences SPLA
à votre revendeur avant le 10 du mois
∙ Payer mensuellement les factures liées à votre SPLA
∙ Se conformer avec le « Services Provider Use Rights (SPUR) ».
∙ Respecter les droits de propriété intellectuelle, l’usage des marques déposées
et les règles d’anti-piratage
∙ Fournir le support technique
∙ Accepter de participer aux audits Microsoft SPLA.

technique des produits Microsoft qu’il fournit.
∙ Le partenaire SPLA doit disposer d’une des 3 options de support

un minimum de 10 incidents prépayés; ou

Le programme SPLA
Les fournisseurs de services offrent une variété de services à leurs clients en incluant
directement ou indirectement un accès aux Produits Microsoft® Server ou offrent des
services logiciels qui interagissent avec les licences Microsoft.
Vous êtes un fournisseur de services si votre société :
Fournit à vos clients directement ou indirectement un accès aux produits
Microsoft, par exemple : un service de sites Web hébergés ou d’applications
métier (LOB) via les produits Microsoft Server.
