Madam, Sir,
Le Tribunal de Commerce de Paris nous a désignés, le 5 août 2015,
en qualité de liquidateurs judiciaires dans le cadre de la liquidation
judiciaire de la société par actions simplifiée (SAS) Aristophil. Notre
mission consiste donc à trouver un repreneur dans le cadre d’une
cession d’une partie des éléments d’actifs de cette société.
The Commercial Court of Paris appointed us on August 5th 2015
as judicial liquidators in order to proceed to the judicial liquidation of
Aristophil, company registered as a simplified joint-stock company.
Our mission is to identify and negotiate with a buyer the cession of
some of the company’s assets.
Spécialisée dans des solutions de placements financiers dans le
secteur des Lettres et Manuscrits, c’est une collection d’une valeur
patrimoniale et financière exceptionnelle qu’Aristophil a réuni entre
2003 et 2015. Elle regroupe près de 130 000 pièces sous forme
de manuscrits, de lettres, de partitions, de cahiers, de dessins,
d’incunables, de photos, de croquis, de dessins ou de peintures.
Autant de traces laissées par des hommes et des femmes ayant
marqué l’Histoire, issus du monde de l’art et des lettres, de ceux de
la politique et des sciences. Sa valeur totale est estimée à plusieurs
centaines de millions d’euros, cinq cents de ces pièces relevant
d’une rareté muséale.
From 2003 to 2015, Aristophil which acted as an investment fund
accumulated a collection of Letters and Manuscripts exceptional
both on the financial and patrimonial grounds. This collection encompasses 130 000 pieces including manuscripts, letters, sheet
music, notebooks, drawings, pictures, sketches, and paintings. An
incredible array of testimonies from remarkable men and women
that left extraordinary marks into human history whether they are
from artistic, literature, politic, or scientific backgrounds. This collection’s total estimated value is about several hundred millions of
euros, including five hundreds specific pieces characterized by their
rarity which would rival any museum collection.

théorie de la relativité, d’un manuscrit dédicacé au Tsar Nicolas
Ier par Alexandre Dumas à la première version, de la main de Mozart, d’une aria pour les Nozze di Figaro, d’un ensemble de dessins
inédits d’Eugène Delacroix au manuscrit le plus sulfureux du Marquis de Sade, des partitions de la main de Chopin ou Beethoven
au message rédigé par Eisenhower lors de la reddition allemande,
des premiers écrits de Charlotte Brontë au Testament politique
de Louis XVI, sans oublier Marie-Antoinette, Kafka, Churchill, De
Gaulle, Darwin, Dickens, Copernic, Balzac, les manuscrits de la Mer
Morte… Les fleurons d’Aristophil sont trop nombreux pour être tous
présentés ici.
There is no appropriate word to describe the richness of this collection! Among many others we can briefly mention the Napoléon’s
love letters to Josephine, the blacked out Einstein’s notebook
containing his preliminary thoughts on the theory of the relativity, the
first version of a manuscript signed by Alexandre Dumas’ and offered to Tsar Nicolas Ist of Russia, a Marriage of Figaro’s aria signed by
Mozart, an aggregate of Eugène Delacroix’s drawings, the Marquis
de Sade’s sulfurous manuscript, Chopin’s and Beethoven’s sheet
music, original Eisenhower’s statement resulting Germany surrender, Charlotte Brontë’s first writings, Louis the XVI’s political testament, and also writtings from Marie Antoinette, Kafka, De Gaulle,
Dickens, Copernic, Balzac, and the Dead Sea Scrolls. Here are few
examples of the numerous Aristophil’s masterpieces.
Depuis sa liquidation judiciaire prononcée par le Tribunal de Commerce de Paris le 5 août 2015, les activités de cette société ont
été recentrées sur la conservation de sa collection ainsi que celle
des pièces cédées en propriété propre comme en indivision. L’objectif de cette procédure de cession judiciaire de certains éléments
du fonds de commerce d’Aristophil reste avant tout de protéger
l’équilibre du marché de l’art et du manuscrit ainsi que l’intégrité et
la valeur de cette collection. La cession judiciaire, effectuée sous
notre contrôle, respectera les règles de transparence et de rigueur
qu’impose cette procédure.
On August 5 2015, the Commercial court of Paris stated Aristophil’s
liquidation. Since then the liquidated company’s activities are only
dedicated to the custody of its collection and of the pieces sold
through individual or collective ownership contract. By pursuing a
partial liquidation of some Aristophil’s business assets, we not only
aim to preserve the manuscript and letter market equilibrium but
also the collection’s financial value integrity. The judicial liquidation,
proceeded under our control, will be conducted according to the
transparency standards required by this legal process.

PRESENTATION OF THE COMPANY
ARISTOPHIL’S ACTIVITIES
La société Aristophil a été fondée
en 1990 par M. Gérard LHERITIER
dont il était le dirigeant et l’actionnaire majoritaire (80 % du capital
social, les 20 % restant étant détenus par ses enfants).

who was not only acting as director but also as the main shareholder (holding 80% of the share capital, the remaining 20% being
detained in equal parts by his children).
Dès sa création, Aristophil s’est spécialisée dans l’achat et la
revente de manuscrits et de lettres originales qu’elle acquérait
auprès de collectionneurs ou de particuliers, de libraires spécialisés ou lors de ventes aux enchères publiques.
Since its creation, Aristophil’s mission is dedicated to the purchase and resale of manuscripts and original historical documents bought from collectors, private individuals, specialized
library and public auctions.
Elle proposait ensuite de les revendre à des collectionneurs et
investisseurs amateurs qui pouvaient :
Aristophil’s operating mode was then to sell these acquired
pieces to collectors or nonprofessional investors to whom two
specific options were proposed:
• Soit les acheter en pleine propriété aux fins de se constituer
une collection personnelle (contrats dit AMADEUS).
• The buyer can become the sole owner of a given piece in order to furnish his personal collection (AMADEUS contracts).
• Soit les acheter en indivision avec d’autres collectionneurs
/ investisseurs. L’indivision devenait alors propriétaire de
l’œuvre concernée, chaque investisseur étant alors propriétaire d’une ou plusieurs parts indivises (contrats dit CORALY’S), pour une période de 5 ans renouvelable.
• The buyer can become the owner of a given piece through
a joint ownership agreement including other collectors or investors for a fixed period of 5 year, renewable. In such case,
every buyer detained one or several shares of the purchased
piece (CORALY’s contract).
En pratique la société Aristophil détenait initialement l’œuvre
en pleine propriété ; dès qu’un premier investisseur ou groupe
d’investisseur se faisait connaître, la société créait une indivision dont elle cédait ensuite progressivement les parts à mesure que de nouveaux investisseurs se manifestaient.
Initially, every piece proposed by Aristophil to investors was
upon its full ownership. At the moment an investor or an aggregate of investors indicated their interests in the pieces detained
by Aristophil, a joint ownership process was initiated, through
a gradual timeline in order to transfer the piece ownership into
the hands of the requesting shareholders.
Au final, la société Aristophil est, soit demeurée membre des
indivisions (de manière majoritaire ou minoritaire), soit a cédé
l’intégralité des parts indivises à des investisseurs privés.
Dans tous les cas, les investisseurs ont confié la conservation,
la garde et la mise en valeur des œuvres à Aristophil au terme
d’une convention de garde et de conservation, conclue simultanément à la cession de l’œuvre (contrat AMADEUS) ou à la
cession de parts indivises (CORALY’S).
In every case Aristophil was appointed for maintaining, protecting, and promoting these same pieces purchased from its
“stocks”. A custody and safe keeping agreement was systematically included in the purchase agreement and came into
force from the moment the purchase was effective, either in
co-ownership or in full ownership.

Ces contrats comportaient au profit d’Aristophil :
These purchase agreements included terms at the benefit of Artistophil stating the following considerations:
•U
n droit de préemption sur la vente des manuscrits détenus par l’indivision pendant la durée de l’indivision dans l’hypothèse où cette dernière déciderait de vendre les œuvres
qu’elle détient ;
• Under the joint ownership process, if the shareholders decided to sell their parts within the boundaries of the scheduled duration stated in the purchase agreement, Artistophil
retained a pre-emptive right on the concerned piece.

• A fixed price purchase option at the benefit of Aritsophil was
inherently incorporated into the purchase agreement. The
fixed prices of the purchase option that Aristophil would pay
if it chose to apply its option’s right were based on the initial
amount paid by the investors.

ne option d’achat de l’œuvre au terme convenu dans le
contrat avec la formule de complément calculé sur la base
d’un pourcentage de prix d’achat initial payé par le client,
qui permettait à Aristophil, si elle le souhaitait, de se porter
acquéreur des œuvres à un prix déterminé à l’avance.
Au 31 décembre 2014, Aristophil comptait 61 salariés et était
le gardien de 130 000 œuvres détenues par quelques 18 000
investisseurs dont la plupart regroupés dans 54 indivisions (ce
qui représentait 26 297 contrats de cession de parts d’indivision et 4 458 contrats de cession en pleine propriété).
On December 31st, 2014, the Aristophil company gathers 61
employees which supervised 130 000 pieces owned by 18 000
investors. The majority of them were applying their ownership
rights through 54 joint ownerships agreements (representing
26,297 share co-ownerships sale contracts and 4,458 plain
property sale contracts).
Par jugement en date du 5 août 2015, le Tribunal de Commerce de Paris a prononcé la liquidation judiciaire (sans poursuite d’activité) de la société Aristophil, mandatant les Commissaires-Priseurs et les Liquidateurs Judiciaires pour assurer le
bon déroulement de la procédure de liquidation et de cession.
On august 5 2015, the Commercial Court of Paris stated Aristophil’s judicial liquidation (with no continuation of activity) and
assigned a team including the Auctioneers and the Liquidators
in order to adequately proceeded to the liquidation and dissolution process.
À ce jour, les contrats de garde, conservation et assurance
n’ont pas été résiliés par les Liquidateurs Judiciaires. La liquidation continue donc de supporter ces coûts pour ses biens
propres mais aussi pour le compte des indivisions et des investisseurs.
The custody and safekeeping agreement included in the Aristophil’s contracts is still ongoing since the Liquidators decided
to maintain it. Consequently, independently of the cases where
the pieces were solely owned by Aristophil or by the investors,
the incurring costs associated to this convention are included
in the liquidation process.
Une cellule liquidative composée des 9 salariés restant non licenciés pendant la période de redressement et d’observation,
a été autorisée. Cette cellule liquidative ne comporte plus aujourd’hui que 7 salariés.
Within the observatory and liquidation process, the maintaining
of 9 former Aristophil’s employees who are still performing daily
tasks was authorized by the Court. This liquidation unit today
only consists in 7 employees.
Il doit être précisé que la liquidation judiciaire a été informée que
certaines indivisions seraient arrivées à l’expiration de la durée
prévue dans la convention d’indivision ou que certaines options
d’achat auraient été levées par Aristophil.
It has to be understood that the liquidators were informed that
some temporary collective ownerships expired and also that
Aristophil initiated some fixed price purchase options.

SCOPE OF THE SALE
Comme il est d’usage dans ce type d’opération, une Data Room
a été ouverte par la liquidation judiciaire afin de rassembler l’ensemble des documents concernant la société Aristophil.
Ces documents réservés aux repreneurs potentiels présentent
les éléments et compléments d’information relatifs aux actifs
corporels et incorporels possédés en propre ou en indivisions
par la liquidation.
Les candidats repreneurs se verront autoriser l’accès à cet espace confidentiel et sécurisé afin de prendre connaissance de
ces documents et en particulier du cahier des charges pour le
dépôt d’offre de reprise fixant toutes les modalités de candidature et de dépôt des offres.
Compte tenu de la particularité de ce dossier, ne sont inclus
dans le périmètre de cession que les éléments du fonds de
commerce suivant :
As usual in this kind of operation, a Data Room has been implemented by the judicial liquidation in order to gather the whole
documentation regarding the company Aristophil.
These documents exclusively restricted to the potential buyers’
use present the elements and additional information related to
the tangible and intangible assets fully owned or jointly owned
by the liquidation.
The candidate buyers will obtain the authorization to access
this secured and confidential room in order to get knowledge
of this documentation and in particular of the specifications (cahier des charges) ruling the submission of the purchase offers
and giving the terms and conditions for all applications.
Considering the peculiarities of this operation, will only be included in the scope of the sale the elements of the business’
goodwill, as follow:

Une licence d’utilisation de la base de données ARIBA, outil de
gestion du fonds Aristophil (les termes du projet de contrat de
licence figurent dans la Data Room)
Intangible assets:
Customers, right of submission
A license for using the ARIBA database, management tool for
the Aristophil fund (terms of the license contract’s project are
mentioned in the Data Room)
Eléments corporels
Archives documentaires, composées de :
• plus de 2000 classeurs pour les contrats clients,
• les brochures d’indivisions,
• les catalogues de ventes depuis les années 2000,
• tout le matériel muséologique (cartels, transcription…) des
deux musées,
• les ouvrages scientifiques divers servant au pôle culturel.
Tangible assets:
Documentary records composed of:
• more than 2,000 folders gathering the customers contracts,
• the joint properties leaflets,
• the sales catalogues since the years 2000’s,
•
all the museum documentation (transcriptions, descriptions,...) of the two museums,
• several scientific books used by the cultural department.
S’agissant des contrats clients, les candidats repreneurs devront
s’engager, avec l’accord des indivisaires, à les laisser à disposition de la justice, notamment dans le cadre de l’enquête pénale.
S’agissant des certificats culturels et des factures d’achat des
œuvres, ils seront mis à disposition du repreneur mais demeureront attachés à l’œuvre qu’ils concernent et demeureront partant
propriété des propriétaires (i.e. la liquidation judiciaire, les clients
propriétaires en propre et les clients propriétaires en indivision)
desdites œuvres.
Concerning the customer contracts, in the context of the penal
investigation the candidate buyers shall commit to open access to these contracts to the court, with agreement of the
co-owners.
Regarding the cultural certificates and the purchase invoices
of the works, they shall be made available to the buyer but will
remain attached to the linked works and thus remain properties
of the owners of said works (i.e. the judicial liquidation, the full
owner clients or co-owners).
Les participations
Les parts indivises détenues par la société Aristophil dans les
indivisions dans lesquelles elle est minoritaire (la liste des indivisions figure dans la Data Room).
Share holdings
Undivided shares held by Aristophil in co-ownerships where the
company is a minority shareholder (the list of joint ownerships
mentioned in the Data Room).
En outre, dans le cadre des opérations de liquidation judiciaire
une cellule liquidative a été constituée, comprenant 7 salariés
d’Aristophil, qui peuvent faire l’objet d’une proposition de reprise
de la part des candidats repreneurs. Afin de finaliser les opérations d’inventaire, les Commissaires-Priseurs et les Liquidateurs Judiciaires seront susceptibles d’être amenés à solliciter
les salariés composants la cellule liquidative, selon les modalités
à définir, ce que les candidats repreneurs devront accepter expressément (tous les renseignements relatifs au personnel sont
disponibles en Data Room).
Moreover, in the context of the judicial liquidation operations,
a liquidating unit has been formed, including 7 employees of
Aristophil, who might be subjects of buying offers from the candidate buyers. Forecasting the inventory counts finalization, the
auctioneers and the judicial liquidators might need to solicit the
employees composing the liquidating unit, following conditions
still to be defined, which shall be expressly accepted by the
candidate buyers (all information related to the personnel available in the Data Room).

Le futur acquéreur de ce fonds culturel aura à prouver
ses capacités techniques et financières de conservation
et de garde comme de valorisation de cette collection
exceptionnelle.
The future buyer of this cultural fund shall prove both his
technical and financial capacity for conservation and care
of this exceptional collection of masterpieces, as well as
for its valorization.
Outre la dimension financière et sociale de l’offre dans la valorisation des éléments du fonds de commerce cédés, le candidat
repreneur devra répondre à un certain nombre de critères et
de contraintes liés aux enjeux particuliers de cette procédure
collective.
Apart from the offer’s financial and social perspectives in the valorization of the assigned elements of the fund, the candidate
buyer shall as well meet several criteria and constraints linked to
the peculiar challenges of this insolvency procedure.
The company Aristophil constituted a fund of unique cultural
works of art which were commercialized to natural persons by independent companies who proposed the subscription to shares
in joint ownerships or to full property ownerships.
La société Aristophil a constitué un fonds d’œuvres culturelles
unique qui ont été commercialisées par des sociétés indépendantes proposant la souscription par des personnes physiques
à des parts d’indivisions ou bien à l’acquisition en pleine propriété.
The convention of custody and safekeeping constituting the obligation contracted by the company Aristophil for the whole period
of the contract (in joint stocks or full property) implies important
conservation, care and insurance fees.
La convention de garde et conservation qui constitue l’obligation
contractée par Aristophil pour la durée de la convention de cession (en parts indivises ou en propre) implique des frais de garde,
de conservation et d’assurance importants.
The objective of the Judicial Liquidators is to allow the owners
having subscribed a property contract accompanied by a custody and safekeeping contract for the period of the convention to
see a collective solution emerge for the takeover of the custody
and safekeeping of the Aristophil fund through a qualified professional aiming to:
L’objectif des Liquidateurs Judiciaires est de permettre aux
propriétaires ayants souscrit à un contrat de propriété assorti d’un contrat de garde et conservation, pour la durée de la
convention de voir émerger une solution collective de reprise
de la conservation et de la garde du fonds Aristophil par un
professionnel qualifié dans le but de :
• preserve the value of the works,
• limit the risks of losses for the investors, potential creditors of
the Aristohpil company,
• implement, on the long run, a management process for the
works in order to avoid a massive sale of the fund which would
not be “smoothly” absorbed by the market,
• in their own interest, maximize the value of the assets owned
by the investors of Aristophi.

As a consequence, considering the exceptional collection
of Aristohpil, either on a qualitative or on a quantitative
point of view, the purchase of the goodwill elements of
the fund implies the necessity for the candidate buyer to
demonstrate his ability to endorse a certain number of
constraints.
Aussi, compte tenu de la dimension exceptionnelle de la
collection Aristophil, tant quantitative que qualitative, la
reprise des éléments du fonds de commerce implique-telle pour le candidat repreneur de démontrer sa capacité
à assumer un certain nombre de contraintes.

Dans le cadre de son offre de reprise, le candidat devra :
In the framework of his purchase proposal, the candidate
buyer would:
1) J
ustifier de son expertise et de sa compétence à assumer une telle solution de conservation, garde et valorisation du fonds.

such a custody, safekeeping and valorization solution
for the fund.
2) D
émontrer une capacité technique et financière suffisante pour :
a. La récupération physique des sous-jacents, leur stockage,
conservation et gardiennage pendant une durée minimum
de 1 an, à ses frais exclusifs.
b. L
’identification et la gestion de la propriété des actifs détenus
en indivision ou en propre, ainsi que la gestion administrative
des œuvres (suivi de leur statut sur base de données ARIBA) et leur restitution le cas échéant aux propriétaires non
contestés.
c. L
a mise à disposition du fonds pour l’achèvement des opérations d’inventaire, d’expertise et de prisée dudit fonds.
d. L
’identification et la restitution des œuvres aux investisseurs
qui ne souhaiteraient pas confier au repreneur un mandat de
garde, conservation, gestion et vente de leurs actifs, à ses
frais exclusifs, sans recours possible contre l’investisseur,
pendant une durée minimale de 1 an.
e. L
a gestion des actions engagées ou susceptibles de l’être
pour l’ensemble des sous-jacents, à l’exception des biens
détenus en propre ou dans le cadre d’une indivision dans
laquelle la liquidation est majoritaire.
2) Demonstrate sufficient technical and financial capacities for:
a. Physical recovery of the underlying assets, their storage,
conservation and guarding for a period of at least 1 year, at
his own expenses.
b. Identification and management of the property of the coowned or fully owned assets, as well as the administrative
management of the works (follow up of their status on the
ARIBA database) and their restitution when appropriate to the
undisputed owners.
c. Access granting to the fund for completion of operations of
inventory, appraisal and expertise of said fund.
d. Identification and restitution of the works to the investors who
would not wish to delegate to the buyer the mandates of
custody, safekeeping, management and sale of their assets,
at his owns expenses, without any possible appeal against
the investor, for the duration of at least 1 year.
e. Management of the legal actions already in force and those
likely to come for all the underlying assets, with an exception
for the goods fully owned by the liquidation or co-owned in a
joint ownership where the liquidation is the major shareholder.
3) F

(i) le risque de perte de leurs actifs du fait du droit de
rétention opposable par le repreneur, (ii) le risque de
dévalorisation de leurs actifs.
4) Present the adhesion contract he considers submitting
to investors who would accept to delegate the management of their underlying assets to the buyer, including
the best efforts to protect the investors against (i) the
risk of loss of their assets because of the buyer’s enforceable right of retention, (ii) the risk of depreciation of
their assets.
5) S
’engager à acquitter les contributions, taxes professionnelles et autres charges de conservation, garde et
assurance, et plus largement toute charge auxquelles
pourra donner lieu l’exploitation des actifs cédés.
5) Commit to pay the contributions, professional tax and
other costs for custody, safekeeping and insurance,
and more widely any tax and cost that may be charged
during the operation of the sold assets.
